1NON-DISCLOSUREAGREEMENTPartyA:Add:Zipcode:Tel:E-Mail:PartyB:GreatWallAutomobileCo.,LtdAdd:BotaiplantNo.2288ChaoyangSouthMainStreetBaodingCityHebeiProvinceZipcode:071000Tele：0312-2196797E-Mail：[e-mail]cessaryofdisclosingconfidentialinformationeachotherintheprocessofthecooperationofCHB071-eADproject,promotingthecooperationbetweenbothparties,clearingtheconfidentialresponsibilitiesofbothsides,thetwopartiesconsultedonequalfooting,signingthisagreementtoabidebyit.Article1Explanationsofrelevantterms保密资料：1）为协议双方约定目的或涉及约定目的所在领域由披露方向获取方提供的一切装置、图表、书面资料、源程序、数据或者其它以各种有形载体记录的资料；2)其它通过口头或视觉披露且在披露时经披露方明示该资料为保密的并在通过口头或视觉披露后三十日内（包括30日）以有形载体记录、标明“保密”字样并交于获取方的，则也认定为该资料是保密资料。Cofidentialinformationshallmean1)allequipments,charts,writtenmaterials,sourceprograms,dataorothermaterialswhichsavedbyvisiblecarriers,2)othermaterialswhichhadbeendisclosedinoralorvisibleform,andthedisclosingpartyhadnoticedthatthismaterialisconfidentialwhenithadbeendisclosed,andafterit’soralorvisibledisclosurethismaterialhadbeensavedinvisibleform,markedby‘cofidential’,giventoreceivingpartywithin30days(including30days).保密期限：经协议双方协商，约定获取方在该期限内不得向任何第三方透露其所获取的对方的保密资料，且不得将获取的保密资料用于协议双方约定目的以外的任何目的。Periodoftheconfidentialityshallbediscussedbytwoparties,andshallbeagreedthatwithinthisperiod,thereceivingpartyshallnotdiscloseconfidentialinformationtoanythirdparty,andshallnotusetheconfidentialinformationforanypurposeotherthanthisagreement.披露方：应指在基于本协议目的披露保密资料的一方。Disclosingpartymeansthepartywhichdiscloseconfidentialinformationbasedonthepurposeofthisagreement.获取方：应指在基于本协议目的获取保密资料的一方。2Receivingpartymeansthepartywhichreceiveconfidentialinformationbasedonthepurposeofthisagreement.本协议中的协议一方或协议另一方基于本协议既可能是披露方，也可能是获取方。Thetwopartiesinthisagreementcanbethedisclosingpartyorthereceivingpartybasedonthisagreement.第二条保密期限Atricle2periodoftheconfidentiality本协议项下保密资料的保密期限为自本协议签订生效之日起10年。Theperiodunderthisagreementshallbe10yearsfromthedateofthisagreementtobesigned.第三条保密资料的范围Article3Rangeofconfidentialinformation本协议中保密资料涉及到的范围是：协议双方在合作过程中相互披露的技术资料及与合作项目相关的其他信息和资料。Therangeofconfidentialinformationinthisagreementshallbethetechnicaldataandotherinformationrelatedwiththiscooperationprojectthatdisclosedbyeachother.不属于保密资料的范围：Theinformationwhichdidnotincludeintheconfidentialrange.1.在获取方与披露方签署本协议之前，获取方已经合法拥有的信息；1.Theinformationwhichbelongedbyreceivingpartybeforethesubscriptionofthisagreement.2.在本协议签署之时已经进入公共领域，或本协议签署之后并非由于获取方的原因而进入公共领域的信息；2.Theinformationwhichhadbeenincludedingeneralareawhenthisagreementsigned,orincludedingeneralareaafterthesubscriptionthatdonotcausedbythereceivingparties.3.在收到获取方发出的不再接受任何保密信息的书面通知后，披露方向获取方发出的信息；3.Theinformationwhichsenttoreceivingpartyfromdisclosingpartyafterreceivedthewrittennoticemadebyreceivingpartyofdonotacceptanyconfidentialinformation.4.在没有违背本协议或披露方与某一第三方所签订的任何协议的情况下，获取方从该第三方合法取得的信息；4.Theinformationwhichacquiredbythereceivingpartylegallyfromthethirdpartyanddidnotagainstthisagreementorotheragreementmadebythereceivingpartyandanythirdparty.5.由获取方的雇员在没有接触到或收到本协议的任何保密信息的情况下独立开发的信息；35.Theinformationwhichdevelopedalonebythestaffofreceivingpartywhodonotcontactorreceiveanyconfidentialinformationofthisagreement.第四条协议双方的义务Article4Theobligationsoftwoparties1．在保密期限内，获取方应对披露方向其所披露的及协议双方以任何形式所接触到的对方的保密资料负有保密责任，协议双方的所有职工不论是否直接参与项目，均有保密义务。Intheperiodofconfidentiality,thereceivingpartyshalltaketheconfidentialresponsibilityofallconfidentialinformationthatdisclosedbyorcontactedbytwopartiesinanyways,2．协议双方应将保密资料的传播限制在为了协议双方约定目的需要知晓该保密资料的人员中，且不得将获取的保密资料用于协议双方约定目的以外的任何目的。2.Thespreadofconfidentialinformationshouldbelimitedbytwopartiesinthepersonwhoneedtoknowthisinformationforthepurposewhichhadbeenagreedinthisagreement.Theinformationreceivedshouldnotbeusedforanypurposeotherthanthisagreement.3．获取方保证未经披露方的书面授权，不得将保密资料以任何形式披露给任何第三方。3.Thereceivingpartyshallnotdisclosetheconfidentialinformationtoanythirdpartyinanywayswiththewrittenconsentofthedisclosingparty.4．在合作双方完成合作事项后，获取方应根据披露方的要求，将保密资料归还或销毁。4.Afterthecorporationmattershadbeendone,thereceivingpartyshallreturnordestroytheconfidentialinformationasregardtotherequirementofthereceivingparty.第五条复制与归还Article5CopyandReturn披露方披露给获取方的保密资料不得复制。特殊情况下，经披露方书面同意，获取方可以对披露方所披露的保密资料进行少量的复制，但这种书面同意可以随时撤销。如书面同意撤销，则披露方要求获取方立即归还保密资料的复制件时，获取方应立即归还。Confidentialinformationthatdisclosedbydisclosingpartyshallnotbecopied.Inspecialcircumstance,receivingpartycoulddoalittlecopyfromthedisclosedconfidentialinformationwhenthedisclosingpartyapproveditinwriting,butthisapprovementcanbecanceledatanytime.Therecevingpartyshouldreturnthecopyofconfidentialinformationimmediately,whenthedisclosingpratyrequiedandtheapprovementhadbeencanceled.第六条违约责任Article6LiabilityforBreachofAgreement发生以下情况时，获取方应承担违约责任：Therecevingpartyshouldtakeresponsibilityofthebreach,whenthecircunstancesoccurred4asbelow.1．获取方及获取方的员工、代理人、律师等未经披露方的书面同意擅自向第三方泄漏的；1.Therecevingpartyandthestaff,agent,lawyeroftherecevingpartydisclosedinformationtothethirdpartywithoutthewrittenapprovemetofdisclosingparty.2.本协议未约定的获取方其他行为泄露本协议所约定的保密资料的；2.Otherdeedsthattherecevingpartydidtodisclosethecon
