幕墙工程设计合同DesignContractforCurtainWallProject工程名称NameofProject：工程地点LocationofProject：合同编号ContractNo.：委托人（甲方）Consignor(PartyA)：承接人（乙方）Consignee(PartyB)：设计证书等级LevelofDesignCertification：签订地点PlaceofSigning：签订日期DateofSigning：甲方委托乙方承担设计工作，经双方协商一致，签订本合同。PartyBisentrustedbyPartyAtodesign_______.Boththetwopartiesherewithagreetosignthecontractbasedontheprincipleofcommonconsensus.第一条本合同签订依据ArticleOneBasisforconclusionofthisContract1．1《中华人民共和国合同法》、《建筑工程勘察设计管理条例》。“TheContractLawofthePeople’sRepublicofChina”;“ManagementRegulationsofInvestigationandDesigninConstructionEngineering”.1．2国家及上海市有关建设工程勘察设计管理法规和规章。NationalandlocalrulesandregulationsonManagementRegulationsofInvestigationandDesigninConstructionEngineering.第二条设计依据ArticleTwoDesignBasis2．1甲方发给乙方的设计委托书或中标函。LetterofdesignassignmentorLetterofacceptanceprovidedbythePartyAtothePartyB.2．2甲方向乙方提交的有关资料和文件。RelatedinformationanddocumentssubmittedbythePartyA.2.3乙方采用的主要技术标准：MaintechnicalstandardsadoptedbythePartyBcanbeshowedasfollows:幕墙技术要求应符合国家标准GB/T21086-2007《建筑幕墙》、JGJ102—2003《玻璃幕墙工程技术规范》和JGJ133—2001《金属与石材幕墙工程技术规范》、《企业标准》的相关要求。ThetechnicalrequirementsofcurtainwallshouldconformtorelevantrequirementsinNationalStandardGB/T21086-2007BuildingCurtainWall,JGJ102-2003“TechnicalCodeforGlassCurtainWallEngineeringaswellasJGJ133-2001TechnicalCodeforMetalandStoneCurtainWallsEngineeringandEnterpriseStandard.第三条合同文件的优先次序构成本合同的文件可视为是能互相说明的，如果合同文件存在歧义或不一致，则根据如下优先次序来判断：ArticleThreeThedocumentsformingtheContractaretoberegardedasmutuallyexplanatoryofoneanother,butincaseofambiguitiesordiscrepancies,thepriorityofthedocumentsshallbelistedasfollows:3．1本合同书；Thecontract;3．2中标函（文件）；LetterofAcceptance(Document);3．3甲方提出的书面要求；WrittenrequirementssubmittedbythePartyA;3.4招投标文件（图纸）Tenderingdocument(Drawings);第四条本工程项目的名称、规模、阶段、投资及设计内容ArticleFourName,size,stages,investmentandcontentofdesigninthisproject.第五条甲方向乙方提交的有关资料、文件及时间ArticleFiveRelevantmaterials,documentsandtimefordeliveryofmaterialsanddocumentssubmittedbythePartyAtothePartyB.第六条乙方向甲方交付的设计文件、份数、地点及时间ArticleSixDesigndocumentssubmittedbythePartyBtothePartyA,andthecopies,locationandtimefordelivery.第七条设计费用ArticleSevenDesignCharges7．1甲方应向乙方支付本合同项目的设计费为RMB元，（人民币大写：）。ThePartyAshallpay__________RMB(incapitalletters)toPartyBasthedesignchargesofthisprojectintheContract.7.2如乙方中标博世中国研发总部项目幕墙工程，本合同项目的设计费将抵做中标合同金额的一部分。IfthePartyBwillwinthebiddingintheBOSCHChinaR&DHeadquartersCurtainWallProject,thedesignchargesofprojectwillberegardedasapartoftheamountforawardingContract.第八条设计费的支付方式ArticleEightTermsofPayments8．1本合同生效后7天内，甲方向乙方预付设计费总额的50%，计__元作为定金，本合同履行后定金自动抵作设计费。WithinsevendaysupontheeffectivenessofthisContract,thePartyAshallpay50%oftotalamountfordesignchargesinadvance,namely_____yuanasthedownpayment.ThedownpaymentshallbecountedasthedesignchargesuponsettlementoftheContract).8．2乙方提交本合同规定的设计文件后，一个月内支付其余设计费。AftersubmittedthedesigndocumentsstipulatedintheContract,thePartyBshallpaytherestdesignchargeswithinonemonth.第九条双方责任ArticleNineResponsibilitiesoftheParties9．1甲方责任ResponsibilitiesofthePartyA9．1．1甲方按本合同第五条规定内容，在规定的时间内向设计人提交基础资料及文件，并对其完整性、正确性及时限负责。甲方不得要求乙方违反国家有关标准进行设计。甲方提交上述资料及文件超过规定期限，乙方按本合第六条规定的交付设计文件时间顺延。ThePartyAshallsubmitbasicmaterialsanddocumentstotheDesignerwithinspecifiedperiodasstatedinArticle5ofthisContractandshallberesponsibleforthecompleteness,accuracyandtimelimitofthematerialsanddocuments.ThePartyAshallnotrequirethePartyBtoconductdesigninviolationofrelevantnationalstandards.IncasethereisadelayexceedingthespecifiedtimelimitforthedeliveryoftheabovematerialsanddocumentsbythePartyA,thetimelimitforthedeliveryofdesigndocumentssubmittedbyPartyBshallbeextendedaccordingly;9．1．2甲方变更委托设计项目、规模、条件或因提交的资料错误，或所提交资料作全套修改，以致造成乙方设计返工时，双方除另行协商签订补充协议（或加订文件）、重新明确有关条款外，甲方应按乙方所耗工作量给予补偿。IncaseofthePartyB’sre-workonthedesigncausedbychangesofdesignproject,sizeandconditionsbythePartyAormistakesofsubmittedmaterials,orcompleterevisionsonsubmittedmaterials,thePartiesshallconcludesupplementaryagreementseparately(orconcludeadditionalagreement)andredefinerelevanttermsandconditions,andthePartyAshouldpaychargesforre-worktothePartyBaccordingtotheworkload.9．1．3在合同履行期间，甲方要求终止或解除合同，乙方未开始设计工作的，不退还已付的定金；已开始设计工作的，甲方应根据乙方已进行的实际工作量，不足一半时，按该阶段设计费的一半支付；超过一半时，按该阶段设计费的全部支付。DuringtheperformanceoftheContract,ifthePartyArequirestoterminateorcanceltheContractbeforethePartyBstartsthedesignwork,thePartyBwillnotreturnthedownpaymentalreadydepositpaidbythePartyB;ifthePartyBhasstartedthedesignwork,thePartyAshallpayfortheactualworkloadalreadydonebythePartyB.Whentheactualworkloadofthedesignislessthanhalfoftheworkatthestage,thePartyAshallpayhalfofdesignchargesatthestage.Whentheactualworkloadofthedesignismorethanhalfoftheworkatthestage,thePartyAshallpayallthechargesfordesignworkatthestage.9．1．4甲方应按本合同规定的金额和日期向乙方支付设计费，逾期支付的，每天承担应支付金额百分之一的违约金，且乙方提交设计文件的时间顺延。逾期超过30天以上时，乙方有权暂停履行下阶段工作，并书面通知甲方。甲方或其他审批单位对设计文件不审批或本合同项目暂停缓建，甲方均应支付应付的设计费。9.1.4ThePartyAshouldpaythedesignchargestothePartyBbasedontheamountanddateprovidedinthisContract.Foroverduepayment,thePartyAshouldpay1%ofoverduepaymentaspenalty,andthetimefordeliverybythePartyBshallb
