EMPLOYMENTCONTRACTLAWOFCHINAAdoptedatthe28thSessionoftheStandingCommitteeofthe10thNationalPeople’sCongressonJune29,2007EffectivefromJanuary1,2008UnofficialTranslationPreparedbyBaker&McKenzieCONTENTSCHAPTER1GENERALPROVISIONSCHAPTER2CONCLUSIONOFEMPLOYMENTCONTRACTSCHAPTER3PERFORMANCEANDAMENDMENTOFEMPLOYMENTCONTRACTSCHAPTER4TERMINATIONANDENDINGOFEMPLOYMENTCONTRACTSCHAPTER5SPECIALPROVISIONSSECTION1COLLECTIVECONTRACTSSECTION2PLACEMENtCHAPTER6MONITORINGINSPECTIONSCHAPTER7LEGALLIABILITYCHAPTER8SUPPLEMENTARYPROVISIONSCHAPTER1GENERALPROVISIONSArticle1ThisLawhasbeenformulatedinordertoimprovetheemploymentcontractsystem,tospecifytherightsandobligationsofthepartiestoemploymentcontracts,toprotectthelawfulrightsandinterestsofEmployeesandtobuildanddevelopharmoniousandstableemploymentrelationships.Article2ThisLawgovernstheestablishmentofemploymentrelationshipsbetween,andtheconclusion,performance,amendment,terminationandendingofemploymentcontractsby,organizationssuchasenterprises,individualeconomicorganizationsandprivatenon-enterpriseunitsinthePeople’sRepublicofChina(“Employers”)ontheonehandandEmployeesinthePeople’sRepublicofChinaontheotherhand.Theconclusion,performance,amendment,terminationandendingofemploymentcontractsbystateauthorities,institutionsorsocialorganizationsontheonehandandEmployeeswithwhomtheyestablishemploymentrelationshipsontheotherhand,shallbehandledpursuanttothisLaw.Article3Theconclusionofemploymentcontractsshallcomplywiththeprinciplesoflawfulness,fairness,equality,freewill,negotiatedconsensusandgoodfaith.Alawfullyconcludedemploymentcontractisbinding,andboththeEmployerandtheEmployeeshallperformtheirrespectiveobligationsstipulatedtherein.Article4Employersshallestablishandimproveinternalrulesandregulations,soastoensurethatEmployeesenjoytheirlaborrightsandperformtheirlaborobligations.WhenanEmployerformulates,revisesordecidesonrulesandregulations,ormaterialmatters,thathaveadirectbearingontheimmediateinterestsofitsEmployees,suchasthoseconcerningcompensation,workhours,rest,leave,worksafetyandhygiene,insurance,benefits,employeetraining,workdisciplineorworkquotamanagement,thesameshallbediscussedbytheemployeerepresentativecongressoralltheemployees.Theemployeerepresentativecongressoralltheemployees,asthecasemaybe,shallputforwardaproposalandcomments,whereuponthemattershallbedeterminedthroughconsultationswiththeLaborUnionoremployeerepresentativesconductedonabasisofequality.If,duringtheimplementationofanEmployer’sruleorregulationordecisiononacrucialdecision,,theLaborUnionoranemployeeisoftheopinionthatthesameisinappropriate,itorheisentitledtocommunicatesuchopiniontotheEmployer,andtherule,regulationordecisionshallbeimprovedbymakingamendmentsafterconsultations.Rulesandregulations,andcrucialdecisions,thathaveadirectbearingontheimmediateinterestsofEmployeesshallbemadepublicorbecommunicatedtotheEmployeesbytheEmployer.Article5ThelaboradministrationauthoritiesofPeople’sGovernmentsatthecountylevelandabove,togetherwiththeLaborUnionandenterpriserepresentatives,shallestablishacomprehensivetri-partitemechanismforthecoordinationofemploymentrelationships,inordertojointlystudyandresolvemajorissuesconcerningemploymentrelationships.Article6ALaborUnionshallassistandguideEmployeesintheconclusionofemploymentcontractswiththeirEmployerandtheperformancethereofinaccordancewiththelaw,andestablishacollectivebargainingmechanismwiththeEmployerinordertosafeguardthelawfulrightsandinterestsofEmployees.CHAPTER2CONCLUSIONOFEMPLOYMENTCONTRACTSArticle7AnEmployer’semploymentrelationshipwithanEmployeeisestablishedonthedateitstartsemployingtheEmployee.AnEmployershallkeeparegisterofemployees,forreferencepurposes.Article8WhenanEmployeremploysanEmployee,itshalltruthfullyinformhimastothecontentofthework,theworkingconditions,theplaceofwork,occupationalhazards,productionsafetyconditions,compensationandothermatterswhichtheEmployeerequeststobeinformedabout.TheEmployerhastherighttolearnfromtheEmployeebasicinformationwhichdirectlyrelatestotheemploymentcontract,andtheEmployeeshalltruthfullyprovidethesame.Article9WhenemployinganEmployee,anEmployermaynotretaintheEmployee’sresidentIDcardorothercertificates,normayitrequirehimtoprovideguaranteeorcollectpropertyfromhimundersomeotherguise.Article10Toestablishanemploymentrelationship,awrittenemploymentcontractshallbeconcluded.Intheeventthatnowrittenemploymentcontractwasconcludedatthetimeofestablishmentofanemploymentrelationship,awrittenemploymentcontractshallbeconcludedwithinonemonthafterthedateonwhichtheEmployerstartsemployingtheEmployee.WhereanEmployerandanEmployeeconcludeanemploymentcontractbeforetheEmployerstartsemployingtheEmployee,theemploymentrelationshipshallbeestablishedonthedateonwhichtheEmployerstartsemployingtheEmployee.Article11IntheeventthatanEmployerfailstoconcludeawrittenemploymentcontractwithanEmployeeatthetimeitsstartstoemployhim,anditisnotclearwhatcompensationwasagreeduponwiththeEmployee,thecompensationofthenewEmployeeshallbedecidedpursuanttotheratespecifiedinthecollectivecontract;wherethereisnocollectivecont
