SmallForm-factorPluggable(SFP)TransceiverMultiSourceAgreement(MSA)____________________________________________________________________________________________________September14,2000Page1CooperationAgreementforSmallForm-FactorPluggableTransceiversAgilentTechnologies,BlazeNetworkProducts,E2OCommunications,Inc.,ExceLightCommunications,FinisarCorporation,FujikuraTechnologyAmericaCorp.,HitachiCable,InfineonTechnologiesCorp.,IBMCorp.,LucentTechnologies,Molex,Inc.,OpticalCommunicationProducts,Inc.,Picolight,Inc.,StratosLightwave,TycoElectronicsI.PurposeoftheCooperationAgreement(Agreement)EachpartydesirestoestablishinternationallycompatiblesourcesofapluggablefiberoptictransceivermoduleinsupportofstandardsforfiberopticsystemsincludingAsynchronousTransferMode(ATM),FDDI,FibreChannel,FastEthernetandGigabitEthernet,andSynchronousOpticalNetwork(SONET)/SynchronousDigitalHierarchy(SDH)applications.EachpartyfurtherdesirestoestablishuniformityintheindustryfortheTransceiver“PackageDimensions”,“CageandElectricalConnectorSystem”,“HostBoardLayout”,“ElectricalInterfaces”,and“FrontPanelBezelRequirements”asdescribedinAppendicesA-B.Eachpartyexpectsthattheestablishmentofcompatiblesourcesforaninterchangeabletransceivermodulewillallowtheentirefiberopticmarketplacetogrowmorerapidly.Thisenhancedmarketplacegrowth,customerchoice,andvigorouscompetitionaretheexpresspurposesofthisAgreement.Eachpartyacknowledgesthisagreementprovidesasolutionwithheightasaprimarylimitingconstraintandmaynotprovideanoptimumsolutionforapplicationswithdifferentconstraints.Thepartiesdesiretoestablishcompatiblesourcesforadditionalproductsinthefuture.II.AgreementA.GeneralThepartiesagreetocooperatebysupportingcommonproductspecificationsforpluggablefiberoptictransceiverswiththepackage“PackageDimensions”,“CageandElectricalConnectorSystem”,“HostBoardLayout”,“ElectricalInterfaces”,and“FrontPanelBezelRequirements”asshowninAppendicesA-B.Theoverallpackagedimensionsshallnotexceedthemaximumindicateddimensions,andthemountingfeaturesshallbelocatedsuchthattheproductsaremechanicallyinterchangeablewiththecageandconnectorsystem.Inadditiontheoveralldimensionsandmountingrequirementsforthecageandconnectorsystemonacircuitboardshallbeconfiguredsuchthattheproductsaremechanicallyandelectricallyinterchangeable.Theelectricalandopticalspecificationsshallbecompatiblewiththoseenumeratedintheappropriatestandards(i.e.theIEEE802.3zGigabitEthernetstandardandtheITUG.957SynchronousDigitalHierarchystandard).Recommendedcircuitlayoutsforelectricalinputandoutputterminations,andgroundingpracticesarealsodescribedinAppendixB.ThetransceiversperthisAgreementwillacceptanopticalconnectorsuchastheduplexLC,MT-RJortheSGconnector.ThisAgreementdoesnotprecludeanyofthepartiesfromofferingSFPtransceiverswithotherconnectors.InternaldesignoftheSFPtransceiverisentirelyatthediscretionofeachpartyandisnotcoveredbythisAgreement.Thepartiesrecognizethattheirproductsmaynotbeidentical,butneedonlymeettheabovecriteria.SmallForm-factorPluggable(SFP)TransceiverMultiSourceAgreement(MSA)____________________________________________________________________________________________________September14,2000Page2B.LicensingandFeesNolicenseisgrantedunderthepatents,know-how,tradesecretsoranyothertechnologyofanypartytothisAgreementeitherexpresslyorbyimplicationorbyestoppel.EachoftheMSApartieshaveagreedthatlicensestoallrequiredintellectualpropertywillbemadeavailabletoallinterestedpartiesunderreasonableandnon-discriminatorytermsandconditionsapplicabletothatMSAparty.IndividualpartiestothisAgreementmayhavepatents,whichtheybelievemayberelevanttothisAgreement.TheMSApartiesshouldbecontactedindividuallytodetermineiftheyhavepatentrights,whichtheybelievemaybepertinenttothisAgreement.EachpartyisfreetoseektechnologyorotherexchangeswithotherfirmsinordertosupportitsactivitiesunderthisAgreement.C.ScopeoftheAgreementThescopeofthisAgreementincludestransceiverswithtransmissionratesupto5.0Gb/soperatingovermultimodeandsinglemodefiber.Eachpartyagreestoberesponsibleforitsowndevelopment,manufacturing,marketingandsellinginordertosupplytransceiversmeetingtheattachedspecifications.ThisAgreementdoesnotprecludeanypartyfromofferingotherproductsthatmaynotmeettheattachedspecifications.Eachpartyretainscompletelibertyregardingitsmethodsofimplementingasupplyofproduct,e.g.,byengineeringeffortorbytechnologylicensingortransferorcombinationoftheseorotherpractices.Eachpartyalsoretainssolediscretioninitschoiceofsaleschannelsanddistribution.Eachpartyaffirmsitsintentiontocompetefreelyandopenlyinthemarketplacewiththepartiesaswellasothercompetitors.Eachpartyexpectstosupportproductsmeetingtheattachedspecificationsforaslongasmarketplaceconditionswarrant.NospecifictimelimitisassociatedwiththisAgreement.Thedeterminationofmarketconditionsuitabilityistobemadebyeachpartyindividuallyandineachparty’ssolediscretion.III.PublicAnnouncementA.AnnouncingtheAgreementEachpartyagreestoannouncethisAgreementinamanneragreeduponbytheparties.TheseannouncementswillmentionallthepartieswhohavesignedthisAgreement.Eac
