Agreement协议书Thisagreementismadeandenteredintobyandbetweenthepartiesconcernedonthebasisofequalityandmutualbenefittodevelopbusinessontermsandconditionsmutuallyagreeduponasfollow本协议的订立基于双方平等互利发展贸易的基础上，并共同遵守如下条款:PartyA甲方:JAtechPrecision(H.K.)Ltd.Unit4,4/F,VantaInd.Centre,21-33TaiLinPaiRoad,KwaiChung,N.T.,HongKongTel:852-24806869,Fax:[phone].ThePartiesConcerned相关方PartyB乙方:XXXXXXXXXXXXXTel:XXXXFax:XXXXX2.Agreement协议TheParties(PartyA&PartyB,Hereinafterreferredtocollectivelyas“theParties”)herebyagreesthatPartyBcankeeptheexclusivepositioninXXXXXtheyears20XXto20XXforcommodityshowninClause3.Ontheexclusiveposition,PartyBshouldmeettheordervaluesasclausetosatisfyPartyA当事人（甲方和乙方，以下统称为“双方”）特此同意，乙方基于专营权而在订价条款上满足甲方后可持有条款3所列之xxxxx商品专营权从20XX年到20XX。.3.Commodity,OrderValues&Conditions商品，订价及条款(Insertmodel/seriesnumbersandanyotherrelevantinformation)（插入模组/序列号及其他任何有关资料）SeeAttachment-1参照附件一4.Territory区域：IntheterritoryofXXXXXXXfordistributionchannelsof在xxxxxxx区域内之分销渠道Hardware,Automotive,ToolStores&IndustrialWholesalers五金店，自动售卖，工具商店&工业批发商5.ExclusiveRight专营权PartyAagreestoadvisePartyBofdevelopmentandorproductionofexistingornewproductsthatarethesameorsimilarindesign&functionasthecommodityandwillofferPartyBexclusivedistributionfortheterritory’sAnyrequestforthecommodityorsimilarproductsthataremadefromotherpartiesintheterritoryPartyBagreethattheywilladviseandpassonallcorrespondenceandrequeststoPartyA.UponagreementbetweenPartyAandPartyB,itemsinAttachment-1canbereviewedandadded甲方委托乙方开发或生产现有或设计与功能相同或相似的新产品可授予乙方该区域专营权。乙方申请并通过协调恳求甲方同意后可将该商品或类似的产品交由其所在区域符合要求其它方生产，甲方和乙方将对项目attachment-1作审查和补充。6.Termination协议终止Duringthevalidityofthisagreement,ifeitherofthetwopartiesisfoundtohaveviolatedthestipulationsherein,theotherpartyhastherighttoterminatethisagreement.EvidenceiftheviolationistobeprovidedtotheoffendingPartywheretheywillhave30daystorespondtotheclaim.Ifthepartyisfoundtohaveviolatedtheagreementtheterminationwilloccur90daysafterreceivingwrittenadvicefromtheoffendedParty.Thisagreementwillbeautomaticallyterminatedifeitherpartyceasedbusiness在本协议有效期内，如果一方被发现违反本协议之条款，另一方有权终止本协议，违约方可于30日内提供澄清事实之证据。协议一方可在接到违约方出具的违反协议的书面通知后90天内终止本协议。若任何一方停止营业则本协议将自动终止，.7.Arbitration仲裁7.1.ThisagreementshallbegovernedbyandconstruedinaccordancewiththelawofHongKong.本协议依香港法律约束及诠释。7.2.Alldisputesarisingfromtheperformanceofthisagreementshallbesettledthroughfriendlynegotiation.Shouldnosettlementbereachedthroughnegotiation.Anydisputes,controversiesordifferenceswhichmayarisebetweenthepartiesheretowillberuledupon,inaccordancewiththeconciliationandarbitrationregulationsofInternationalChamberofCommerce,witharbitration(s)appointedbyJAtechandXXXX.ThearbitrationwilltakeplaceinHongKong凡因履行本合同引致之所有争端，双方应通过友好协商来解决。如双方之间可能产生争端、争议或分歧无法通过协商来解决，则根据国际商业委员会调解和仲裁规则，由jatech和XXXX指定在港进行仲裁。.PartyA甲方:JAtechPrecision(H.K.)Ltd.PartyB乙方:XXXXXXXX(Signature)________________________(Signature)__________________________(Date)____________________________(Date)______________________________
