1ANGENCY/DISTRIBUTOSHIPAGREEMENTThisAgreement,ismadeandenteredintothis__thdayofNovember,2009byandbetweenCHUANYONGINTERNATIONALENTERPRISECOOPERATELIMITED(hereinaftercalled“Manufacturer”),acompanyincorporatedintheRepublicofChinawithofficesatNo.11,Dinghu11street,GuishanTownship,TaoyuanCounty333,Taiwan,RepublicofChinaandPOLYTHECHNOLOGYHOLDINGINC(hereinaftercalled“Distributor”),acompanyinBruneiDarussalamwitharegisterofficeatBritanniaHouse,22,2ndFloor,CatorRoad,BandarSeriBegawanBS8811,BruneiDarussalam.Thepartiesheretoagreeasfollows:1.ASSOCIATIONDistributorshallactasanexclusiveagent/distributorofManufacturer’sProductLineasdescribedinattachedExhibitA(“Products”)throughoutthecountriesoftheSingapore,Malaysia,Thailand,IndonesiaandotherFarEastorSoutheastAsiaregion(the“Territory”).2.DUTIESA.DistributoragreestoactivelyanddiligentlypromotethesaleofProductsintheTerritoryduringtheTermhereof.ManufacturershallrefertoDistributorinquiriesforProductsintheTerritory.B.DistributoragreetopromoteintheTerritorytheManufacturer’smaneandtheProductsduringtheTermhereof.DistributoragreestonotifyManufacturerofanyleadsofinterestgrantedforanyproducts.3.ASSISTANCEBYMANUFACTURERManufactureragreetofurnishDistributorwithreasonablequantitiesofManufacturer’scatalogs,manuals,advertisingliteratureandothersalesaidsthatmaybeavailablebyManufacturer.AnysuchsalesaidsprovidedshallbeinEnglish.ManufacturerfurtheragreestoprovideDistributorwithreasonablehomeofficesupportandtechnicalassistanceandtrainingupontermsandconditionbeagreeduponfromtimetotime.4.INTELLECTUALPROPERTYRIGHTS2DistributorshallnotuseManufacturer’stradenamesand/ortrademarkswithoutpriorexpresswrittenconsentofManufacturer.UndernocircumstancesshallDistributor,atanytime,useManufacturer’stradenames,trademarksorotherproprietaryinformationaspartofDistributor’scorporateortradename.UponterminationofthisAgreement,DistributorshallremoveallreferencestoManufacturerfromitsletterheads,advertisingliteratureandplacesofbusiness,andshallnotthereafteruseanysimilarordeceptivenameortrademarkintendingtogivetheimpressionthatthereisanyrelationshipbetweentheparties.5.SALESFORCEDistributorshallmaintainacompetentandexperiencedsalesforcesufficienttoadequatelyservetheTerritory.6.CUSTOMERSERVICINGA.DistributorshallmaintainintheTerritorysufficientinventoryoftheProductssoastopermitfillingandshippingagainstcurrentcustomerordersnormallyshippedfromDistributor’swarehousestock.DistributoragreestonotifyManufacturerifitopensanynewofficesorbranchesorclosesorceasestooperatethroughoneofitsofficesorbranches.B.DistributorshallmaintainacompetentandexperiencedtechnicalforcesufficienttoprovidetechnicalsupportandservicetheTerritory.7.ORDERS/ACCEPTANCE/PRICEANDTERMSA.AllordersfromDistributoraresubjecttoapprovalandfinalacceptancebyManufacturer.PriceliststoDistributorshallbeassetforthinExhibitB(asrevisedfromtimetotimebyManufacturerinitssolediscretion)ineffectondateofshipment.FornonstandardProductswhicharesoldtoDistributorforresale,thepriceshallbeasquotedtoDistributorattimeofinquiry,providedthattheinquiryiswithinthirty(30)calendardaysoforderentry.B.PaymenttoManufacturerbyDistributorshallbeinUnitedStatescurrency.Upontheplacingoforder(s),DistributorshallcauseanirrevocableconfirmedletterofcredittobeissuedbyafinancialinstitutionsatisfactorytoManufacturer,infavorofsaidManufacturer,unlessanotherarrangementispreviouslyapprovedinwritingbyManufacturer.8.WARRENTYANDFORCEMAJEURE3A.ManufacturerwarrantsthatallProductsdeliveredhereundershallbeofManufacturer’sstandardqualityandwithoneyearwarranties.B.ManufacturershallnoteliablefordamagesresultingfromdelaysinshipmentorinabilitytoshipduetonormalproductionandshipmentdelaysorthoseresultingfromactsofGod,fires,floods,wars,sabotage,accidents,voluntaryorinvoluntarycomplianceswithanylaw,order,ruleorregulationofgovernmentalagencyorauthority;orarisingfromanyothercontingency,circumstancesoreventbeyondthecontroloftheManufacturer.9.RELATIONSHIPBETWEENMANUFACTURERANDDISTRIBUTORDistributorisnotanagent,employeeorlegalrepresentativeofmanufacturer,butanindependentcontractor.DistributordoesnothaveanyauthoritytoassumeorcreateanyobligationorresponsibilityonbehalfofmanufacturerorbindManufacturerinanymannerwhatsoever.TherelationshipbetweenManufacturerandDistributoristhatofvendorandvendee.Distributorfurtheragreestodefend,indemnifyandholdManufacturerharmlessfromandagainstanyandallclaimsofthirdpartiesthatwouldnothavearisenbutforanactoromissionbyDistributionthatiscontrarytotheabove-acknowledgedrelationshiporanyothertermhereof.10.TERM/CANCELLATIONA.ThisagreementshallbecomeeffectiveasofthedatehereofuponexecutionbyanauthorizedrepresentativeoftheManufacturerandbyanauthorizedrepresentativeofDistributorandshallremainineffectforThree(3)yearsthereafterunlesspreviouslyterminatedbyeitherpartyforanyotherreasonuponnotlessthanthirty(30)dayspriorwrittennoticetotheotherparty.B.UponterminationbyeitherManufacturerorDistributor,ManufacturershallhavetheoptionofbuyingbackfromDistributoranynewunsoldProductspurchasedfromManufacturer,atthepriceschargestoDistribu
