第1页共2页战略合作协议书StrategicCooperationAgreement甲方：PartyA:乙方：PartyB:甲、乙双方本着平等自愿、共同促进发展的原则，就化石燃料燃烧优化及尾气处理技术研究事宜，经友好协商，达成如下协议：Inaccordancewiththeprincipleofequityandfreewill,andcommondevelopment,PartyAandPartyBhavearrivedatthefollowingagreementbyfriendlynegotiationintermsoffossilfuelcombustionoptimizationandtailgastreatmenttechnology:一、甲方的权利义务I.PartyA’sRightandObligation1、甲方提供行业内部主流化石燃料燃烧设备资料，尾气处理技术资料。2、甲方帮助乙方争取新技术试点与推广，协助解决乙方在行业发展过程中的问题。3、在化石燃料炉膛燃烧方面的改良、优化、创新成果，包括设备、专利等归甲方所有。4、甲方支持乙方展开多种形式的互动交流与合作。1.PartyAshallprovidethedataonmainstreamfossilfuelcombustionequipmentandtailgastreatmenttechnologyintheindustry.2.PartyAshallassistPartyBinstrivingforthetrialandpromotionofnewtechnology,andalsoinsolvingtheproblemsduringindustrialdevelopment.3.Theimprovement,optimizationandinnovationsincombustionoffossilfuelinfurnace,includingequipment,patents,etc.shallbeownedbyPartyA.4.PartyAshallbeinsupportofPartyB’sinteractiveexchangeandcooperationinvariousforms.二、乙方权利义务II.PartyB’sRightandObligation1、乙方有权在双方认可的规程下，参与甲方产品优化事务，享有建议权和监督权。2、乙方应当充分利用甲方所提供资料，发挥自身优势，积极探索切实有效的新技术。3、在化石燃料燃烧尾气处理方面的改良、优化、创新成果，包括设备、专利等归乙方所有。4、乙方有义务执行双方所达成的决议，维护彼此的合法权益。1.PartyBisentitledtoparticipateinPartyA’sproductoptimization,andenjoytherightofmakingsuggestionsandsupervisionaccordingtotheproceduresagreedbybothparties.2.PartyBshallmakethemostofthedataprovidedbyPartyAtogivefullplaytotheiradvantagesandpositivelyexplorethepracticalandeffectivenewtechnology.3.Theimprovement,optimizationandinnovationsintreatmentoftailgasoffossilfuelcombustion,includingequipment,patents,etc.shallbeownedbyPartyB.4.PartyBisobligedtocarryouttheagreementconcludedbybothparties,andsafeguardthelegitimaterightsandobligationsofeachother.三、其它III.Others1、甲、乙双方中任何一方欲变更、解除本协议，必须采取书面形式，解除协议需提前一个月向对方提出。2.甲、乙双方中任何一方未履行本协议条款，导致协议不能履行、不能完全履行，对方有权变更、解除协议。3、本合同未尽事宜，双方应本着互惠互利、友好协商的原则另行约定。第2页共2页4、本协议一式两份，双方各执一份。5、本协议自双方代表人签字认可之时起生效。6、协议有效期三年，协议期满可另行续约。1.Eitherparty’schangeorterminationoftheagreementshallbeinwrittenform,andtheterminationoftheagreementshallbeinformedtotheotherpartyonemonthinadvance.2.Incaseeitherparty’sfailureinfulfillmentofthetermsoftheagreementleadstotheimpossibilityofperformingorcompletingtheagreement,theotherpartyhastherighttochangeorterminatetheagreement.3.Themattersnotcoveredintheagreementshallbesettledbybothpartiesinlinewiththeprincipleofmutualbenefitandfriendlynegotiation.4.Theagreementisinduplicate,oneforeachother.5.Theagreementtakeseffectuponthesignatureoftherepresentativesofbothparties.6.Theagreementremainsvalidforthreeyearsandshallbeextendedupontheexpirationseparately.甲方代表：PartyA’srepresentative:签署时间：Timeofsignature:乙方代表：PartyB’srepresentative:签署时间：Timeofsignature:
