1STANDARDMANAGEMENTLTD.■Moreprompt■Morepinpoint■MoreprofessionalHumanResourcesSolutionsContractNo./ST-//ContractPartyA:PartyB:PartyAandPartyBhaveagreedtoenterintothiscontractafternegotiationregardingthematterofentrustingPartyBwiththeaffairsofrecruitmentofexecutives.1.PartyBshallprovidePartyAwiththefollowingserviceswithincontractperiod:1.1ConductsearchingaccordingtothejobdescriptionoftheopeningprovidedbyPartyA,whichshallbedeemedasbeinginaccordancewithPartyA’struewill.1.2ProvidePartyAwithdetailedreportsofqualifiedcandidatesfortheselectionofPartyA1.3BeresponsibleforscheduleandadministrationofinterviewsbetweenPartyAandthecandidates1.4AssistPartyAinoffernegotiationtoleadtoasuccessfulplacement.2.Toavoidduplicationofeffortsandconfusions,ifPartyAfindsacandidatereferredbyPartyBisaduplicate,PartyAshallinformPartyBinwritingwithin48hoursafterreceiptofthecandidate’sreportfromPartyB.Otherwise,thecandidateshallbedeemedasbeingfirstreferredbyPartyB.3.MethodofPayment:Servicefeeforthepositionis___%oftheappointee’sfirstyearOTE(OTEistheOn-Target-Earningwhichincludessigning-onbonus,baseannualsalary,cashallowanceandon-targetcommissionsorbonuses),orminimum_________whicheverisgreater.PartyAshallpaythefirstinstallmentof__________uponenteringintothiscontractasthepriorityfeeforPartyB,thebalanceshallbepaidwithin7daysfromthedateofcandidate’sbeingonboard.PartyAshallinformPartyBoftheappointee’sfirstyearOTEuponPartyB’srequest.Anyreplacementswillonlybemadeonconditionthatourfeesandanyotheroutstandingaccountshavebeensettledinfullontime.ExpensesrelatingtotheseassignmentsapprovedinadvancebyPartyAwillbebilledatactualcost.4.PartyBshallrecommendothercandidatesaccordingtoPartyA’srequestprovidedthatthecandidatealreadyplacedgetsdismissedwithinprobationperiodof3months,exceptthatsuchseveranceisduetoPartyA’srestructureorPartyA’sbreachofemploymentcontractwiththecandidate.5.Duringtheeffectiveperiodofthiscontract,PartyBshallnotapproachPartyA’sexistingemployeesbyofferinganyoutsidejobopportunities.6.ThecandidatewhohasbeenreferredbyPartyBtoPartyA,oranyothercandidatesreferredbythecandidatefromhis/herinterviewwithPartyA,shallbedeemedasavalidcandidateofPartyBwithintwelvemonthsfromthefirstreferraldate.IfPartyA2employthecandidate,duringthisperiodevenifinprivatewithoutviaPartyB,PartyBshallstillhavetherighttodemandPartyAtopaytheservicefeeinfull.PartyAalsoshallnotrecommendthecandidatetoanythirdpartywithoutwrittenconsentofPartyB.7.PartyAshallberesponsiblefortheemploymentcontractofthecandidateaswellastheregistrationofsuchcontractwiththecompetentgovernmentlabordepartment.PartyAshallalsopaytheservicefeetoPartyBontime.Foranydefaultinthepayment,PartyBshallhavetherighttodemandPartyAtofurtherpayoverduefineattherateof1%ofthetotalamountperday.8.Neitherofthepartiesshallreleaseinformationoftheotherpartyorofthecandidatetoathirdparty.9.Ifforanyreason,PartyAdecidetocanceltheassignmentduringtheeffectiveperiodofthiscontract,PartyB’schargeswillconsistoffeesandexpensesincurredonlytothedateoftermination.10.ThroughunderstandingofPartyA,PartyBcanopportunisticallyinformpartyAoftheavailabilityofuniquelyqualifiedtalentwithdetailedresumeevenwhenthereisnoformalassignment.Successfulplacementsinsuchcasescanalsobesettledaccordingtothiscontract.11.InterviewbyPartyAofanycandidatereferredbyPartyBwillbedeemedacceptanceinfulloftheabovetermsandconditionsevenbeyondtheeffectiveperiodofthiscontract.12.Thiscontractshalltakeeffectuponsignature,andanymodificationshallbemadeinwritingwithagreementofbothparties.Itcanbeterminatedbyaone-monthadvancenoticeinwritingfromeitherpartyandalltheoutstandingaccountsmustbesettledbeforetermination.Thiscontracthastwocopies,eachpartyholdsacopy,bothbeingequallyvalid.PartyA:PartyB:Signature:Signature:
