123456AbstractWithfurtherdevelopmentofmarket--orientedeconomy,trendofunificationofinternationaleconomyhasimpactedoperationmeansandconceptofdomesticenterprises.Purchasingfromallovertheworldandsellingtointernationalmarkethavebecomeaneffectivemeasureforenterprisestolowercostandpursuemaximalprofit.While,amajorityofdomesticenterpriseshavingnoimport&exportoperationpowerandcurrentoperatingstatusofforeigntradecompanyinourcountryhavemadepeoplevaluemoreandmoreaboutforeigntradeagencysystem.Currently,wehavenotreachedconsensusonbasicissuesofforeigntradesystemtheoretically.Inlegislation,lawsandregulationsofourcountryonforeigntradeagencyarenotcompleteandwithmanydefects.Operationsviolatingrulesoccursalotinforeigntradeagencypracticesandharmedthelegalrightsandinterestsoftheparties.Manydisputesarecausedtherebyandaffectedeconomicdevelopment.Thisarticletriedtostudyanddiscussissuesexistinginforeigntradeagencysystemofourcountryfromcurrentstatus,andseekresolutionstotheissuesandmeasurestoperfectthe7systemonthebasisofthis.Meanwhile,inreferencetointernationalpactsandforeignlegislationandpractices,andincombinationwithpracticalconditionofourcountry,itgavethedevelopmentprospectanddirectionofforeigntradesysteminourcountry.Thearticleincluded4sections:The1stsectionintroducedcurrentstatusofforeigntradeagencysystemofourcountry.Itdescribedcurrentstatusofforeigntradeagencysystemanditslegalbasis,currentstatusofimplementingforeigntradeagencyfromthreedifferentaspects.Throughdescriptionofrealityofforeigntradeagencysystemofourcountry,suchaconclusioncanbereached:foreigntradeagencysystemofourcountrywasintroducedundertheplanningeconomy,andmostofthecurrentrulesonforeigntradeagencyarebasedontraditionalsuperiorityofforeigntradecompanies,ortheyaresupportedbytheirmonopolystatusincertainaspects.Currentstatusoflegalbasisofforeigntradeagencyisnotideal,rulesonagencyinGeneralRulesonCivilLawdoesnotevenincludeforeigntradeagency,thespecialformofagency.ThoughTemporaryRulesonForeignTradeAgencySystemincludesrulesonforeigntradeagency,butitisonalowereffectivelevelandisinconsistenttorulesinGeneralRulesonCivilLaw.ThereisnolegalbasisonexistenceandoperationofforeigntradeagencysystemuntilContractLawwasenacted.8Butoperationsviolatingrulescanstillbeseeninpractice.The2ndsectionsummedandanalyzeddefectsexistinginforeigntradeagencysystemofourcountry.Itisbelievedthatgenerallyspeaking,foreigntradeagencysystemofourcountryisnotcomplete.Existingproblemsinclude:indefinitelegalnatureofforeigntradeagencymadeitdifficultforforeigntradetoformconcretestandard;withoutidealmicrofoundationandmacroenvironmentinimplementingforeigntradeagencymadepromotionofforeigntradeagencyshortageofobjectivecondition;incompleterelevantrulesinsubstantivelawsandnocorrespondingrulesinprocedurallawscorrespondingtothatofsubstantivelawmadeimplementingofforeigntradeagencyshortageoflegalbasis,etc.The3rdsectionraisedsomesuggestionsonperfectingforeigntradeagencysystemofourcountry.ThroughtheaboveanalysisofdefectsofforeigntradeagencysystemandinreferencetolegislativecasesinAnglo-Americanandcontinentallegalfamiliesonagency,itisbelievedthatitshallbeexplicitinlegislationthatnatureofforeigntradeagencyofourcountryshallbeagencyinsteadofconsignmentorcommission.ModificationofGeneralRuleofCivilLawandperfectingContractLaw,andexpansionthescopeofagencycanhelpmakeforeigntradeagencysystemsystematicandlegitimate.Proceduralsystemshouldbeperfectedtomatch9substantiveprovisions.Modifyrelevantpoliciesandchangeapprovalofpowerofexportoperationtoregistration.Cleartheobstaclesfordevelopmentofforeigntradeagencysystem,etc.The4thsectiondiscussedtheprospectofforeigntradeagencysystemofourcountry.Throughanalysisofpracticesinforeigntradeagencyofothercountriesintheworldandcurrentstatusofeconomicdevelopmentofourcountry,itisbelievedthatforeigntradeagencysystemisnotonlyatransitionalmeasure,butalsohasawideexistinganddevelopingspace.But,inthemeantimeofpromotingforeigntradeagencysystem,propersafeguardshallbegiventochangefromtraditionalmeasureofforeigntradecompaniesandimplementacompletelynewconceptinforeigntradeagency,orservice-styleforeigntradeagency.101112131415161718192021222324252627282930313233343536373839404142434445464748495051525354555657
