ASSETPURCHASEAGREEMENTAMSCANHOLDINGS,INC.andAMERICANGREETINGSCORPORATIONDatedasofDecember21,2009ASSETPURCHASEAGREEMENTThisAssetPurchaseAgreement(theAgreement)isenteredintoonDecember**,20**,byandbetween***.,a***corporation(Buyer)and***Corporation,an***corporation(Seller).BuyerandSellerarecollectivelyreferredtohereinastheParties.WHEREAS,SellerhasdeterminedthatitdesirestosellandtransfercertainassetsandprocessesutilizedbySellerinthemanufactureanddistributionofPartyGoods(ashereinafterdefined)generallyundertheDesignWarelabel(theBusiness);WHEREAS,BuyerdesirestopurchaseandacquirefromSellersuchassetsutilizedintheBusiness;andWHEREAS,subjecttothetermsandconditionscontainedinthisAgreement,SellerherebyshallsellandtransferandBuyerherebyshallpurchaseandacquirecertainoftheassetsoftheSellerasmorefullyspecifiedbelow.NOW,THEREFORE,inconsiderationofthepremisesandthemutualpromiseshereinmade,andinconsiderationoftherepresentations,warranties,andcovenantshereincontained,thePartiesagreeasfollows.1.DEFINITIONS;CERTAINRULESOFCONSTRUCTION.Asusedherein,thefollowingtermswillhavethefollowingmeanings:AcquiredAssetshasthemeaningsetforthin§2.1.Actionmeansanyclaim,action,causeofactionorsuit(whetherincontractortortorotherwise),litigation(whetheratlaworinequityandwhethercivilorcriminal),controversy,assessment,arbitration,investigation,hearing,charge,complaint,demand,noticeorproceedingto,from,byorbeforeanyGovernmentalAuthority.AdditionalStandardshasthemeaningsetforthin§3.6Affiliatemeans,astoanyspecifiedPersonatanytime,eachPersondirectlyorindirectlycontrolling,controlledbyorunderdirectorindirectcommoncontrolwithsuchspecifiedPersonatsuchtime.Agreementhasthemeaningsetforthinthepreamble.AmscanmeansAmscanInc.,aNewYorkcorporationandawholly-ownedsubsidiaryofBuyer.BillofSalehasthemeaningsetforthin§2.7(a)(ii).Businesshasthemeaningsetforthintherecitals.BusinessDaymeansanyweekdayotherthanaweekdayonwhichbanksintheStateofNewYorkareauthorizedorrequiredbyLegalRequirementtobeclosed.Buyerhasthemeaningsetforthinthepreamble.BuyerFinancialStatementshasthemeaningsetforthin§4.8.BuyerIndemnitieeshasthemeaningsetforthin§6.2.Buyer'sKnowledgemeanstheactual(andnotconstructiveorimputed)knowledgeofthefollowingindividuals:JamesM.Harrison,MikeHarrison,BillFinch,BarryMorinandEricStollman.Closinghasthemeaningsetforthin§2.6.ClosingDatehasthemeaningsetforthin§2.6.ContractualObligationmeans,withrespecttoanyPerson,anywrittencontract,agreement,deed,mortgage,lease,license,commitment,undertaking,arrangementorunderstanding,orotherdocumentorwritteninstrument,includingwithoutlimitationanydocumentorwritteninstrumentevidencingorotherwiserelatingtoanyDebt(butexcludingthecharterandby-laws(orsimilarcomparableorganizationaldocuments)ofsuchPerson),towhichorbywhichsuchPersonisapartyorotherwisesubjectorboundortowhichorbywhichanypropertyorrightofsuchPersonissubjectorbound.DebtofanyPersonmeansallobligationsofsuchPerson(i)forborrowedmoney,(ii)evidencedbynotes,bonds,debenturesorsimilarinstruments,(iii)undercapitalleasesor(iv)inthenatureofguaranteesoftheobligationsdescribedinclauses(i)through(iii)hereinofanyotherPerson.EnforceabilityExceptionhasthemeaningsetforthin§3.2.EscrowAgenthasthemeaningsetforthin§2.5.EscrowAgreementhasthemeaningsetforthin§2.5.EscrowAccounthasthemeaningsetforthin§2.5.Equipmenthasthemeaningsetforthin§2.1(a).EquipmentExhibithasthemeaningsetforthin§2.1(a).ExcludedAssetshasthemeaningsetforthin§2.2.Facilityhasthemeaningsetforthin§2.8.GAAPmeansUnitedStatesgenerallyacceptedaccountingprinciples.-2-GovernmentalAuthoritymeansanyUnitedStatesfederal,stateorlocaloranyforeigngovernment,orpoliticalsubdivisionthereof,oranymultinationalorganizationorauthorityoranyauthority,agencyorcommissionentitledtoexerciseanyadministrative,executive,judicial,legislative,police,regulatoryortaxingauthorityorpower,anycourtortribunal(oranydepartment,bureauordivisionthereof),oranyarbitratororarbitralbody.IndemnifiedPartyhasthemeaningsetforthin§6.5.IndemnifyingPartyhasthemeaningsetforthin§6.5.IndemnityCaphasthemeaningsetforthin§6.3(e).IndemnityThresholdhasthemeaningsetforthin§6.3(e).InitialInventoryExhibithasthemeaningsetforthin§2.1KeyBuyerCustomershasthemeaningsetforthin§4.9.KeySellerCustomershasthemeaningsetforthin§3.13.LegalRequirementmeansanyUnitedStatesfederal,state,orlocaloranyforeignlaw,statute,standard,ordinance,code,rule,regulation,resolutionorpromulgation,oranyorder,judgmentordecreeofanyGovernmentalAuthority.Liabilitymeansanyliabilityorobligation(whetherknownorunknown,whetherassertedorunasserted,whetherabsoluteorcontingent,whetheraccruedorunaccrued,whetherliquidatedorunliquidatedandwhetherdueortobecomedue).Lienmeansanymortgage,pledge,lien,securityinterest,charge,adverseorpriorclaim,encumbrance,restrictionontransfer,conditionalsaleorothertitleretentiondeviceorarrangement(includingwithoutlimitationacapitallease),transferforthepurposeofsubjectiontothepaymentofanyDebtorotherobligation,orrestrictiononthecreationofanyoftheforegoing,whetherrelatingtoanypropertyorrightortheincomeorprofitstherefrom;provided,howev
