设备维修协议书EquipmentMaintenanceandRepairAgreement正本ORIGINAL合同编号AgreementNo.:签订日期DateofSign:甲方：PartyA:地址：ADD:TEL:FAX:乙方：PartyB:ADD:TEL:FAX:乙方接受甲方委托，乙方为保证甲方设备的正常使用，对甲方的协议设备进行维修服务，为保护甲乙双方的合法权益，根据《中华人民共和国合同法》及相关法律，甲乙双方友好协商签订本协议。ThisagreementismadebetweenthePartyAandPartyBaccordingtoContractLawofthePeople'sRepublicofChinaandrelatedlaws.WherebythePartyBagreestomaintainandrepairtheequipmentunder-mentionedandguaranteethequalitytoPartyA.第一条标的物序号ItemNo.设备名称Description型号Model数量Quantity(Pcs)1第二条乙方义务ObligationofPartyB1．乙方收到设备后对设备进行校准维护。PartyBshallrepairandmaintaintheequipmentafterreceiptofit.2．协议维修期限内维修完毕后乙方寄给甲方，并以书面的方式通知甲方。协议维修期为六个月，自签订日期算起。如超越期限未履行完毕维修义务的，甲方有权解除协议另行委托第三方维修且由此产生的维修费用和乙方迟延履行义务给甲方造成的损失均因由乙方承担。PartyBshalldispatchtheequipmentandgiveawrittennoticetoPartyAafterrepairandmaintenance.Thetimeforrepairandmaintenanceissixmonthsstartingfromdateofthisagreementsignedbybothparties.PartyAshallhavetherighttocanceltheAgreementandinvitetheThirdPartytorepairtheequipmentifPartyBcannotfinishtheperformancewithinthetimeforrepairandmaintenanceandalltheexpensesandothernecessaryexpensesrequiredincurredthereforeshallbebornebyPartyB.3.乙方为甲方提供的更换部件必须保证为原装部件，如有特殊情况，乙方需在与甲方协商认同后更换与原部件应用功能与技术指标相近的部件。PartyBshallguaranteethereplacementaccessoriesarefactoryoriginalones.Underspecialcircumstances,PartyBshallreplacetheaccessorieswiththosethathavesimilarperformanceandspecificationstofactoryoriginalonesupontheagreementofthePartyA4.如果乙方为甲方更换的部件在三个月保修期内损坏（收到设备当天算起），乙方需为甲方免费更换、维修。GuaranteeTimeisthreemonthsstartingformdateofreceiptofequipmentbyPartyA.PartyBshallreplacethedamagedreplacementaccessorieswithintheguaranteeperiodandbearallexpensesincurred.第三条甲方义务ObligationofPartyA1．甲方在协议设备出现故障后，及时通知乙方。PartyAshalltimelynotifyPartyBwhentheequipmenttroubleoccurs.2．甲方不能使用未经乙方认可的，非原厂的零配件、消耗品，否则产生的设备故障，乙方不承担责任。PartyBshallnotbeartheresponsibilityfortheequipmenttroubleswhenPartyAusesnon-factoryoriginalaccessoriesand/orpartswithouttheagreementofthePartyB.3．未经乙方认可，甲方不得邀请第三方单位对协议设备进行维修，否则乙方不承担由此产生的后果和责任。PartyBshallnotbeartheresponsibilityandconsequencewhenPartyAinvitesThirdPartytorepairtheequipmentwithouttheagreementofthePartyB.4．甲方不得对合同设备进行私自拆卸，否则由甲方承担所造成的全部损失。PartyAshallbearalltheresponsibilityandconsequencefordisassemblingtheequipmentwithouttheagreementofthePartyB.第四条结算金额及方式PaymentTerms由于维修配件数量及型号具有不确定性，所以甲方按实际发生维修配件金额为依据，向乙方支付维修费。甲方在收到维修好的设备后应在两周内完成验收工作，一个月内完成付款。PartAshallpaytheactualexpenseforrepairandmaintenancetoPartyB.Afterarrivaloftheequipment,PartyAshalldotheinspectionwithintwoweeksandpaywithinamonth.第五条争议的解决SettlementofDispute1、协议的订立、效力、解释、履行、终止及争议的解决均受中华人民共和国（不包括香港、台湾、澳门）法律管辖。如果本协议中有无法执行的条款，双方应根据原条款的真实意图及经济后果另立新的款项。Theconclusion,validity,explanation,performance,termination,anddisputesettlementoftheAgreementaretobesubjecttothelawsofthePeople’sRepublicofChinawithHongKong,TaiwanandMacaobeingexcluded.IftheAgreementcannotbeimplementedintheterms,thenewtermstothisAgreementshallbeagreedinwritingbybothPartiesandshallrefertothisAgreement.2、因执行本协议而引起的或与本协议有关的一切争议，双方应友好协商解决并签订补充协议。无法协商一致的，任何一方均可将争议提交中国国际经济贸易仲裁委员会华南分会，根据该会仲裁程序进行仲裁。按照该会现行有效的仲裁规则进行仲裁，仲裁裁决是终局的，对双方当事人均有约束力，任何一方不得向其它仲裁机构提出申请。败诉方承担仲裁费。Alldisputearisingfromtheexecutionof,orinconnectionwiththisAgreementshallbesettledamicablythroughfriendlynegotiation.Incasenosettlementcanbereachedthroughnegotiation,thecaseshallthenbesubmittedtotheChinaInternationalEconomicandTradeArbitrationCommissionSouthChinaSub-CommissionforarbitrationinaccordancewithitsProvisionalRulesofProcedure.Thearbitrateawardisfinalandbindinguponbothparties.Bothpartiescannotsubmitthecasetoanyotherarbitrationtribunal.Arbitrationfeeshallbebornebythelosingparty.第六条生效条款Effectiveness1、本协议一式两份，采用中、英文书写，两种文字具有同等权力，签字双方各执一份。ThisAgreementismadeoutinbothChineseandEnglish,eachlanguagebeinglegallyoftheequaleffect.EachpartykeepsoneoriginalofthetwoafterthesigningoftheAgreement.2、如果本协议中的任何条款或规定被认为非法或不可执行，则除这些条款和规定以外的其他条款的效力和可执行性不得因此而受到影响。IfanytermofthisAgreementisheldillegal,unenforceableorotherwiseinvalid,thattermwillbeseveredfromthisAgreementandtheremainderofthisAgreementshallremaininfullforceandeffect.3、本协议自甲方与乙方法定代表人或授权代表签字盖章之日起生效。TheAgreementbecomeseffectiveaftersignedandsealedbythelegalrepresentativeorauthorizedrepresentativeofbothparties.甲方（PartyA）:乙方（PartyB）：法定代表人或授权代表：法定代表人或授权代表：LegalRepresentativeLegalRepresentative(AuthorizedRepresentative)(AuthorizedRepresentative)
