IRREVOCABLECOMMISSIONAGREEMENT佣金协议本佣金协议书于2013年08月日在中国北京由双方在平等互利基础上达成，按双方同意的下列条件发展业务关系：ThisCommissionAgreement(Agreement)isbetweenthepartiesconcernedonAugust,2013inBeijing,Chinaonthebasisofequalityandmutualbenefittodevelopbusinessontermsandconditionsmutuallyagreeduponasfollow:Inconsiderationofthemutualagreementsandcovenantshereincontained,thepartiesheretoagreeasfollows:合约号码:ContractNo.:1.协议开始日期:AGREEMENTINITIATIONDATE:本协议从___________,2013开始生效。Thisagreemententersintoforceon_______________,2013.2.协议方:PARTIES:本协议涉及以下各方:Thisagreementismadeandenteredbyandbetween:甲方:PARTYA:公司:COMPANY:地址:ADDRESS:国家:COUNTRY:电话:TEL:传真:FAX:电子邮件:E-MAIL:AND和乙方:PARTYB:公司:COMPANY:地址:ADDRESS:国家:COUNTRY:电话:TEL:传真:FAX:电子邮件:E-MAIL:3.委任：Appointment甲方指定乙方为其在中国的全权采购代理，采购甲方指定的烯烃芳烃加氢和异构化催化剂，瓦斯油（AGO+VGO）脱硫催化剂，石脑油加氢催化剂（详见产品采购合同）。ThePartyAappointsthePartyBasitsExclusivePurchasingAgencyinChina,purchasingthegoodsasPartArefers.Olefins,AromaticsHydrogenationandIsomerisationCatalysts，GasOilDesulfurizationCatalyst（AGO+VGO），LightNaphthaHydrotreaterCatalyst.(DetailsasperPurchaseContract)4.双方的职责：Dutiesoftwoparties:(1)甲方所需的采购业务应提交给乙方详细的采购产品信息，比如材质、尺寸、数量、品质等具体要求。PartyAshallprovidealltheinformationofthepurchasingproductstoPartyB,suchasmaterial,size,quantity,qualityandotherconcreterequirements.乙方向甲方提供采购产品客户信息，代理信息，代理租船顾问业务等。负责落实甲方采购产品资源，渠道和谈成供货意向一并介绍给甲方。PartyBshallprovidePartyAcustomers’informationandagentinformation,consultancyserviceonagentschartering.Besides,heshallfindandconfirmtheproductsresourcesandsupplychannel,thenintroducetheseinformationtotallytoPartyA.(2)因甲方购买的产品涉及专利产权和产品生产者指定代理的情况，乙方负责促成甲方与产品生产者或产品生产者代理商之间签署采购协议，实现贸易，并负责为甲方对采购产品取样、验货、出货等的环节进行服务。PartyBshallhelpandfacilitatePartyAsignthePurchasingAgreementwiththesuppliersoragents,alsoshouldprovideservicesinmanyaspects,suchassampling,inspection,deliveryandothermatters.5.货款的支付方式：Paymentofgoods甲方购买的产品涉及专利产权或产品生产者指定代理的情况，甲方与产品生产者或产品生产者代理商之间直接签署采购协议，货款支付方式由协议双方协商达成一致。PartyAwillsignPurchasingAgreementdirectlywithproducersoritsagents,andthepaymenttermofgoodswillbenegotiatedandagreedbyPartyAandtheSeller.6.佣金的计算、给付方式、给付时间：Commissioncalculation,paymentmethods,paymenttime甲方同意按照采购产品总金额的（1-5）%支付佣金给乙方，支付日期为付款给卖方的同一天，佣金汇入乙方指定银行账户。如甲方以预付款或分期付款的形式向卖方支付货款，在甲方向卖方支付第一笔货款的同时向乙方全额支付采购产品总金额的佣金。ForthePurchasingAgent'sservices,thePartyAshallpaythePartyBthefollowingcommissionpercentage:(1-5)%ofPartB’spurchasingaggregateamountoftheinvoicevalue,simultaneouslywithinthesamebankingdayasthepartyAmakespaymenttotheSeller.CommissionshouldberemittedtoPartyB’sdesignatedbankaccount.IfthePartyAmakesadvancepaymentstotheSellerorpaymentbyinstallments,heshouldpaythecommissiontoPartyBsimultaneouslywiththefirstpaymenthemadetotheSeller.7.违约责任：(1)甲方若不按本合同第6条的执行，逾期一天应支付乙方滞纳金，滞纳金系数为：总佣金的5‰/天。PartyAifnotinthisagreementandarticle6,executionofexpireddayshallpaypartyBoverduefine,finefordelayingpaymentcoefficientfor:thetotalcommission5‰/day.8.协议的修改：Modification此协议书只有经双方共同签字后才能作修改，ThisAgreementmaynotbemodifiedexceptbyamendmentreducedtowritingandsignedbybothParties.9.不可抗力：ForceMajeure由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。Eitherpartyshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthisagreementduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelativeparty.However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftersendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.10.仲裁：Arbitration因履行本协议所发生的一切争议应通过友好协商解决。如协商不能解决争议，则应将争议提交中国国际经济贸易仲裁委员会(北京)，依据其仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力，仲裁费用，除另有规定外，由败诉一方负担。Alldisputesarisingfromtheperformanceofthisagreementshallbesettledthroughfriendlynegotiation.Shouldnosettlementbereachedthroughnegotiation,thecaseshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommission(Beijing)andtherulesofthisCommissionshallbeapplied.Theawardofthearbitrationshallbefinalandbindinguponbothparties.Arbitrationfeesshallbebornebythelosingparty,unlessotherwiseawarded.11.协议有效期：ValidityofAgreement本协议经有关双方如期签署后生效，有效期为年，从2013年08月日到年月日。Thisagreement,whendulysignedbythebothpartiesconcerned,shallremaininforceforyears,fromAugust,2013toXX,XX.12.协议的终止：Termination在本协议有效期内，如果一方被发现违背协议条款，另一方有权终止协议。Duringthevalidityofthisagreement,ifeitherofthetwopartiesisfoundtohaveviolatedthestipulationsherein,theotherpartyhastherighttoterminatethisagreement.13.本协议于2013年08月日在北京签订，一式两份，双方各执一份。ThisAgreementissignedon...inBeijingandisintwooriginals；eachPartyholdsone.14.甲方与产品生产者或产品生产者代理商签署的采购协议要向乙方提供一份原件，并在采购协议中将乙方作为甲方代理的身份体现。ThePartyAshallprovidePartyBanoriginalPurchasingContractsignedbetweenhimandtheSeller,andinthePurchasingContract,shallshowPartyBistheAgencyofPartyA.甲方:PartyA:乙方：PartyB:(签字)(签字)(Signature)(Signature)
