Copyright©2002byInternationalSwapsandDerivativesAssociation,Inc.ISDA®InternationalSwapsandDerivativesAssociation,Inc.2002MASTERAGREEMENTdatedasof................................................(仅供参考)*ISDA®国际掉期及衍生工具协会2002年主协议_____年_____月_____日______________________and______________________________________________与______________________haveenteredand/oranticipateenteringintooneormoretransactions(eacha“Transaction”)thatareorwillbegovernedbythis2002MasterAgreement,whichincludestheschedule(the“Schedule”),andthedocumentsandotherconfirmingevidence(eacha“Confirmation”)exchangedbetweenthepartiesorotherwiseeffectiveforthepurposeofconfirmingorevidencingthoseTransactions.This2002MasterAgreementandtheSchedulearetogetherreferredtoasthis“MasterAgreement”.之间已进行及/或预期进行受本2002年主协议约制(或将为其约制)的一项或多项交易(均称为交“易”)；本主协议包括附件(以下简称附“件”)以及各方之间交换的或为确认或证明该些交易而生效的文件和其他确认证据(均称为确“认书”)。本2002年主协议及其附件统称为主“协议。”Accordingly,thepartiesagreeasfollows:―据此此此方同意如下下–1.Interpretation1.释义(a)Definitions.ThetermsdefinedinSection14andelsewhereinthisMasterAgreementwillhavethemeaningsthereinspecifiedforthepurposeofthisMasterAgreement.(a)定义。就本主协议而言此言14条以及本主协议其他部分所定义的词汇将具有其所特定的含义。(b)Inconsistency.IntheeventofanyinconsistencybetweentheprovisionsoftheScheduleandtheotherprovisionsofthisMasterAgreement,theSchedulewillprevail.IntheeventofanyinconsistencybetweentheprovisionsofanyConfirmationandthisMasterAgreement,suchConfirmationwillprevailforthepurposeoftherelevantTransaction.(b)不一致。若附件的条款与本主协议的其他条款有不一致之处此以附件为准。若任何确认书与本主协议之条款有不一致之处此就有关交易而言此以确认书为准。(c)SingleAgreement.AllTransactionsareenteredintoinrelianceonthefactthatthisMasterAgreementandallConfirmationsformasingleagreementbetweentheparties(collectivelyreferredtoasthis“Agreement”),andthepartieswouldnototherwiseenterintoanyTransactions.(c)单一协议。所有交易的进行乃基於本主协议以及所有确认书构成此方之间的单一协议(统称协“议”)这一事实此实则此方不会进行任何交易。2.Obligations2.义务(a)GeneralConditions.(a)一般条件。(i)EachpartywillmakeeachpaymentordeliveryspecifiedineachConfirmationtobemadebyit,subjecttotheotherprovisionsofthisAgreement.(i)受本协议的其他条款约束此此方应按各份确认书的规定进行各项付款或交付。(ii)PaymentsunderthisAgreementwillbemadeontheduedateforvalueonthatdateintheplaceoftheifidihlCfii(ii)本协议项下的付款应於到期日在有关确认书所规定的帐户所在地或按本协议其他规定另行支付；款项应以自由可转*ThisChinesetranslationisforreferenceonly.PartiesshouldalwaysexecutetheEnglishoriginalinconductingtransactions.Althougheveryefforthasbeenmadetoensuretheaccuracyofthistranslation,duetodifferencesingrammarandlegalterminologies,thepossibilitythattermsorwordsusedintheChinesetranslationmayhavedifferentmeaningsorconnotationsfromtheEnglishoriginalcannotberuledout.Therefore,thisChinesetranslationshouldnotberelieduponbyanypersoninmakinganydecisionortakinganyaction.IfthereexistsanydifferencebetweenthisChineseversionandtheEnglishversion,theEnglishversionshouldgovern.本本本本仅本本参考。本本本本已本本本该本文本本准确本本本文本文此本由本本本文本词用语语语构及语语语语之不同此本文本文不可语语与本文本语有一些一一此一此交易本不应仅一一本本本本而一一任何一定或一一任何行一此本本文本不一致之处此应以本文本为准。HK:319583.52accountspecifiedintherelevantConfirmationorotherwisepursuanttothisAgreement,infreelytransferablefundsandinthemannercustomaryforpaymentsintherequiredcurrency.Wheresettlementisbydelivery(thatis,otherthanbypayment),suchdeliverywillbemadeforreceiptontheduedateinthemannercustomaryfortherelevantobligationunlessotherwisespecifiedintherelevantConfirmationorelsewhereinthisAgreement.让资金以及所需货币付款的通本方式支付。若语算以交付形式进行(即付款之外的方式)此该交付应於到期日按有关义务的通本方式进行此有关确认书或本协议另有规定本除外。(iii)EachobligationofeachpartyunderSection2(a)(i)issubjectto(1)theconditionprecedentthatnoEventofDefaultorPotentialEventofDefaultwithrespecttotheotherpartyhasoccurredandiscontinuing,(2)theconditionprecedentthatnoEarlyTerminationDateinrespectoftherelevantTransactionhasoccurredorbeeneffectivelydesignatedand(3)eachotherconditionspecifiedinthisAgreementtobeaconditionprecedentforthepurposeofthisSection2(a)(iii).(iii)言2(a)(i)条下各方的每项义务一一於以下先一条件下(1)对方没有发生及持续语在的违约事件或潜在违约事件；(2)就有关交易而言尚未一现或尚未有效地指定提前终止日；以及(3)本协议规定的作为本言2(a)(iii)条先一条件的其他各项条件。(b)ChangeofAccount.EitherpartymaychangeitsaccountforreceivingapaymentordeliverybygivingnoticetotheotherpartyatleastfiveLocalBusinessDayspriortotheScheduledSettlementDateforthepaymentordeliverytowhichsuchchangeappliesunlesssuchotherpartygivestimelynoticeofareasonableobjectiontosuchchange.(b)更改帐户。除非另一方及时发一通知对帐户更改提一合理的本对意见此任何一方可在付款或交付的预定语算日前至少五个当地营业日通知对方变更接收款项或交付的帐户。(c)NettingofPayments.Ifonanydateamountswouldotherwisebepayable:―(c)付款净额语算。若任何日期此方均须下–(i)inthesamecurrency;and(i)以相同货币；及(ii)inrespectofthesameTransaction,(ii)就相同交易此byeachpartytotheother,then,onsuchdate,eachparty’sobligationtomakepaymentofanysuchamountwillbeautomaticallysatisfiedanddischargedand,iftheaggregateamountthatwouldotherwisehavebeenpayablebyonepartyexceedstheaggregateamountthatwouldotherwisehavebeenpayablebytheotherparty,replacedbyanobligationuponthepartybywhichthelargeraggregateamountwouldhavebeenpayabletopaytotheotherpartytheexcessofthelargeraggregateamountoverthesmalleraggregateamount.向另一方付款此此方支付该款项的义务将於当日自一地完成及解除此若一方本应支付的总额高於对方本应支付的总额此支付较大总额一方的付款义务则为向另一方缴付两本之间的一额。ThepartiesmayelectinrespectoftwoormoreTransactionsthatanetamountandpaymentobligationwillbede
