1/7FinalCopy2016/09/07*****BusinessSchool(简称1)inChina,and***StateUniversity(简称2)intheUSAplantodevelopacooperativemode,basedonaglobalstudyprogramat*****BusinessSchooland***StateUniversity.Themodeisformedthroughbilateraldiscussionsandisinaccordancewiththeprinciplesofcooperation,development,equalityandrisk-sharing.Detailsofthemodeareprovidedbelow:1.CooperativeParties:Article1ThisagreementisbetweenPartyA:*****BusinessSchoolatAddress:************************,FuzhouCity,FujianProvince,China350108AuthorizedRepresentative:Dr.*****,ViceDeanAndPartyB:***StateUniversityAddress:**********************,USAAuthorizedRepresentative:Dr.*********,Provost2.CooperationPrinciplesandObjectives:Article2CooperationPrinciples:ToimplementPartyA’seducationstrategicdevelopmentalguidelines,inwhichthecooperationwillintroducethelatestcurricula,educationresourcesandteachingmethodsfromtheUnitedStatesofAmerica,andwillpromotethusexchangeandcooperationinthefieldofeducationbetweenChinaandtheU.S.A.Article3ProjectObjectives:ThisprogramintendstopromoteandprepareChinesestudentswhoarewillingtostudyinreputeduniversitiesabroadtocontinuetheirstudiesinundergraduateand/orgraduatecoursesineithernations,notablyatPartyB’scampusintheUSA.2/7FinalCopy2016/09/07Article4ProgramAccreditation:Thisprogramwillbegovernedbytheregulations,standardsandeducationalproceduresofpartyA,theMinistryofEducationofChina,PartyB,andHigherLearningCommissionoftheUnitedStatesofAmerica.Failuretoabidebyandmeetanyofthesestandardsshallconstituteabreachofthisagreement.3.ProgramContentandDuration:Article5TheProgram:InternationalCooperationProgramsbetweenPartyAandPartyB.Article6TermofProgram:FouryearsArticle7IntakeNumberofStudents:Aminimumof15andamaximumof100studentsforeverycohortperAcademicYear.An“AcademicYear”istwoconsecutivesemestersstartingfromthefallsemester.Article8EnrollmentandMatriculation:Theprogramwillbeofficiallypresentedandpromotedinthewebsitesof1and2.Thestudentswhosuccessfullycompletethecoursesspecifiedforthefirstyearofthecurriculummap(ExhibitA)andpassexaminationsat1willbedirectlyadmittedto2asstudentsofthesecondyear.TheEnglishlanguagerequirementat2willbewaivedforthosestudents.Article9PartyAandPartyBwilljointlydevelopandimplementtheteachingplanfortheprograminaccordancewithExhibitA.Article10Degrees:Underthisprogram,studentsshallbeenrolledatPartyAforthefirstyearandatPartyBfortheremainingthreeyears.ThestudentswhosuccessfullyobtaintherequiredcreditsspecifiedintheprogramteachingplanandfulfilltherequirementsforthedegreewillbeawardedaBachelor’sdegreefrom*****StateUniversity.Article11ProgramManagement:3/7FinalCopy2016/09/07AJointProgramManagementCommitteewillbesetuptocoordinatetheimplementationoftheprogram,andwillnegotiateontheissuesraisedandseeksolutions.Thecommitteeiscomposedofrepresentativesfrombothparties,amongwhichfourrepresentativesfromPartyAareandfourfromPartyB.Theco-chairs,appointedbyeachparty,willberesponsibleforsettingtheagenda,conductingthemeetingandprovidingdirectionandguidancetotheCommittee.AquorumforthemeetingsoftheCommitteewillrequireatleastfourmembersbeingmadeupofatleasttwomembersofPartyAandatleasttwomembersofPartyB.Meetingswillbecalledviaon-siteorvideo-conferencingwithatleast15workingdayspre-notice.AlldecisionsoftheCommitteewillrequireamajorityagreementoftheparticipatingmembers.Onlymembersparticipatingatthemeetingwillbeentitledtovote.Article12DurationofCooperation:TheProgramshallbeeffectivewhenitispermittedby1and2isassuredofcompliancewithallrelevantaccreditingbodies.Therewillbethreeintakesintotalandtheprogramwillbeeffectiveforsixyears.Inthethirdyearpriortotheexpirationdateoftheeffectiveperiod,bothpartiescanapplytorenewtheprogram.Thisagreementmaybeterminatedpriortotheexpirationdateontheconditionsthatthereisforcemajeure;suchterminationisagreedinwritingbybothparties.4.ResponsibilitiesofBothPartiesArticle13ResponsibilitiesofPartyAPartyAwillberesponsiblefor:(1)ObtainingallapprovalswhicharenecessarytoimplementtheCooperationProgramfromtherelatedadministrativedepartmentsinChina;(2)Promotingtheprogramandrecruitingstudentsatitsownchargesandexpenses;(3)Providingallnecessaryteachingandsupervisingstudentsinthefirstyearoftheprogram;(4)Dailymanagementoverstudents’affairsatPartyA’scampus;4/7FinalCopy2016/09/07(5)Arrangingqualifiedinstructorstoteachthecoursesscheduledtobetaughtby1asspecifiedbytheaccreditingbodies.Article14ResponsibilitiesofPartyBPartyBWillberesponsiblefor:(1)CoordinatingwithPartyAinobtainingallapprovalswhicharenecessarytoimplementthecooperationprograminChina;(2)ParticipatetopromotetheprograminChina,atleasttwiceayearatitsownchargesandexpenses;(3)CompletingtheregistrationandtheenrollmentofthestudentsinPartyB;(4)Provideallacademicandmanagementsupportnecessary,fromPartyBtoPartyA,tosuccessfullyimplementtheprogram;(5)Appointinganadministratortocoordinateandmanagetheprogramstartingfromthefirstyear;(6)Selectingqualifiedinstructorstodeliverthecoursesscheduledtobetaughtby2astobespecifiedintheAcademicCoursesManagementatthemutuallyagreedtiming;2reservestherighttodeterminethemodeofc
