CONFIDENTIALITYAGREEMENTThisagreementismadeasof________________________,____,byandbetween___________________________________________(hereinafterreferredtoas'Company'),acorporationdulyorganizedunderthelawsoftheStateof______________,andhavingitsprincipalplaceofbusinessat______________________________________,andTheResearchFoundationofStateUniversityofNewYork(hereinafterreferredtoas'Foundation'),havingitsprincipalplaceofbusinessat35StateStreet,Albany,NewYork12207U.S.A.(mailingaddress:P.O.Box9,Albany,NewYork?12201-0009).?A.?ThepartiestothisAgreementhavedevelopedoracquiredtechnicalandotherproprietaryinformationrelatingtoResearchFoundationInventionCaseNumber______________________,entitled'__________________________'(hereinafterreferredtoas'ConfidentialInformation')andthepartieswishtoensurethattheinformationwhichmaybedisclosedtoeachotheristreatedinstrictestconfidence.B.?EachofthepartiesdesirestoreceivesuchConfidentialInformationfromtheotherforthelimitedpurposeofevaluatingthesuitabilityofenteringintoabusinessrelationshiporsponsorshipofresearch,andeachpartyrecognizestheimportanceofsafeguardingsuchConfidentialInformationagainstunauthorizeduseordisclosure.Now,therefore,inconsiderationofthedisclosuresmadehereunder,andcovenantsenteredintoherewith,CompanyandFoundationagreeasfollows.?CompanyandFoundationarewillingtodisclosesuchinformationtoeachotherunderthefollowingconditions:1.?Eachparty'sConfidentialInformationshallbesuppliedtotheotherpartyinwritten,graphic,photographic,recorded,prototype,sample,orinanyothertangibleformandshallbeidentifiedasbeingdisclosedunderthisAgreement.?AnyConfidentialInformationwhichisdisclosedinoralformshallbeidentifiedassuchatthetimeofdisclosureandconfirmedinwrittensummaryformwithinthirty(30)daysafteritsdisclosuretothereceivingparty.2.?AsusedinthisAgreement,'ConfidentialInformation'shallmeanalldata,samples,technicalandeconomicinformation,commercialization,clinicalandresearchstrategies,tradesecretsandknow-howdisclosedorprovidedbyonepartytotheotherinaccordancewithParagraph1,exceptsuchinformationwhich(a)canbeshownbythereceivingpartytohavebeeninitspossessionpriortodisclosuretoitbytheotherparty;(b)atthetimeofdisclosurehereunderis,orthereafter,becomes,throughnofaultofthereceivingparty,partofthepublicdomainbypublicationorotherwise;(c)isfurnishedtothereceivingpartybyathirdpartyafterthetimeofdisclosurehereunderasamatterofrightandwithoutrestrictiononitsdisclosure;(d)isindependentlydevelopedbyemployeesoragentsofthereceivingpartywhohavenothadaccess,directorindirect,totheConfidentialInformationreceivedfromtheother;(e)isfurnishedtoothersbythedisclosingpartywithoutrestrictionondisclosure;or(f)isdisclosedtoathirdpartywiththewrittenapprovalofthedisclosingparty.3.?EachpartyagreestolimititsuseofanyConfidentialInformationreceivedfromtheotherpartytotheevaluationfortheadditionalpurposeofnegotiatingingoodfaiththetermsandconditionsofalicensingorresearchagreementbetweenthem,andfornootherpurposeunlessthepartiesshallotherwiseagreeinwriting.?Eachpartyagreestonotmake,use,sell,offerforsale,orhavemade,anyproductorservicebasedupontheConfidentialInformationprovidedtoitwithoutexecutingalicensingagreement.?Eachpartyfurtheragreesnottoreverseengineerordisassemblethetechnologydisclosedtoit.?4.?EachpartyagreestomaintaininconfidenceandnottodiscloseanyConfidentialInformationreceivedfromtheotherpartyotherthantoemployeesoragentswhohaveaneedtoknowtheConfidentialInformationforthepurposedescribedinParagraph3.?5.?EachpartyagreesnottomakeanycopiesinwholeorinpartofConfidentialInformationoranalyzesamplesoftangiblematerialsincludedtherein,whicharenotavailableontheopenmarketorfromothersources,foranypurposesotherthanthepurposessetforthinParagraph3,andwill,uponrequestbythedisclosingparty,returnalltangiblematerialsfurnishedhereunderandanynotesormemorandaofconversationsrelatingthereto,includinganycopiesthereof.?6.?ThepartyreceivingConfidentialInformationunderthisAgreementshallbeheldtothesamestandardofcareinprotectingsuchinformationasthereceivingpartynormallyemploystopreserveandsafeguarditsownConfidentialInformationofsimilarkind.?7.?TheobligationofthepartiesunderthisAgreementshallterminateonthefifthanniversaryofthedateofthisAgreement.8.?Norightorlicenseunderanypatentapplication,patentorotherproprietaryrightisgrantedhereunderbyimplicationorotherwise.?9.?ThisAgreementmaynotbechangedormodifiedorreleased,discharged,abandoned,orotherwiseterminatedinwholeorinpart,exceptbyaninstrumentinwritingsignedbyadulyauthorizedofficerofeachofCompanyandFoundation.10.?ThisAgreementshallbeconstruedunderthelawsoftheStateofNewYork.Inwitnesswhereof,thepartiesheretohaveexecutedthisAgreementthedayandyearfirstabovewritten.TheResearchFoundationofStateUniversityofNewYorkBy:_____________________??Date:_____________________Title:____________________CompanyBy:_____________________????????????????????????????????Date:_____________________
