1MARGINCLIENTAGREEMENT(INDIVIDUALANDCORPORATECLIENTS)金()TERMSANDCONDITIONSFORMARGINTRADING金易ThisMarginclientAgreement(includingtheAppendix)issupplementaltotheSecuritiesTradingAgreement(“theSecuritiesAgreement”)enteredintobyVictorySecuritiesCompanyLimited(“theCompany”)and________________________________________(“thecustomer”)wherebythecustomer’sAccountisallowedtoconductmargintrading(“Marginaccount”)andtheCompanyagreestograntcreditfacilities(“Facility”)tothecustomeratthecustomer’srequestforthecustomer’stransactionswhereanyconflictarisesbetweentheSecuritiesAgreementandtheprovisionsofthisMarginclientAgreement,theprovisionsofthelattershallprevail.金()利([])________________________________________(([])([])行金易([金])易([])若金1.Definitions1.1TermsdefinedinthisMarginClientAgreementhavethesamemeaningsasintheSecuritiesAgreementunlessstatedotherwise.說金1.2Referencesto“Account”intheSecuritiesAgreementisdeemedtoincludetheMarginAccountasestablishedpursuanttothisMarginClientAgreement.[]金金1.3“Collateral”meansallmoniesandsecuritiesoftheCustomerwhicharenoworwhichshallatanytimehereafterbedepositedwith,transferredorcausedtobetransferredtoorheldbytheCompanyoranyAffiliatedCompanyornominees,ortransferredtoorheldbyanyotherpersonincircumstanceswheretheCompanyacceptsthesameassecurityfortheCustomer’sobligationsundertheSecuritiesAgreement.TheCollateralshallincludethosemoniesandsecuritiesthatshallcomeintothepossession,custodyorcontroloftheCompanyoranyAffiliatedCompanyfromtimetotimeforanypurposewhatsoever(whichshallincludeanyadditionalorsubstitutedsecuritiesandalldividendsorinterestpaidorpayable,rights,interest,moniesorpropertyaccruingatanytimebywayofredemptionbonus,preference,optionsorotherwiseonorinrespectofanysuchsecuritiesoradditionalorsubstitutedsecurities)[]履行聯金聯金金不聯金(累利利金1.4“CreditLimit“isthemaximumamountofFacilitythattheCompanywillgrantTheCustomerirrespectiveoftheamountoftheCustomer’scollateralandMarginRatio.[]不論金率數1.5“MarginRatio”isthepercentageofthevalueoftheCollateraluptowhichtheCustomerispermittedtoborrow(orotherwisetosecureotherformsoffinancialaccommodation)fromtheCompanyagainsttheCollateral.[金率]率率()2.MarginFacility金2.1TheFacilityisextendedtotheCustomerinaccordancewiththeprovisionssetoutinthisMarginClientAgreement,anyfeesandchargessheetfromtheCompanytotheCustomerandintheSecuritiesAgreement(collectivelycalled“MarginFacilityTerms”).TheCustomeragreestousetheFacilityonlyinconnectionwiththeacquisitionorholdingofsecuritiesbytheCompanyfortheCustomer.金列[金]2.2SubjecttoClause2.4below,theCompanymaygrantthecustomeraFacilityofsuchamountuptotheCreditlimitasmaybenotifiedtotheCustomerfromtimetotime.TheCreditLimitavailabletotheCustomerandtheMarginRatiomaybevariedbynoticebytheCompanyfromtimetotime.NotwithstandingtheCreditLimitasnotifiedtotheClient,theCompanymayatitsdiscretionextendtheFacilitytotheCustomerinexcessoftheCreditLimitandtheCustomeragreesthattheCustomershallbeliabletorepaythefullamountofanyFacilitygivenbytheCompanyinaccordancewithclause6.1.2.4不不更金率數6.12.3TheCompanyisinstructedandauthorisedbytheCustomertodrawonthefacilitytosettleanyamountsduetotheCompanyoranyAffiliatedCompanyinrespectoftheCustomer’spurchaseofsecurities,marginmaintenanceobligationsforanypositionsrequiredbytheCompanyoranyAffiliatedCompany,orpaymentofanycommissionorothercostsandexpensesowingtotheCompanyoranyAffiliatedCompany,includingcostsanyexpensesthatmaybeincurredinconnectionwiththerealisationofanyCollateral.聯金聯聯金2.4TheCompanywillnotatanytimebeobligedtoprovideanyFacilitytotheCustomer.Inparticular,theCustomerunderstandsthattheCompanymaynotprovideanyFacilitytotheCustomerifanyofthefollowingcircumstancesshouldarise:-不-(i)theCustomerisindefaultofanyprovisionsoftheMarginFacilityTerms;or金(ii)intheopinionoftheCompanythereisorhasbeenamaterialadversechangeintheCustomer’sfinancialconditionorinthefinancialconditionofanypersonwhichmightadverselyaffecttheCustomer’sabilitytodischargetheCustomer’sliabilitiesorperformthecustomer’sobligationsunderthe2MarginFacilityTerms;or見狀狀了了不利金履行力不利(iii)makinganadvancewouldcausetheapplicableCreditLimittobeexceeded;or(iv)theCompanyinitsabsolutediscretionconsidersitprudentordesirableforitsprotectionnottodoso.不利2.5ForsolongasthereexistsanyindebtednesstotheCompanyontheCustomer’spart,theCompanyshallbeentitledatanytimeandfromtimetotimetorefuseanywithdrawalofanyoralloftheCollateralandtheCustomershallnotwithoutthepriorwrittenconsentoftheCompanybeentitledtowithdrawanyCollateralinpartorinwholefromtheCustomer’sAccount.不2.6TheCustomershallondemandfromtheCompanymakepaymentsordepositsofmargininmonies,securitiesand/orotherassetsinsuchamountandinsuchfromintoadesignatedaccountandwithinsuchtimeasspecifiedbytheCompany(referredtoasa“MarginCall”),astheCompanyinitsabsolutediscretiondeterminesnecessarytoprovideadequatesecurityinrespectoftheFacility.ForthepurposeofaMarginCall,theCompanyshalluseitsbestendeavourstocontacttheCustomerpromptlybyphoneonthetelephonenumbersnotifiedbytheCustomertotheCompanyand/orbysendingtotheCustomeraMarginCallnoticebypost,faxorotherwise.TheCustomeragre
