169Chapter8BillofLadingCOSCOBillofLadingShipperConsigneePrecarriagebyPlaceofreceiptbyprecarrierOceanvesselVoy.No.PortofloadingPortofdischargeFinaldestination(ifgoodstobetransshippedatportofdischarge)FreightpayableatNumberoforiginalBs/LMarks&Nos.NumberandkindofpackagesdecriptionofgoodsgrossweightkgsMeasurementm3(particularsfurnishedbymerchants)Totalpackages(inwords)FreightandchargesShippedonboardthevesselnamedaboveinapparentgoodorderandcondition(unlessotherwiseindicated)thegoodsorpackagesspecifiedhereinandtobedischargedattheabovementionedportofdischargeorasneartheretoasthevesselmaysafelygetandbealwaysafloat.Theweight，measure，marks，numbers，quality，contentsandvalue，beingparticularsfurnishedbytheShipper，arenotcheckedbytheCarrieronloading.TheShipper，ConsigneeandtheHolderofthisBillofLadingherebyexpresslyacceptandagreetoallprinted，writtenorstampedprovisionsandconditionsofthisBillofLading，including第8章提单中国远洋运输公司提单托运人收货人上一程运输船上一程承运人接收地点船名航次号装货港卸货港最终目的地(如货物在卸货港转船)运费支付地点正本提单份数标志与号数件数与种类货名毛重(kg)尺码(m3)(细节由货方提供)总件数(大写)运费和其他费用在此列入货物和包件清单中的货物已装进上面提及的船名的船上，外观状态和条件良好(另有注明除外)，并将在上面提及的卸货港或船舶能安全到达并始终漂浮的靠近卸货港的港口卸货。托运人提供的重量、尺码、标志、编号、质量、内容和价值细节在装船时未经承运人核实。托运人、收货人和本提单持有人在此明确表示接受并同意本提单上印刷、书写或盖印的规定和条件，包括本提单背面的规定和条件。(shipper托运人，发货人)(consignee受托者，收货人)(theholderofthisbilloflading提单持有人)170thoseonthebackhereof.Inwitnesswhereof，theCarrierorhisAgentshassignedBillsofLadingallofthistenoranddate，oneofwhichbeingaccomplished，theotherstostandvoid.ShippersarerequestedtonoteparticularlytheexceptionsandconditionsoftheBillofLadingwithreferencetothevalidityoftheinsuranceupontheirgoods.Thefollowingaretheconditionsandexceptionsherebeforereferredto：1.DEFINLTION“Merchant”includestheShipper，theReceiver，theConsignor，theConsignee，theHolderoftheBillofLadingandtheOwneroftheGoods.2.JURISDICTIONThisBillofLadingisgovernedbythelawsofthePeople’sRepublicofChina.AlldisputesarisingunderorinconnectionwiththisBillofLadingshallbedeterminedbythelawsofthePeople’sRepublicofChinaandanyactionagainstthecarriershallbebroughtbeforetheMaritimeCourtinGuangzhouorShanghaiorTianjinorQingdaoorDalianwheretheprincipalofbusinessoftherelevantcompanyislocated.3.CARRIER’SRESPONSIBILITYInrespectofCarrier’sliabilities，responsibilities，rightsandimmunities，theHagueRulescontainedintheInternationalConventionfortheUnificationofCertainRulesRelatingtoBillsofLading，signedatBrusselsonAugust25,1924shallbeapplied.4.PERIODOFRESPONSIBILITYTheresponsibilityoftheCarriershallcommencefromthetimewhenthegoodsareloadedonboardtheshipandshallceasewhen(carrier承运人)提单作为承运人或他的代理人已经签署了全部内容和日期的证据，其中一份完成提货手续后,其余各份失效。(inwitnessof作为……的证据)(tostandvoid失效)(nullandvoid无效)要求托运人特别注意本提单有关货物保险效力的条件和除外条款。以下是本提单所指的条件和除外条款：1.定义“货方”包括托运人、受货人、发货人、收货人、提单持有人和货主。2.管辖权本提单受中华人民共和国的法律管辖。所有因提单或与提单有关而发生的争议应该按中华人民共和国的法律裁决，并且对承运人的任何起诉均应提交到相关公司主要业务所在广州、上海、天津、青岛或大连的海事法院解决。(action对……起诉)(theMaritimeCourt海事法院)3.承运人的责任关于承运人的义务、责任、权利和豁免应当应用1924年8月25日在布鲁塞尔签订的《关于统一提单若干规定的国际公约》中所包括的“海牙规则”中的条款。(inrespectof关于)4.责任期承运人的责任应从货物装上船之时起生效到货物卸离船之时终止。承运人对货物装上船之前和卸离船之后的灭失和损坏不负责任，无171theyaredischargedfromtheship.TheCarriershallnotbeliableforlossofordamagetothegoodsbeforeloadingandafterdischargingfromthevessel，howeversuchlossordamagearises.5.PACKINGANDMARKSTheMerchantshallhavethegoodsproperlypackedandaccuratelyandclearlymarkedbeforeshipment.Theportofdestinationofthegoodsshouldbemarkedinlettersnotlessthan5cmhigh，insuchawayaswillremainlegibleuntiltheirdelivery.AllfinesandexpensesarisingfrominsufficiencyorinadequacyofpackingormarksshallbebornebytheMerchant.6.FREIGHTANDOTHERCHARGES(1)Advancefreighttogetherwithotherchargesisdueonshipment.Ifnotprepaidthoughstipulated，thefreightandotherchargesshallbepaidbytheMerchantplus5%interestperannumrunningfromthedateofnotificationfortheirpayment.Ifthecargoesshippedareperishables，lowcostgoods，liveanimals，deckcargoesorgoodsforwhichthereisnoCarrier’sagentattheportofdestination，thefreightforsuchcargoandallrelatedchargesshallbepaidatthetimeofshipment.Freightpayableatdestinationtogetherwithotherchargesisdueonvessel’sarrival.Advancefreightand/orfreightpayableatdestinationshallbepaidtotheCarrierinfull，andnon-returnableandnon-deductibleirrespectiveofwhateverlossordamagemayhappentovesselandcargooreitherofthem.(2)Alldues，taxesandchargesoranyotherexpensesinconnectionwiththegoodsshallbepaidbytheMerchant.7.INCORRECTSTATEMENTSTheCarrierisinentitled，atportofshipmentand/orportofdestination，toverifythequantity，weight，measurementandcontentsofthegoodsas论这种灭失和损坏是怎样产生的。5.包装与标志货主应在货物装船之前将货物包装好,准确清楚地标志好。货物的目的港应以高度不小于５厘米的字母标出，标注应使在货物交付前清晰易读。由于包装或标志的不良或不完全所产生的一切罚款和费用应由货方负担。(legible清晰的，易读的)6.运费及其他费用(1)预付运费及其他费用应在装船时支付。如果按约定不预先支付，货方在支付运费及其他费时应自通知缴付运费之日起每年加付5%的利息。若装运的货物为易腐货、低值货、活动物、甲板货或在目的港没有承运人代理人的货物，这类货物的运费和所有相关费应在装船时支付。到付运费和其他费用应在船舶抵达目的港时支付。预付运费和/或到付运费应全额支付给承运人，无论船舶和货物或船舶或货物受到何种灭失或损坏都不能退回，不得扣减。(advancefreight预付运费)(freightpayableatdestination到付运费)(2)所有与货物有关的应付款、税、费及任何其他费用均应由货方支付。7.错误申报在装货港和/或卸货港，承运人有权核实货方申报的货物数量、重量、尺码和内容。如果提单中列明的货物重量和/或内容与实际装运172declaredbytheMerchant.Iftheweight，measurementand/orcontentsofsuchgoodsasstatedintheBillofLadingturnedouttobeinconsisten
