编号No.:GKAA-2015-HB1011第1页共17页代理商协议SALESAGENCYAGREEMENT编号No.:GKAA-2015-HB1011第2页共17页本代理商协议(以下简称“协议”)于2015年2月9日,由下述双方在上海签订:THISSALESAGENCYAGREEMENT(hereinafterreferredtoasthe“Agreement”)ismadebyandbetweenthefollowingtwopartiesinShanghaionthedayof2015:巨人通力电梯有限公司,是一家根据中华人民共和国(“中国”)法律成立并组建的中外合作经营企业,其法定地址和主要营业地位于中国浙江省湖州市南浔吴越路西侧,邮编:313009(“委托人”);和GIANTKONEELEVATORSCO.,LTD.,aSino-foreignjointventureenterpriseestablishedandorganizedunderthelawsofthePeople’sRepublicofChina(the“PRC”or“China”)withitslegaladdressandprincipalplaceofbusinessatWestSideWuyueRoad,NanxunTown,HuzhouCity,ZhejiangProvince,PRC313009(the“Principal”);and孝感市鸿鼎电梯有限公司,是一家根据中国法律设立的公司,其法定地址和主要营业地位于孝感市交通西路以南全州国际商城G13幢1单元8楼0804室,邮编:432000(“代理商”)。,acompanyestablishedunderthePRClawswithitslegaladdressandprincipalplaceofbusinessat(the“Agent”).1协议范围ScopeofAgreement1.1任命Appointment委托人兹任命代理商,代理商兹接受该任命,作为委托人产品(电梯、自动扶梯及自动走道设备)的非独家销售代理商,根据委托人的报价及本协议规定的条件为上述产品的销售征揽并取得订单。ThePrincipalherebyappointstheAgentandtheAgentacceptstheappointmentasthenon-exclusivesalesagentoftheproductsofthePrincipal(elevators,escalatorsandautomaticwalkways)forthepurposesofsolicitingandacquiringordersforthesaleoftheaboveproductsaccordingtothePrincipal'sofferandtheconditionsstipulatedinthisAgreementforthesaleoftheseproducts.本协议并不限制代理商代理销售其他商品,但前提是针对任何特定项目,代理商在代理委托人的同时不得代理任何其他第三方销售与委托人产品竞争(基于委托人的判断)的商品。TheAgentisnotrestrictedbythisAgreementfromrepresentingothercommercialparties,providedthat,foranyspecificprojectwheretheAgentrepresentsthePrincipal,theAgentshallnotconcurrentlyrepresentanyothercommercialpartywithrespecttothesaleofanygoodsconsideredbythePrincipal,initssolejudgment,tobecompetitivewiththePrincipal’sproducts.编号No.:GKAA-2015-HB1011第3页共17页1.2代理商的地位StatusofAgent委托人和代理商的关系是互相独立的缔约方;本协议不得被解释为:(1)赋予任何一方指示及控制另一方日常活动的权力;(2)使双方成为合伙人、合资人、共同所有人或某一连带或共同义务的承担人;或者(3)使代理商及其代表、雇员或分包人成为委托人的代表或雇员,或者赋予他们出于任何目的,代表委托人行事、管束、创设或承担任何义务。TherelationshipbetweenthePrincipalandtheAgentisasindependentcontractors;thisAgreementshallnotbeconstruedto:(1)authorizeeitherpartythepowertodirectandcontroltheother’sdailyactivities;(2)createapartnership,jointventure,co-ownership,oranyotherrelationshipwhichcreatescommonorjointobligationsbetweentheparties;or(3)turntheAgentanditsrepresentatives,employeesorsubcontractorsintorepresentativesoremployeesofthePrincipal,orcausethemtoact,berestrainedby,createorundertakeanydutiesonbehalfofthePrincipalforanypurpose.尽管有上述任命,委托人保留向任何客户直接进行销售的权利,并且委托人有权依照其自行判断决定接受或拒绝代理商获取的订单。Notwithstandingtheappointmentabove,thePrincipalreservestherighttoselldirectlytoanycustomerandshallhavetherighttoacceptorreject,atitssolediscretion,anyorderacquiredbytheAgent.2代理Agent2.1.一般义务GeneralObligations代理商应尽其最大努力征揽客户,促销产品。代理商在进行代理活动时应当为委托人的利益,尽职诚信地行事。代理商尤其应当:TheAgentshalluseitsbesteffortstosolicitcustomersandpromoteproducts.TheAgentshallactwithdiligenceandintegrityfortheinterestsofthePrincipalduringtheagencyactivities.Inparticular,theAgentshall:(1)根据委托人的指示努力促销产品;diligentlypromoteproductsaccordingtothePrincipal’sdirection;(2)及时将其收到的产品报价、订单或询价提交给委托人;submitreceivedoffers,ordersorenquiriestothePrincipalinatimelymanner;(3)按照委托人的指示洽商产品销售,或者在报价及工程执行期间协助委托人;negotiatethesaleofproductsaccordingtotheinstructionofthePrincipalorassistthePrincipalduringtheofferperiodandtheexecutionoftheengineeringproject;(4)采取适当措施,使交付订单的客户向其本人及委托人清偿货款,并协助委托人追索到期债务;takeappropriatemeasurestocausethecustomerswhoseordershavebeendeliveredtopayoffthepaymentsforproductstotheAgentandthePrincipalandassistthePrincipalinmakingclaimsforanydebtthathasbecomedueandpayable;编号No.:GKAA-2015-HB1011第4页共17页(5)通知委托人可能对产品销售有用的任何信息;notifythePrincipalofanyinformationwhichmightbeusefultothesalesofproducts;(6)为本项代理专设有关帐册及记录,并且真实准确地进行记帐;setuprelevantaccountingbooksandrecordsforthisagencyarrangementandmaketrueandaccurateentries;(7)最大程度地与委托人在执行委托人的项目、政策、要求和指示方面进行全面合作;givemaximum,fullcooperationwiththePrincipalintheexecutionoftheprojects,policies,requirementsandinstructionsofthePrincipal;(8)不允许自己的利益与自己在本协议或一般法律项下对委托人所负的职责相冲突;notallowitsintereststoconflictwiththedutiesthatitowestothePrincipalunderthisAgreementorthegenerallaw;(9)根据良好商业原则行事,不做会影响委托人商誉或商业利益的任何事情;actinaccordancewithsoundcommercialprinciplesanddonothingwhichwillaffectthePrincipal’sgoodwillorcommercialinterests;(10)自费维持适当的、对于有效履行其在本协议项下的职责来说必要的场地、人员、管理设施和系统;maintainatitsownexpenseappropriatepremises,personnel,administrationfacilitiesandsystemsasmaybenecessaryfortheeffectiveperformanceofitsdutiesunderthisAgreement;(11)允许委托人的授权代表在任何合理的时间有权进出代理商的经营场所,以便检查代理商与本项代理有关的账簿和记录;allowthePrincipal’sauthorizedrepresentativestohaveaccesstotheAgent'sbusinesspremisesatanyreasonabletimeforthepurposeofinspectingtheAgent'sbooksandrecordsinrelationtothisagencyarrangement;(12)对于因代理商在履行本协议时的任何作为或不作为引起的或与之有关的一切索赔、损害、损失、负债、诉讼、主张、成本或费用(包括按赔偿收取的律师费),对委托人进行赔偿,令其免受任何损害;以及indemnifyandholdthePrincipalharmlessfromandagainstallclaims,damages,losses,liabilities,suits,demands,costsorexpenses(includingattorney’sfeesonanindemnitybasis)arisingoutoforinconnectionwithanyactoromissionoftheAgentintheperformanceofthisAgreement;and(13)在履行本协议时遵守一切适用的法律法规。comp
