ContractforTechnologyLicensingContractNo.____________________ThisContract(hereinafterreferredtoasthe“Contract”)ismadeandenteredintoasof________(thedateofsignature)in________(theplaceofsignature)throughfriendlynegotiationbyandbetween_____________,acompanyincorporatedandexistingunderthelawsof____________withitsregisteredaddressat_________________________________,withitsprincipalplaceofbusinessat_________________________________(hereinafterreferredtoasthe“Seller”),and____________________,acompanyincorporatedandexistingunderthelawsofthePeople’sRepublicofChinawithitsregisteredaddressat-_________________________________,withitsprincipalplaceofbusinessat_________________________________(hereinafterreferredtoasthe“Buyer”).Whereas,theBuyerdesirestoengagetheSellertoprovidetheKnow-Howrelateddesign,TechnicalDocumentation,TechnicalServiceandTechnicalTrainingandtoobtainfromtheSelleralicenseofPatentand/orKnow-howinrelationtotheErection,TestRun,Commissioning,PerformanceTest，operationandmaintenanceforthePlant,aswellasmanufactureoftheContractProducts.Nowitisherebymutuallyagreedasfollows:Article1Definitions1.1“Acceptance”meanstheBuyeracceptedtheLicensedPlantinaccordancewithArticle11.5.1.2“Commissioning”meanstheoperationofthePlantinaccordancewithArticle11.4forthepurposeofcarryingoutPerformanceTest.1.3“Contract”meansthisContractsignedbyandbetweentheBuyerandtheSeller,includingAppendicesattachedwhichshallformanintegralpartofthisContract.1.4“ContractProducts”referstoalltypesoftheproductsmanufacturedwithPatentand/orKnow-howundertheContract,detailsofwhicharespecifiedinAppendix1.1.5“DestinationAirport”refersto_____________Airport.1.6“EffectiveDateoftheContract”meansthedatewhentheContractentersintoforceuponfulfillmentofalltheconditionsstatedinArticle18.1.1.7“Plant”meanstheequipment,machinery,instruments,sparepartsandmaterialssuppliedbytheBuyeraslistedinAppendix2.1.8“Erection”meansplacingthePlantequipmenttothepositionsaccordingtothedesigndrawings,andconnectingitwithrelevantequipmentandutilities.1.9“Improvement”referstonewfindingsand/ormodificationsmadeinthevalidityperiodoftheContractbyeitherpartyonPatentand/orKnow-howintheformofnewdesigns,formulas,recipes,ingredients,indices,parameters,calculations,oranyotherindicators.1.10“JobSite”meansthesitewherethePlantshallbelocatedand/orerected,namely____.1.11“Know-how”referstoanyvaluabletechnicalknowledge,data,indices,drawings,designsandothertechnicalinformation,concerningtheErection,TestRun,Commissioning,PerformanceTest，operationandmaintenanceforthePlantaswellasmanufactureoftheContractProducts,developedandownedorlegallyacquiredandpossessedbytheSelleranddisclosedtotheBuyerbytheSeller,whichisunknowntoeitherpublicortheBuyerbeforetheDateofEffectivenessofthisContract,andforwhichappropriateprotectionmeasureshavebeentakenbytheSellerforkeepingKnow-howinsecrecy.ThespecificdescriptionofKnow-howissetforthinAppendix3.1.12“LastShipment”meanstheshipmentwithwhichtheaccumulatedinvoicevalueofshippedgoodshasreached____()percentofthetotalTechnicalDocumentationprice.1.13“Patent”referstoanyoralloftheeffectivepatentrightspossessedbytheSellerandlicensedtotheBuyerundertheContractinconnectionwiththeErection,TestRun,Commissioning,PerformanceTest,operationandmaintenanceforthePlant,aswellasmanufactureoftheContractProducts,theNo.andlistofwhicharesetforthinAppendix3.1.14“PerformanceTest”meansthetestsforexaminingwhetherthePlantisabletomeetguaranteefiguresspecifiedinAppendix1.1.15“TechnicalDocumentation”meansthetechnicalindicesanddata,specifications,drawings,processes,technicalandqualitystandards,andotherdocumentscarryingthedescriptionsandexplanationsofPatent,Know-howandothertechnicalinformation,inconnectionwiththeErection,TestRun,Commissioning,PerformanceTest，operationandmaintenanceforthePlant,aswellasmanufactureoftheContractProducts,tobeprovidedbytheSelleraslistedinAppendix4.1.16“TechnicalService”meansthetechnicalinstruction,assistanceandguidancerenderedbytheSellerasperAppendix6.1.17“TechnicalTraining”meansthetrainingrenderedbytheSellerasperAppendix7.1.18“TestRun”meanstheinitialrunofasinglemachineorthewholesystemofthePlantwithoutmaterials.1.19“WarrantyPeriod”meanstheperiodofthewarrantygivenbytheSellerasspecifiedinArticle12.2,duringwhichtheSellerisresponsibleforthedefectsofthePlantasperArticle12.Article2ScopeoftheContract2.1TheSeller’sObligation2.1.1TheSellershallprovidethedesign,TechnicalDocumentation,andconducttheTechnicalServiceandTechnicalTraining,andgranttheBuyerarighttousethePatentand/orKnow-howassetforthintheContract.2.1.3TheSellershallprovidedesigninaccordancewithAppendix5,andsubmittotheBuyertheTechnicalDocumentationlistedinAppendix4.2.1.4TheSellershallconducttheTechnicalServicesattheJobSiteasperAppendix6.2.1.5TheSellershallconducttheTechnicalTrainingasperAppendix7.2.2TheBuyer’sObligation2.2.1TheBuyershallathisowncostsandexpenses,providetheSellerwithallinformationanddataconcerningthedesignasperAppendix2.TheBuyershallensurethecompleteness,correctnessandaccuracyofallsuchinformationanddata.2.2.3TheBuyershallathisowncost
