..1StrategicCo-operationAgreement战略合作框架协议ThisStrategicCo-operationalAgreement(the“Agreement”)ismadeandeffectivethe[January1st,2012]本战略合作框架协议（以下简称“协议”）于[XXX年X月X日]签订并生效BETWEEN:XXXXXXXXXXXXXXXXXXXXXXXX(the“PartyA”),acorporationorganizedandexistingunderthelawsofthePEOPLE’SREPUBLICOFCHINA,withitsheadofficelocatedat:[XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX]AND:XXXXXXXXXXXXXXXXXXXXXXXX(the“PartyB”),acorporationorganizedandexistingunderthelawsoftheREPUBLICOFXXXX,withitsheadofficelocatedat:[XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX]签订协议的一方[XXXXXXXXXXXXXXXXXXXXX]（以下简称“甲方”），一家依据中华人民共和国法律组建并续存的公司，其营业地址位于：XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX另一方：XXXXXXXXXXXXXXXXXXXXX（以下简称“乙方”），一家依据XXXX共和国法律组建并续存的公司，其营业地址位于：[XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX]Inconsiderationofthetermsandcovenantsofthisagreement,andothervaluableconsideration,thepartiesagreeasfollows:鉴于本协议所含之相互约定和承诺，订约双方协议如下：1.RECUTALSa.Bothpartiesdesiretojointogetherforthepursuitofcommonbusinessgoals.b.Bothpartieshaveconsideredvariousformsofjointbusinessenterprisesfortheirbusiness.c.Bothpartiesdesiretoenterintoaco-operationagreementasthemostadvantageousbusinessformfortheirmutualpurpose...2一．事实陈述a.合作双方欲联合起来追求共同所需的商业目标。b.合作双方已经就其经营业务考虑了各种形式的合作方式。c.合作双方欲就其互利目标达成一项合伙协议作为其最佳商业形式。2.RESPONSIBILITIES&RELIABILITIESPartyA-AccordingtotheinformationofXXXXbusinessaccessstandards,investmentenvironmentandtaxpolicywhichprovidedbyPartyB,PartyAshallrecommendthehigh-qualitycompaniesfromChinatoconductbusinessthroughPartyBinXXXX.-ProvidethefulldocumentationsofChinesecompaniestoconductbusinessinXXXX.-EnsuretheauthenticityandlegalityofallthedocumentationprovidedbytheChinesecompanies.-AsauthorizedbyPartyB,PartyAisresponsibletothesigningandinterpretationofvariousdocumentsformutualbusiness.-AssistPartyBtoconductthebusinesspromotionsandpublicitiesinChina.PartyB-PartyBshallprovideallthefinancialsupportontheirbusinessinChina;itincludesbusinessinitiation,managementandpromotion.-AsPartyAshallrefertheChineseCompaniestoPartyB.PartyBshallprovidethesecompaniestheconsultantservicesregardinglegal,audition,taxation,financial,riskmanagement,accountingandotherrelatedareas.-Inordertoestablishtheintensivenessbusinessco-operation.PartyBshallprovideallthebusinessrelateddocuments,information,legalactsandgovernmentalinformationinXXXXforthereferenceofPartyA.-PartyBshallprovideasystematictrainingcourseonXXXXbusinessesSOP(StandardOperationProcedure),XXXXlaw&TaxregulationsandIIMBillingsystemforPartyAemployees.二．责任与义务甲方-甲方根据乙方所提供的XXX业务进入标准、投资环境以及税收政策，为乙方推荐中国国内优质企业到乙方公司开展业务。-提供中国公司在XXXX进行业务所需的所有文件。-确保中国公司文件的真实性、合法性。-负责乙方在中国业务各种文件的签署、解释工作。-协助乙方在中国展开相关业务的推广及宣传。乙方-乙方将提供其相关项目的所有开展、管理及推广业务的资金。..3-甲方所推荐到XXXX地区的企业，乙方须为其提供后续的经营、管理、法律法规咨询、会计及其他相关的顾问服务工作。-乙方根据甲方在中国开展业务的需要，提供一系列必要的宣传类资料，包含当地的税收政策、投资环境分析、乙方公司的官方宣传材料等。-乙方须向甲方特定人士进行XXXX当地业务的标准操作步骤、政府法律/税则规定及IIM收费系统的培训课程。3.COMMUNICATIONSTRUCTUREForabetterfuturebusinessdevelopment,PartyAandPartyBshallestablisharegularmeetingscheduleforthebusinessassessment,businessflowandinformationexchange.三．业务沟通交流机制为了将来更佳的业务拓展，甲、乙双方须定时展开会议，进行业务发展的评估、流程及信息交流。4.CONVENANTAGAINSTREVEALINGTRADESECRETSNopartyshall,duringthecontinuanceoftheco-operationrelationshiporfor5yearsafteritsterminationbyanymeans,divulgetoanypersonnotamemberofbothfirmsanytradesecretorspecialinformationemployedinorconductivetotheco-operationbusinessandwhichmaycometothebothparty’sknowledgeinthecourseoftheco-operationrelationship,withouttheconsentinwritingoftheotherparty,oroftheotherparty’sheirs,administrators,orassigns.四．保守商业秘密的承诺在甲、乙双方展开合作业务的存续期间或无论以何种方式终止合作业务后5年内，如果没有其他合伙人或其继承人、管理者或受让人的书面同意，任何合伙人不得向非公司成员泄漏任何商业秘密或有官合作业务采用或有助于合作业务的信息，在合作业务的运营过程中，该信息可能会成为合作双方的专有知识。5.DURATIONOFAGREEMENTThetermofthisagreementshallbefor1year,commencingon[DATE],andterminatingon[DATE],unlesssoonerterminatedbymutualconsentofthepartiesorbyoperationoftheprovisionsofthisagreement.五．协议期限本协议期限为[1]年，从[2011年x月x日]开始到[2012年x月x日]结束，除非甲、乙双方同意或本协议条款规定可终止该协议。6.GOVERNINGLAW..4TheenforcementandinterpretationofthisagreementshallbegovernedbythelawsofTHEPEOPLE’SREPUBLICOFCHINA.六．法律适用本协议的实施和解释适用于中华人民共和国法律。7.RESOLUTIONOFDISPUTESAnydisputearisingoutiforinconnectionwiththisAgreement,shallbegovernedandconstruedbythelawsofthePEOPLE’SREPUBLICOFCHINAinCHINAINTERNATIONALECONOMICANDTRADEARBITRATIONCOMMISSION,andshallbereferredtoandfinallyresolvedbyChinaBeijingDistrictCourt,P.R.C.七．争议的解决方案及管辖所有因履行本协议引起的，与之相关的或不能够通过协商解决的争议及纠纷，任何一方均可将争议提交中国国际经济贸易仲裁委员会，并且依照中华人民共和国规定，在北京通过仲裁的方式进行解决。8.PREVAILOFLANGUAGEVERSIONAnycontradictionbetweenChineseandEnglishversion,Chineseversionshallprevail.八．中文及英文版本间的效力所有因中、英文版本引起的矛盾及争议，以中文版本为准。9.OTHERPROVISIONBothpartieswillbebasedonactualneedsofthebusinessco-operationtosignthespecificbusinesscontractsandexecuteaccordingly.Ifthereareinconsistenciesbetweenthecontractandthisagreement,thecontractshallprevail.九．其他事项甲乙双方将根据实际需要在实际业务合作时签订具体业务合同，并按合同约定执行。如具体业务合同存在与本协议不一致之处，以具体业务合同约定为准。..5PartyAPartyB甲方代表乙方代表_____________________________________________________________________________AuthorizedSignatureAuthorizedSignature授权代表签署授权代表签署__________________________
