1中远集运提单背面条款中英文对照TERMSANDCONDITION1.DEFINITIONSCarriermeansCOSCOcontainerlinescompanylimited.Merchantincludestheconsignor,theshipper,thereceiver,theconsignee,theowneroftheGoods,thelawfulholderorendorseeofthisBillofLading,oranyotherpersonhavinganypresentorfutureinterestintheGoodsorthisBillofLading,oranyoneauthorizedtoactonbehalfofanyoftheforegoing.Vessel,wherethecontextsoadmits,includestheVesselnamedinBox6ofthisBillofLadingoranysubstitutetherefore,andanyfeedervessel,lighterorbargeusedbyoronbehalfoftheCarrierinconnectionwithanyseabornelegofthecarriage.Sub-contractorincludesownersandoperatorsofvessels(otherthantheCarrier),stevedores,terminal,warehouse,depotandgroupageoperators,roadandrailtransportoperatorsandanyindependentcontractoremployedbytheCarrierintheperformanceofthecarriageandanysub-sub-contractorthereof.TheexpressionSub-contractorshallincludedirectandindirectSub-contractorsandtheirrespectiveservants,agentsorSub-contractors.GoodsmeansthewholeoranypartofthecargoreceivedfromtheMerchantandincludesanyContainernotsuppliedbyoronbehalfoftheCarrier.PackagemeanseachContainerwhichisstuffedandsealedbyoronbehalfoftheMerchant,andnottheitemspackedinsuchContainerifthenumberofsuchitemsisnotindicatedonthefrontofthisBillofLadingorisindicatedbythetermssuchas“SaidtoContain”orsimilarexpressions.ShippingUnitmeansanyphysicalunitofcargonotshippedinapackage,includingmachinery,vehiclesandboats,exceptgoodsshippedinbulk.ContainerincludesanyContainer,opentop,trailer,transportabletank,flatrack,platform,pallet,andanyotherequipmentordeviceusedfororinconnectionwiththetransportationoftheGoods.2.CARRIER'STARIFFThetermsoftheCarrier'sapplicableTariffandotherrequirementsregardingchargesareincorporatedintothisBillofLading.Particularattentionisdrawntothetermscontainedtherein,including,butnotlimitedto,freestoragetime,Containerandvehicledemurrage,etc.CopiesoftherelevantprovisionsoftheapplicableTariffareobtainablefromtheCarrierorhisagentsuponrequest.IncaseofanyinconsistencybetweenthisBillofLadingandtheapplicableTariff,thisBillofLadingshallprevail.23.SUB-CONTRACTING,INDEMNITYANDCERTAINDEFENSES,EXEMPTIONSANDLIMITATIONS(1)TheCarriershallhavetherightatanytimeandonanytermswhatsoevertosub-contractthewholeoranypartofthecarriagewithanySub-contractorand/ortosubstituteanyothervesselormeansoftransportfortheVessel.(2)TheMerchantundertakesthatnoclaimorlegalactionwhatsoevershallbemadeorbroughtagainstanypersonbywhomthecarriageisperformedorundertaken(including,butnotlimitedto,theCarrier'sservants,agentsorSub-contractors),otherthantheCarrier,whichimposesorattemptstoimposeuponanysuchperson,oranyvesselownedoroperatedbysuchperson,anyliabilitywhatsoeverinconnectionwiththeGoodsorthecarriagethereofwhetherornotarisingoutofnegligenceonthepartofsuchperson.Shouldanysuchclaimorlegalactionneverthelessbemadeorbrought,theMerchantundertakestoindemnifytheCarrieragainstallconsequencesthereofincludinglegalexpensesonafullindemnitybasis.Withoutprejudicetotheforegoing,everysuchpersonorvessel,including,butnotlimitedto,theCarrier'sservants,agents,orSub-contractorsasdefinedinClause1above,shallhavethebenefitofeveryexemption,defenseandlimitationhereincontainedapplicabletotheCarrier,incontractorintort,asifsuchprovisionwereexpresslycontractedforitsbenefit,and,inenteringintothiscontract,theCarrier,totheextentofsuchexemptions,defensesandlimitations,doessonotonlyonitsbehalf,butalsoasanagentandtrusteeforsuchpersonorvessel.4.CARRIER'SRESPONSIBILITY(1)PorttoPortShipmentIfboxes6,7and8butnotboxes4,5and9arefilledinonthefrontofthisBillofLading,thisBillofLadingisaPort-to-Portcontract.TheCarriershallberesponsiblefortheGoodsasCarrierfromthetimewhentheGoodsarereceivedbytheCarrieratthePortofLoadinguntilthetimeofdeliverythereofattheportofdischargetotheMerchantortotheAuthorityasrequiredbylocallawsorregulations,whicheveroccursearlier.(2)CombinedTransportIfBox4,Box5and/orBox9arefilledinonthefrontofthisBillofLadingandtheplace(s)orport(s)indicatedthereinis/areplace(s)orport(s)otherthanthatindicatedinBox7andBox8andFreightispaidforcombinedtransport,thisBillofLadingisacombinedtransportcontract.TheCarrierundertakestoarrangeorprocurethepre-carriageand/oron-carriagesegmentsofthecombinedtransport.AllclaimsarisingfromthecombinedtransportcarriagemustbefiledwiththeCarrierwithin9monthsafterthedeliveryoftheGoodsorthedatewhentheGoodsshouldhavebeendelivered,3failingwhichtheCarriershallbedischargedfromallliabilitieswhatsoeverinrespectoftheGoods.IfanypaymentismadebytheCarriertotheMerchantinrespectofanyclaimarisingfromthecombinedtransportcarriage,theCarriershallbeautomaticallysubrogatedtoorgivenallrightsoftheMerchantagainstallothersincludingpre-carrieroron-carrierorSub-contractoronaccountofsuchlossordamage.NothinghereincontainedshallbedeemedawaiverofanyrightsthattheCarriermayhaveagainstapre-carrieroron-carrierorSub-contractorforindemnityorotherwise.5.NOTICEOFCLAIMANDTIMEBAR(1)UnlessnoticeoflossordamageisgiveninwritingtotheCarrier'sagentatthePortofDischargeorPlaceofDeliverybeforeoronthedateofdeliveryoftheGoods,oriflossordamageis
