ETHICALSTANDARDSWal-MartStores,Inc.StandardsforSuppliersManualVolume1AGuidetohelpSuppliersunderstandtheexpectationsandobligationsofWal-Mart’sStandardsforSuppliersEthicalStandardsWal-MartStores,Inc.702SW8thStreetBentonville,AR72716-0830December23,2009TableofContentsIntroduction............................................................................2PARTISectionA:TheStandards......................................................5SectionB:Supplier’sObligation...........................................18PARTIISectionA:Glossary.............................................................23SectionA:Glossary.............................................................23SectionB:Vision,ProgramOverview&AuditScope...........28SectionC:FactoryDisclosure..............................................29SectionD:MonitoringPrograms..........................................31SectionE:Audits.................................................................33SectionF:AssessmentResultsandConsequences............38OTHERREASONCODESFORREDASSESSMENTS......41Red-DisapprovedProcess..................................................41Red-AccessDenied-RightofInspection...........................42ANewDirection...................................................................45Thiselectroniccopy,maintainedonRetailLinkandonWalmartstores.com,istheonlycontrolleddocument.Printedcopiesaredeemednottobecontrolled.2IntroductionSaveMoneyLiveBetteravingpeoplemoneysotheycanlivebetter,itiswhatwestandforatWalmart,andwhatguideseachandeveryassociateasweworktoserveover130millioncustomersaweek.Butsavingpeoplemoneysotheycanlivebetterrequiresmorethanjustthelowestprices—whichwehave--itrequiresthatWalmartbealeaderwhenitcomestohowwetakecareofourworld.Livingbetterdemandsthatwe,andoursupplierpartners,operateinanenvironmentallyandethicallysustainablemannerwhereverwedobusiness.Fromsourcingtostores,Walmartcanandwillleadthewaytoamoresustainablefuture.InJanuary2008atourtraditionalyearbeginningmeeting,LeeScottarticulatedwhatleadershipforthe21stCenturylookslikeforWalmart.Intheareaofenvironmentalandethicalstandards,LeecommittedustoensuringthatoursuppliersandtheirfactoriescomplywithenvironmentalandethicalstandardsifafactoryintendstosupplymerchandisetoWalmart.Leealsochallengeduswithidentifyingsupplierswhichwemightfavoriftheymeetorexceedourrequirements.InordertomakeLee’scommitmentarealityforWalmart,wehavedevelopedanumberoftoolsandrequirementstoassistuswithLeadinginthe21stCentury.First,oursupplieragreementswillbemodifiedsothatitisclearthatanyfactoryusedbyasuppliercomplieswithallofthelawsofthejurisdictioninwhichitoperates,specificallyincludinglawsrelatedtoenvironmentalprotection,workersafety,andlaborconditions.Wewillalsorequireallofourdirectimportandcertaindomesticimportsupplierstoidentifyforuseachandeveryfactorythattheyusetomanufactureourmerchandise,sothatwecanauditthosefactoriesregularly.Thoseauditswillbeconductedthrougheitheraqualifiedthird-partyorthroughWalmart’sin-houseauditors,andwillincludereviewofafactory’sethicalpracticesandcompliancewithenvironmentallaws.Theauditsmaybepre-arrangedorunannounced,atourdiscretion.OurSupplierManualprovidesspecificguidancetofactoriesonhowtheycancomplywiththeseenvironmentalandethicalsourcingrequirements.Intheareaofenvironmentallaws,weintendtoreviewafactory’srelevantairemissionslevels,wastewaterdischarges,managementoftoxicsubstances,andhandlinganddisposalofhazardouswasteincludingotherareasrelatedtoenvironmentasoutlinedundertheStandardsforSuppliers.Ifafactoryfailstomeetitsrequiredorpermittedlevels,thenthefactorywillbeaskedtoprovidearemediationplantoimprovecomplianceperformancesothatitmeetsorexceedsallowablelimits.FailuretoimproveSThiselectroniccopy,maintainedonRetailLinkandonWalmartstores.com,istheonlycontrolleddocument.Printedcopiesaredeemednottobecontrolled.3environmentalperformancewillresultinafactorybeingbannedfromproducingmerchandiseforsalebyWalmart.IntheareaofEthicalStandards,againourauditswillreviewafactory’spracticestoverifythattheymeetorexceedourrequirements.Theauditswillverifythatalllaborisvoluntary,thatchildrenarenotusedintheproductionofmerchandiseforWalmart,andthatworkersareproperlypaidforallhoursworkedandthatthosehoursarenotexcessiveandareconsistentwithlocallawsorregulations.Wewillalsorequirethatfactoriesrespecttherightsofworkerstoassociate,toprovideforsafeandhealthyworkingconditionsand,whereapplicable,toprovideworkerswithsafeandhealthyresidentialfacilities.Again,ifafactoryfailstomeetourstandardsitmusttakecorrectiveactiontoimproveitsperformanceorthefactorywillnotbepermittedtosupplymerchandiseforsalebyWalmart.AuditswillcontinuetobeapowerfultoolinprovidingusvisibilityintowhatishappeninginthefactoriesthatproducemerchandiseforsalebyWalmart,butwebelievethatoursupplierswillbevitalandnecessarypartnersinhelpingusachieveourgoalsandindrivinginnovation.Sowewillbeaskingthatoursuppliersprovideuswithadeclarationthatatteststothepracticesandcontrolsinplaceintheirfactoriesthatwillfurtherassurecompliancewithenvironmentalandethicalsourcingr
