1CommissionedPersonnelServiceContractPartyA:PartyB:BeijingForeignEnterpriseHumanResourcesServiceCo.,Ltd.(FESCO)PartyAandPartyBhave,throughfriendlyconsultationandinaccordancewiththerelevantlawsofthePeople’sRepublicofChina,reachedanagreementwherebyPartyAentrustsPartyBtoprovidepersonnelserviceswiththetermsandconditionsasstatedbelow:Chapter1GeneralProvisionsArticle1Termofthecontract:Thetermofthiscontractis_____years,fromto.Ifbothpartieshavenodifferenceonmaturity,thecontractshallextendforoneyearautomatically,andsoonsoforth.Article2Definitions:1.Staffmember:ItreferstotheemployeeswhomPartyAdirectlyengagesandentrustsPartyBtoprovidepersonnelserviceto.2.Personnelservice:ItreferstothepersonnelformalitiestobecompletedandsocialsecurityandwelfareandtheirserviceprovidedforthestaffofPartyAbyPartyBattherequestofPartyAinaccordancewiththerelevantprovisionsoflawsandregulationsofthePeople’sRepublicofChinaandthoseofthiscontract.3.Commissionedservicefees:ItreferstothetotalofvariousfeestobepaidtoPartyBbyPartyAaccordingtoAnnex2forthepersonnelserviceprovidedbyPartyBascalledforbytheannex.Chapter2RightsandObligationsofPartyAArticle3PartyAshall,inaccordancewiththeLaborLawofthePeople’sRepublicofChinaandotherlawsandregulations,exerciseitsrightsindependentlyinrespectofengagement,management,dismissalofstaffmembers,andshallindependentlybeartherisksandliabilityintheprocessofemployingstaffmembers.Article4PartyAshallhavetherighttoaskPartyBtoprovidecorrespondingcommissionedservicesandshallinreturnpayPartyBthecommissionedservicefeeontimeasstipulatedintheAnnex2:ListofServicesItemsasentrustedbyPartyAandtheirCharges.Article5IncasePartyBhasanyactinviolationofthetermsofthiscontract,PartyAshallhavetherighttoraiseobjectioninwriting,demandingPartyBtofulfillitsobligationshereunder,andPartyBshall,withintenworkingdaysafterreceiptofletterofobjection,giveareplyinwritingtoPartyA.Article6WhenPartyAchangesthedomicileofitsregisteredoffice,itshall,fifteendaysbeforehand,notifyPartyBofitsnewdomicileinwriting;whenPartyA’sbusinesslicenseisaltered,itshall,withinfifteendaysafteritsalteration,notifyPartyBinwritingofthealteration.Article7AfterPartyAdecidestoengageastaffmember,itshallissueaNoticeofCommissionedService(seeAnnex1)andurgethestaffmembertogothroughthenecessaryformalitieswithPartyBregardingcommissionedservicewithin30daysuponbeingnoticed.PartyAisdutyboundtoaskthestaffmembertocooperatewithPartyBincompletingthecommissionedserviceformalities.Ifanycommissionedservicecannotbeprovidedaccordingtothecontracttermforreasonsonthepartofthestaffmemberhimself/herself,PartyBshallbearnoresponsibility.Article8AfterastaffmemberfilesanapplicationforresignationwithorisdismissedbyPartyA,PartyAshallhavetherighttodemandPartyBtocooperateincompletingtheterminationformalitiesforthecommissionedservice,subjecttopriornoticeinwriting,otherwisePartyBshalltakethedateofreceiptofthewrittennoticeastheclosingdayofserviceincalculatingservicefees.2Chapter3RightsandObligationsofPartyBArticle9PartyBshall,inaccordancewiththestipulationsofthiscontract,providePartyAwithcommissionedservices,andhavetherighttodemandPartyAtopayaservicefeeasprescribedbythecontract.FordetailsofservicetobeprovidedbyPartyB,seeAnnex2ListofServicesItemsasentrustedbyPartyAandtheirCharges.Article10PartyBmay,inconsultationwithPartyA,formulatetherelevantformalitiesfortheprovisionofpersonnelservice,andPartyAanditsstaffmembersshallcooperateintheimplementationoftheformalities.Article11IncasePartyAhasanyactinviolationofthetermsofthiscontract,PartyBshallhavetherighttoraiseobjectioninwritinganddemandPartyAtofulfillitsobligationshereunder.PartyAshall,withintenworkingdaysafterreceiptofletterofobjection,giveareplytoPartyAinwriting.Article12AttherequestofPartyA,PartyBshallassistPartyAinconductingpersonnelmanagement,providingcorrespondingservices,listeningtoPartyA’ssuggestionsandcontinuouslyimprovingitsservicework.Chapter4FeesandTheirSettlementArticle13PartyAshallpayPartyBcommissionedservicefeesaccordingtothespecificstandardsasoutlinedinAnnex2.Ifthetimeofcommissionserviceislessthanonemonth,theservicefeesshallbecalculatedonthebasisoftheactualnumberofdays.Article14PartyAshallpayPartyBcommissionedservicefeesonthebasisofacalendarmonth.ThespecificstandardsofpaymentshalltaketheformofasettlementbillthatistobesenttoPartyAbyPartyB.PartyAshall,bytheendofthecurrentmonthafterreceiptofthesettlementbill,payPartyBattheratesasdeterminedonthesettlementbill.IfPartyAfindsanyerrorinthesettlementbill,itshouldcontactPartyBwithoutdelay.Article15ThecommissionedservicefeesshallbepaidintermsofRenminbi.Article16RegardingthepremiumstandardofsocialsecurityincludedinthecommissionedservicefeestobepaidtoPartyBbyPartyAforeachcalendaryearwithinthetermofthiscontract,correspondingadjustmentshouldbemadetothestandardwithreferencetotheadjustmentrateforsocialsecuritypremiumsaspublishedbythegovernment.PartyBshall,inthenextmonthafterthegovernmentissuingthatofpublicationofthenewstandardinthecurrentyear,notifyPartyAinwriting,wherebyPartyAshalladjusttheamountofservicefees.Chapter5Breachingr
