1/26SALESCONTRACTContractNo.：ThisAgreementismadeasoftheBETWEEN:(“Seller”)AND:(Buyer)INTRODUCTION:TheSellerhasagreedtosellandBuyerhasagreedtobuycopperconcentratesatthefollowingtermsandconditions;ITISAGREEDbythepartiesasfollows:ARTICLE1DURATION1、ThisAgreementshallcommencefromsigningdateofthiscontract(theCommencementDate)andremainineffectuntil31st,Dec,2020BuyerandSellershalldiscussingoodfaithtodeterminetheextensionofthisAgreementformutuallyagreeddurationnolaterthan30th,Jun,2020.本合同有效期至2020/12/31.双方在2020年6月30号之前协商延期事宜。ARTICLE2MATERIAL2.1SulfidecopperconcentratesproducedbyOyuTolgoiLLC(hereinafterreferredtoas“Producer)attheOyuTolgoicopperandgoldmineintheSouthGobiareaofMongolia,withestimatedassayshowninAppendixI.(hereinafterreferredtoasMaterial).货物为蒙古国南戈壁省的奥尤套鲁盖铜矿和金矿(以下称厂家)生产的奥尤套鲁盖硫化铜精矿(以下称货物），化学成分见附表1。2.2AnyMaterialdeliveredbySeller(l)shallconformwithChineseregulationsforcopperconcentratesimportsand(ii)shallnotexceedlimitsimposedbyChinesegovernmentforradioactivitylevel,both(l)and(ii)asagreedbythepartiesattheCommencementDate.BuyershallensureSelleriskeptfullyinformedofanymaterialchangesintherelevantregulationsduringtheTerm.IntheeventachangeintheaboveregulatoryframeworkexcludestheimportoftheMaterialintoChinaascontemplatedbythisAgreement,thenSellershallbefreetodetermineandnotifysuchregulatorychangeasamaterialadversechangeinaccordancewithArticle16.卖方交付的货物：(l)应当符合中国法规要求的进口铜精矿。(ii)不得超出中国政府对放射性等级的规定。以上两点双方需在有效期达成统一。买方应确保卖方在相关规定发生变化时拥有充分知情权。如果在以上规定范围内不包括进口到中国的货物的补充协议，那2/26么依据第16条卖方有权决定并通知这样重大的不利改变2.3IfthespecificationsoftheMaterialarenotasagreedinClause2.1andsuchspecificationsmaynegativelyimpactthesmeltingandrefiningprocessofsmelterofBuyer'sReceivingSmelter,thenBuyerandSellershalldiscussingoodfaiththenegativeimpactandpotentialremedies.Buyerreservetherighttoclaimany/alllosesduetosuchnegativelyimpact.如果货物的规格与条款2.1所指的不一致，而且该规格可能会对买方所接受的冶炼厂的冶炼与精炼过程造成负面影响，则买卖双方需本着友好协商的原则对其负面影响与潜在的补救措施进行讨论。买方有权对任何以及所有该负面影响造成的损失进行索赔。ARTICLE3QUANTITY3.1xxxTons/year±10%/吨/年±10%3.2Thequantityshallbeaddedifbothpartiesagreed.数量可由双方协商增加ARTICLE4SHIPMENT4.1ShipmentsshallbemadeinparcelsofxxxDMTuptoxxxDMTwith+I-10%.BuyerandSellershalldiscussingoodfaithtofixtheparcelsize，unlessotherwiseagreed.每批xxxDMTuptoxxxDMTwith+I-10%，除非另有约定，否则买卖双方应本着友好协商的原则协商装运量多少。ARTICLE5DELIVERY5.1EachparcelofMaterialshallbedeliveredtoBuyer,DAPPlaceofUnloadingatGanqimaodou,orerlianChinawhichappointedbybuyer(Incoterms2010)inlinedbagsofapproximately2WMTineachbag.DeliveryofeachparcelofMaterialshallbecompleteuponthelastbagofMaterialformingtheparcelbeingloadedontothebuyer’stransportation.每批货物交货地为DAP中国的甘其毛都或二连口岸(具体由买家指定)(2010年国际贸易术语通则),并由内衬袋包装，每袋约2吨。当每批货物的最后一袋装入买家的运输工具后视为交付完成。5.2UponthearrivalatthePlaceofUnloadingofeachtruckdeliveringbagsofMaterialcomprisedinaparcelofMaterial,Sellershallunloadthebagsfromthetruckatitsowncost.当货物抵达卸货地点,卖方自行负责卸货并承担费用。3/265.3Intheevent,BuyerhasopenedafullyworkableL/CacceptabletoSeller,andBuyer`stransportationmechanismfortheparcelofMaterialisreadyinallrespectsandabletoacceptloadingoftheparcelofMaterialatthePlaceofUnloadingwithinthedeliverytimeframenotifiedbySellerunderClause5.4,thenSellershallloadtheparcelofMaterialontoBuyer'stransportation,attheSeller'scost.如果在条款5.4所规定的时间表内，买方已经开具卖方可接受的全额信用证，且买方的运输已经全方位就绪并可以接收货物，则卖方应该将货物装入买方的运输工具并支付该费用。5.4OnceSellerhascompleteddeliveryofaparcelofMaterialtothePlaceofUnloading,TheBuyershouldarrangeopeningofL/Cpromptly.TransportationoftheparcelofMaterialshouldbeeffectedbythebuyerwithin21calendardaysfromthenegotiationdateofL/C.TheBuyershallendeavoritsbestefforttoeffectthetransportationasearlyaspossible.Withinsuchdesignatednumberofcalendardays(FreeTime),thereisnowarehousingcostforBuyer.BuyerwillbearcostofwarehousingaftertheFreeTimeexpires.BuyerandSellershallreviewthelengthofFreeTimeafterthedeliveryofthethirdparcelofMaterialanddiscussingoodfaithwhetherornotsuchFreeTimeshouldbeextendedorshortened.当卖方将货物完全交付到指定卸货地，买方应该立即地开具信用证。买方必须在从议付日开始的21天内安排运输，买方应该尽其最大努力尽快安排运输工具。在上述21天(免费期)内，卖方无需支付仓储费用。如果超出免费期，买方需要支付仓储费用。买卖双方应在第三批货物运输后审查免费期的天数，且本着友好协商的原则商讨此免费期是否应该延长或缩短ARTICLE6PRICEBuyershallpaySellerforMaterialshippedpursuanttothisAgreementthesumofthepaymentsforcopper,gold,andsilverdeterminedunderClause6.1，6.2,6.3andaddinterest6.6,and6.4minusthetreatmentandrefiningchargesandreferredtoinClause6.5.买方依据协议的项下条款6.1，6.2，6.3，6.4以及6.6中的规定的铜，金，银的费用总额减去条款6.5的粗炼费及精炼费用来支付给卖方。6.1CopperPayment铜的支付ForeachseparateshipmentunderthisAgreement,payforthecoppercontentinaccordancewiththescalebelowattheLMEGradeAsettlementquotationforcopperaveragedovertheQuotationalPeriod.就协议下每次单独装运的货物，按照以下尺度以铜作价期内的平均LME的A级铜结算报价的范围内进行支付。Iflessthan30%,pay96.50%oftheagreedcoppercontentsubjecttoaminimumdeductionof1.00unitto3.00unit.如果少于30%以下，支付96.5%余量且至少扣减1%-3%。4/26If30%ormorebutlessthan35%,pay96.70%,如果含量在30%-35%，则支付96.7%If35%orabove,payfor96.75%如果含量35%以上，则支付96.75%。IfthecontentofCuislessthan21%,thepriceshouldberenegotiatedorthebuyerhastherighttorejectthematerial.如果铜含量低于21%，价格将重新商定或者买方有权拒收。6.2GoldPaymentForeachseparateshipmentunderthisAgreement,payforthegoldcontentinaccordancewiththefollowing
