1DISTRIBUTORAGREEMENTCHAPTERISubjectmatterofthecontract:thecompanyE+EELEKTRONIKGes.m.b.H.registeredinLangwiesen74209EngerwitzdorfAUSTRIA-whichishereinaftercalledtheManufacturerdelegatestothecompanyTenyoungMechanical&ElectronicalTechCo.,Ltd.Room712,DevelopmentMansion,NingboFreeTradezone,315800China-whichishereinaftercalledtheDistributorthenon-exclusivedistribution电力系统（EE21独家代理），订10（）开模具intheterritoryof其它领域（工业/农业/气象）其它产品代理浙江地区不允许有E+E公司产品的其它代理商-whichishereinafterreferredtoasTerritoryforthefollowingproducts:EE21(广告现货供应)，EE36，EE35，EE08，EE23，EE29-EE31。。。开发变送器（CO2，温湿度）2-whichishereinafterreferredtoasProductsCHAPTERIIDutiesoftheDistributorArticle1.-LegalsituationoftheDistributorTheDistributorshallbuyandsellinhisownnameandforhisownaccount.HeshallactasindependenttradertowardsboththeManufactureraswellasthecustomers.HeshalleffectivelypromotethesaleoftheProductsintheTerritory,withoutbeingauthorisedtoactinthenameoftheManufacturer.Furthermore,heshallsafeguardtheinterestsoftheManufacturerwiththeduediligenceofaresponsiblebusinessmanandshallalwayskeeptheManufacturerinformedofhisactivitiesaswellasofthemarketconditionswithintheTerritory.Article2.-Pricesandconditionsofsaleandresale2.1TheDistributorshallbefreetofixhisresaleprices.2.2TheDistributorshallselltheProductsspecifiedinChapterIwiththetrade-markand/orappearanceprescribedbytheManufacturer.2.3AllsalesbetweentheManufacturerandtheDistributorarebasedontheconditionsattachedhereto(Appendix1).ThesumsduetotheManufacturershallbepaidinEUROcurrencytotheaccountno.:121-2683/87attheBankOBERBANKSALZBURG(BLZ15090).Thetermofpaymentis30daysnetbyT/T.Article3.-ObligationtobuyaminimumquantityTheminimumsalesquantityoftheDistributorintheyearwillbeEuro.50000EuroForfuturebusinessyearstheminimumnetsaleswillbeagreeduponthegeneralbusinesssituation.3IftheDistributordoesnotfulfilthisobligation,theManufacturershallbeentitledtoterminatetheContractongivingthreemonths'noticebyregisteredletter.Article4.-PublicityandfairsTheDistributorshalladvertisetheProductswithintheTerritory.ThecostsofthepublicityshallbebornebytheDistributor.TheDistributorshallinformtheManufactureringoodtimeofanycontemplatedparticipationinfairsandexhibitions.TheexhibitioncostswillbedividedupaccordingtoanagreementbetweentheManufacturerandtheDistributor.Article5.-ProhibitionofcompetitionduringthetermofContractTheDistributorshallnotmanufactureordistributeproductswhichcompetewiththeProducts.Therefore,theDistributorshallnot,directlyorindirectly,dealinanycapacitywithcompetingproductswithintheTerritory.IftheDistributorwishestosellnon-competingproductsofanothermakeorif,atthedateoftheformationoftheContract,hedoessoalready,heshallinformtheManufacturer.Ifheundertakessuchanactivity,theregularperformanceofhisobligationstowardstheManufacturermustnotbeprejudicedthereby.Article6.-TradesecretsTheDistributorshallnot,evenaftertheexpirationoftheContract,useorcommunicatetothirdpartiesanyknow-howortradesecretswhichhemayhaveinanywaylearnedthroughhisactivityfortheManufacturer.Article7.-Appointmentofsub-distributorsand/oragentsTheDistributorshallalwayskeeptheManufacturerinformedoftheactivitiesofthosesub-distributorsandcommercialagentsintheTerritory.Article8.-ProhibitiontoselloutsidetheTerritory明确哪些4TheDistributorshallrefrain,outsidetheTerritory,fromseekingcustomersfortheProducts,fromestablishinganybranch,orfrommaintaininganydistributiondepot.Article9.-AssistanceagainstunfaircompetitionandinfringementofindustrialpropertyrightsTheDistributorshallinformtheManufacturerofallactsofunfaircompetitionaffectingthelatterandofallinfringementsofindustrialpropertyrightsoftheManufacturerwhichcometohisnotice.HeshallassisttheManufacturertothebestofhisabilitiestoprotecthimselfagainstsuchactsandinfringements.Article10.-MinimumstocksTheDistributorshallmaintainathisowncostastockoftheProducts,aswellasastockofcorrespondingspareparts.Thedepotshallcontaintheminimumstockadjustedtothemarketandtothesalessituation.CHAPTERIIIDutiesoftheManufacturerArticle11.-DocumentsandadvertisingmaterialTheManufacturershallassisttheDistributoringivinghimallnecessarydocuments,prospectusandprice-lists,whichremainthepropertyoftheManufacturer,unlessthecontractprovidesfortheirtransmittaltocustomers.Article12.-TheManufacturer'srighttoconcludedirectcontractsTheManufacturerundertakestosellwithintheTerritoryonlytotheDistributor.HeshallnotappointanotherpersonoranotherfirmforthesaleortherepresentationofhisProductswithintheTerritory.5Article13.-Permissionfor,orprohibitionof,otherdistributorsoftheManufacturertoselloutsidetheircontractualterritory??????????????????//TheManufacturerisentitledtosellhisProductstocustomersoutsidetheTerritory,evenifthelatterintendtoexporttotheTerritory.TheManufacturershallimposeonhisotherdistributorsobligationswhichcorrespondtothoseprovidedinArticle8.inrespectoftheDistributor.CHAPTERIVPurchasepricesfortheDistributorArticle14.-Distributorprice-listTheDistributorbuystheproductsfromtheManufactureraccordingtothevalidnet-pricelist.Ifthereis,forreasonsofprice,thenecessityofsupplyingtheproductsofthe
