..'.烟台大学法学院法律硕士张川方中华人民共和国中外合资经营企业法LawofthePeople’sRepublicofChinaonSino-ForeignEquityJointVenturesArticle1Withaviewtoexpandinginternationaleconomiccooperationandtechnologicalexchange,thePeople’sRepublicofChinapermitsforeigncompanies,enterprises,othereconomicentitiesorindividuals(hereinafterreferredtoasforeignparties)toincorporatethemselves,withintheterritoryofthePRC,intoequityjointventures(股份式合营企业)withChinesecompanies,enterprisesorothereconomicentities(hereinafterreferredtoasChineseparties)ontheprincipleofequalityandmutualbenefitandsubjecttoauthorizationbytheChineseGovernment.Article2(1)TheChineseGovernmentprotects,bythelegislationinforce,theinvestmentsofforeignparties,theprofitsduetothemandtheirotherlawfulrightsandinterestsinequityjointventures,pursuanttotheagreements,contractsandarticlesofassociationapprovedbytheChineseGovernment.(2)Alltheactivitiesofanequityjointventureshallbegovernedbythelaws,decreesandpertinentrulesandregulations(条例)ofthePeople’sRepublicofChina.(3)TheStatewillnotnationalizeorexpropriateanyequityjointventure.Underspecialcircumstances,basedontheneedofthesocialpublicinterests,equityjointventuresmaybeexpropriatedunderlegalproceduresandagainst(给予)appropriatecompensation.Article3Allpartiestoanequityjointventureshallsubmittheiragreements,contractsandarticlesofassociationtotheCompetentAuthorityofForeignRelationsandTradeofChina(simplifiedastheexaminationandapprovalauthorityhereinafter)forexaminationandapproval(审查批准).Theexaminationandapprovalauthorityshalldecidewhethertoapproveornotwithin3months.Onceapproved,theequityjointventureshallregisterwiththecompetentauthorityofAdministrationforIndustryandCommerceofChina,andstartoperationafterreceivingitsbusinesslicense.Article4(1)Anequityjointventureshalltaketheformofalimitedliabilitycompany.(2)Intheregisteredcapitalofanequityjointventure,theproportionoftheinvestmentcontributedbytheforeignpartiesshallingeneralnotbelessthan25percent.(3)Theprofits,risksandlossesofanequityjointventureshallbesharedbythepartiestotheventureinproportiontotheircontributionstotheregisteredcapital.(4)Thetransferofoneparty’sshareintheregisteredcapitalshallbeeffectedonlywiththeconsentofalltheotherpartiestotheventure.Article5(1)Anypartytoanequityjointventuremaycontributecash,capitalgoods(实物、货物资本),industrialpropertyrights,etcasitsinvestmentinthejointventure.(2)ThetechnologyorequipmentcontributedbyanyforeignpartyasinvestmentshallbetrulyadvancedandappropriatetotheneedsofChina.Incaseoflossescausedbydeceptionthroughthe..'.intentionalprovisionofoutdated(落后的)equipmentortechnology,compensationshallbepaidforsuchlosses.(3)TheinvestmentcontributedbyaChinesepartymayincludetherighttotheuseofasiteprovidedfortheequityjointventureduringtheperiodofitsoperation.IncasesuchacontributiondoesnotconstituteapartoftheinvestmentfromtheChineseparty,theventureshallpaytheChineseGovernmentafeeforitsuse.(4)ThevariouscontributionsreferredtointhepresentArticleshallbespecifiedinthecontractsconcerningtheequityjointventureorinitsarticlesofassociation,andthevalueofeachcontribution(excludingthatofthesite)shallbeascertained(商定)bythepartiestotheventurethroughjointassessment(评议).Article6(1)Anequityjointventureshallhaveaboardofdirectorswithacompositionstipulatedinthecontractandthearticlesofassociationafterconsultationbetweenthepartiestotheventure;eachdirectorshallbeappointedandreplacedbyhisownside.Thechairmanandthevice-chairmanshallbechosenthroughconsultationbythepartiestotheventureorelectedbytheboardofdirectors.IftheChinesesideortheforeignsideassumestheofficeofthechairman,theothersideshallassumetheofficeofthevice-chairman.Theboardofdirectorsshalldecideonimportantmattersconcerningtheequityjointventureontheprincipleofequalityandmutualbenefit.(2)Theboardofdirectorsisempoweredtodiscussandtakeaction(讨论决定)on,pursuanttotheprovisionsofthearticlesofassociationoftheequityjointventure,allfundamentalissuesconcerningtheventure,namely,expansionprojects(企业发展规划),productionandbusinessprograms,thebudget,distributionofprofits,plansconcerningmanpowerandpayscales(劳动工资),theterminationofbusiness,theappointmentorhiringofthepresident,thevice-president(s),thechiefengineer,thetreasurer(总会计师)andtheauditorsaswellastheirfunctionsandremuneration,etc.(3)Thepresidentandvice-president(orthegeneralmanagerandassistantgeneralmanagerinafactory)shallberespectivelyappointedbytheChinesesideandtheforeignside,andviceversa.(4)Proceduresconcerningtheemploymentanddischargeoftheworkersandstaffmembersofanequityjointventureshallbestipulatedaccordingtolawintheagreementorcontractconcludedbetweenthepartiestotheventure.Article7(1)ThenetprofitofanequityjointventureshallbedistributedamongthepartiestotheventureinproportiontotheirrespectivesharesintheregisteredcapitalafterthepaymentofanequityjointventureincometaxonitsgrossprofitpursuanttothetaxlawsofthePeople’sRepublicofChinaandafterthedeductionstherefromasstipulatedinthearticlesofassociationoftheventureforthereservefunds(储备基金),thebonusandwelfarefundsfortheworkersandstaffmembersandtheexpansionfunds(企业发展基金)oftheventure.(2)Anequity
