烟台大学法学院法律硕士张川方中华人民共和国涉外民事关系法律适用法LawofthePRConApplicationofLawstoForeign-RelatedCivilRelations(AdoptedattheSeventeenthMeetingoftheStandingCommitteeoftheEleventhNationalPeople'sCongressonOctober28th,2010)No.36OrderofthePresidentofthePRCTheLawofthePeople'sRepublicofChinaonApplicationofLawstoForeign-RelatedCivilRelations,adoptedattheSeventeenthMeetingoftheStandingCommitteeoftheEleventhNationalPeople'sCongressofthePeople'sRepublicofChina,isherebypromulgatedandshallcomeintoforceonApril1st,2011.HuJintao,PresidentofthePRCOctober28th,2010C-IGeneralProvisionsArticle12013-1-1415:26:54ThisLawisformulatedwithaviewtospecifying(明确)theapplicationoflawstoforeign-relatedcivilrelations,resolvingforeign-relatedcivildisputes(涉外民事争议)inareasonablemanner(合理地),andsafeguardingthelegitimaterightsandinterestsoftheparties.Article2(1)Lawsapplicabletoforeign-relatedcivilrelationsshallbedeterminedinaccordancewiththisLaw.Whereotherlawsprovideotherwisefor(对…另有特别规定)theapplicationoflawstoforeign-relatedcivilrelations,thoseprovisionsshallprevail.(2)Intheabsenceofprovisions(没有规定)ontheapplicationoflawstoforeign-relatedcivilrelationsinthisLawandotherlaws,lawshavingtheclosestrelationship(有最密切联系的)withtheforeign-relatedcivilrelationinquestion(该涉外民事关系)shallapply.Article3Thepartiesmay,inaccordancewiththelaw(我国法律),expresslychoose(明示选择)lawsapplicabletotheforeign-relatedcivilrelations.Article4Wheretherearemandatoryprovisions(强制性规定)onforeign-relatedcivilrelationsinlawsofthePeople'sRepublicofChina,thosemandatoryprovisionsshalldirectlyapply(强制性规定).Article5Wheretheapplicationofforeignlawswillunderminethesocialandpublicinterests(社会公共利益)ofthePeople'sRepublicofChina,lawsofthePeople'sRepublicofChinashallapply.Article6Wherelawsofaforeigncountryapplytoaforeign-relatedcivilrelation,ifdifferentregionsoftheforeigncountryaregovernedby(实施)differentlaws,lawsoftheregionhavingtheclosestrelationship(实施)withtheforeign-relatedcivilrelationinquestion(该)shallapply.Article7Limitationperiod(诉讼时效)shallbegovernedbythelawsapplicabletotheforeign-relatedcivilrelationinquestion(相关).Article8Lexfori(法院地法律)shallapplyindeterminingthenature(定性)offoreign-relatedcivilrelations.Article9Foreignlaws(外国法律)applicabletoforeign-relatedcivilrelationsshallnotincludethelawsontheapplicationoflawsoftheforeigncountries.Article10(1)Foreignlawsapplicabletoforeign-relatedcivilrelationsshallbeascertained(查明)bypeople'scourts,arbitrationinstitutions(仲裁机构)oradministrativeorgans.Wherethepartieschoosetobegovernedbyforeignlaws,theyshallprovidethelawsoftherelevantforeigncountry.(2)Whereforeignlawsareunabletobeascertainedorcontainnorelevantprovisions(没有规定),lawsofthePeople'sRepublicofChinashallapply.C-IICivilSubjectsArticle11中英文对照word版，[e-mail]ghts(民事权利能力)ofnaturalpersonsshallbegovernedbylawsoftheirhabitualresidence(经常居所).Article12(1)Thecapacityforcivilconducts(民事行为能力)ofnaturalpersonsshallbegovernedbylawsoftheirhabitualresidence.(2)Whereanaturalpersonengagesincivilactivities(从事民事活动),andhehasnocapacityforcivilconductsinaccordancewiththelawofhishabitualresidence(经常居所地法律)buthassuchcapacityinaccordancewithlexlociactus(行为地法律),thelattershallprevail,exceptformattersrelatingto(涉及)marriage,familyandsuccession.Article13Whereanaturalpersonistobedeclaredmissing(宣告失踪)ordeceased,lawsofhishabitualresidenceshallapply.Article14(1)Lawsoftheregistrationplace(登记地法律)shallapplytothecapacityforcivilrights,capacityforcivilconducts,organizationalstructure,shareholders'rightsandobligationsandothermatters(等事项)ofalegalpersonanditsbranchoffices(分支机构).(2)Wheretheplaceofprincipaloffice(主营业地)ofalegalpersonisdifferentfromitsplaceofregistration,lawsoftheplaceofprincipalofficemayapply.Thehabitualresidenceofalegalperson(法人的经常居所地)shallbeitsplaceofprincipaloffice.Article15Thecontentofrightsofpersonality(人格权)shallbegovernedbylawsofthehabitualresidenceoftherightholder(权利人).Article16(1)Agency(代理)shallbegovernedbylexlociactus,butthecivilrelation(民事关系)betweentheprincipalandtheagentshallbegovernedbylawsoftheplaceofoccurrence(发生地)oftheagencyrelationship(代理关系).(2)Thepartiesmaychooselawsapplicabletoentrustmentandagency(委托代理)byagreement(协议选择).Article17Thepartiesmaychooselawsapplicabletotrust(信托)byagreement.Wherethepartieshavemadenosuchchoice,lexreisitae(物之所在地法律)ofthetrustproperty(信托财产)orlawsoftheplaceofoccurrenceofthetrustrelationshipshallapply.Article18Thepartiesmayagreeuponthelaws(协议选择法律)applicabletoanarbitrationagreement.Wherethepartieshavemadenosuchchoice,lawsofthedomicileofthearbitrationinstitution(仲裁机构所在地)orlawsoftheplaceofarbitration(仲裁地)shallapply.Article19Wherelexpatriae(国籍国法律)appliesinaccordancewiththisLaw,andanaturalpersonhastwoormorenationalities,lexpatriaeofthecountrywithhishabitualresidence(有经常居所的)shallapply;wherenocountryofnationalityhashishabitualresidence,lexpatriaehavingtheclosestrelationshipwithhimshallapply.Whereanaturalpersonisstatelessorwithoutclearnationality(国籍不明),lawsoftheirhabitualresidenceshallapply.Article20WherelawsofthehabitualresidenceapplyinaccordancewiththisLaw,andthehabitualresidenceofanaturalpersonis
