《》影视剧合作框架协议“”TelevisionSeriesCooperationFrameworkAgreement甲甲方PartyA：地地址Address：___________________电电话Phone：_______________________乙乙方PartyB：地地址Address：_______________________电电话Phone：_______________________丙丙方PartyC：地地址Address：_______________________电话Phone：_______________________本框架协议内容于/年/月/日在会议室商定，并于/年/月/日分别在…签订。鉴于甲方编剧团队出品过影视剧《》，乙方出品拍摄过《》，等剧，丙方作为**影视制作和艺人经纪的协调和交流有充足经验能力，所以三方达成:共同投资制作影视剧《/》（暂定名）达成合作意向，并希望通过本框架协议确认本项目目前的状况。本剧由三方签署的联合投资制作合同最终确定。ThecontentsofthisagreementwasdiscussedatGMmeetingroomin**onSeptember,**,andsignedrespectivelyinBeijing,Bangkok,ShanghaionSeptember,**.InviewofthescriptwriterteamofpartyAfinishedaTVscript“…”,andpartyBmadeaTVseries…,andsoon.PartyCasthefilmandtelevisionproductioncompanywithsufficientexperiencetocoordinateandcommunicatewithartists.SothethreepartiescametoanagreementtomakeanTVplay(undeterminedname)withco-investment.Thisagreementissignedtoconfirmthecurrentsituationoftheproject.ThisTVserieswillbefinalizedaftersigningtheco-investmentcontractbythethreeparties.1、《/》由XX（以下简称“x”）提供完整剧本，XX（以下简称“XX”）拍摄并在**播出，XX协助执行等。三方共同投资，策划本剧。2、本框架协议签署完成之日起，至/年/月/日前，甲方提供《/》剧本全集大纲及人物小传，乙方于/年/月/日前提供反馈意见。如剧本经甲乙双方探讨及修改后，若于/年/月/日前，双方仍未就剧本全集大纲和人物小传达成一致，双方可有权暂停本框架合作协议。3、《/》项目筹备时间详见附件。4、甲乙双方有权在本剧安排本国演员出任角色，但以三方最终签署的联合投资制作合同为准。5、关于本剧的版权收益，演出产品收益，本剧的延伸产品收益（线下实物产品）均根据投资比例进行共同收益和分享，但以三方最终签署的联合投资制作合同为准。6、在正式项目合同签署前，任何一方不得直接或间接与第四方就本备忘录标的事项进行任何磋商、谈判，达成谅解或任何形式的协议或安排。7、本备忘录经三方签字盖章生效。I.Acompletescriptof“/”shallbeprovidedbyXX(hereinafterreferredtoasx),XX(hereinafterreferredtoasXX)shallfinishthefilmingofthisTVseriesandbroadcastin//,XXhelptofinishsomerelevantjob,andsoon.ThisTVseriesshallbemadebyco-investmentandcooperationofthethreepartiesincontract.II.FromthedateofagreementsignedtoSeptember*th,**,partyAshallpresentthecompleteoutlineofscriptandcharacters’biography.PartyBshallputforwardfeedbackbeforeOctober7th,2017.Iftwopartiescan’treachanagreementofscriptafterdiscussionandmodificationbeforeJanuary*st,**,thissignedagreementcanbeterminatedbythetwosides.III.Thescheduleof/projectseeannex.IV.PartyAandPartyBhavetherighttochoosedomesticactorsplayingtheroles,andthefinalsignedcontractshallprevail.V.AlltheincomeofthisTVseries,suchascopyrightincome,performanceincome,andtheoutspreadproductsincome(offlinerealobjects)shallsharetothreepartiesbasedontheproportionofinvestment.Thefinalsignedcontractshallprevail.VI.Beforetheformalprojectcontractsigned,nopartyshall,directlyorindirectly,engageinanyconsultation,negotiation,agreementoranyformofagreementorarrangementwiththefourthpartyinrespectofthesubjectmatterofthismemorandum.VII.Thismemorandumwillbeeffectivewhensignedbythethreesides.
