AssetsTransferAgreementThisassetstransferagreement('thisAgreement')ismadebetweenandbythefollowingpartiesinBeijingon_________,_________,_________(M,D,Y).PartyA:AAACo.,Ltd.Address:_________PartyB:BBBCo.,Ltd.Address:_________WHEREASPartyAagreestoassigntoPartyBtheassetsconcernedtoPartyBandPartyBagreestoacceptthesaidassets;therefore,thepartiesreachthefollowingagreementthroughfriendlyconsultations:ARTICLE1PartyAagreestoassigntheassetslistedinAttachmentIofthisAgreement,andPartyBagreestoaccepttheforegoingassets.ARTICLE2ThepartiesagreethatPartyAwillcompletealltheproceduresnecessaryforthetransferoftheassetslistedinAttachmentIheretofromPartyAtoPartyBwithin_________uponexecutionofthisAgreement(excludingthedayofexecutionforthisAgreement),whichincludebutarenotlimitedtothehand-overofcertificationofownershipforsuchassetsandthehandlingofregistrationprocedures(ifapplicable).ARTICLE3PartyBwillpayPartyAanassignmentfeeof_________fortheassetsassignedbyPartyA.ARTICLE4ThepartiesagreethatthetitleoftheassetslistedinAttachmentIheretowillbetransferredtoPartyBonthe_________uponexecutionofthisAgreement.PartyAshallberesponsibleforalltheliabilitiesandrisksinvolvingthetitletransferoftheassetslistedinAttachmentIheretopriortosuchtransfer(nomattersuchliabilitiesandrisksareclaimedbeforeorafterthetransferofsuchtitle),forwhichPartyBshallbearnoliabilitiesandobligations.IncasePartyBdoesnotreceivetheforegoingassetswithin_________uponexecutionofthisAgreement,PartyAshallcompensatein_________.ARTICLE5RepresentationandGuarantee5.1Partyrepresentsandguaranteesasfollows:(a)PartyAisacompanyincorporatedandvalidlyexistingpursuanttotheChineselaws;(b)ByexecutingandperformingthisAgreement,PartyAdoesnotviolatetherelevantlawsandcontractsthathaveabindingforceonit,andhasobtainedtheproperauthorizationandallthenecessaryapprovalofexecutingandperformingthisAgreement;and(c)PartyAisentitledtotheownershipoftheassetslistedinAttachmentIheretoandhasnotplacedmortgageoranythirdparty'sinterestsagainstsuchownership,nordoesitimposeanyobstacletoPartyBfortheobtainmentofthetitleofsuchassets.5.2PartyBrepresentsandguaranteesasfollows:(a)PartyAisacompanyincorporatedandvalidlyexistingpursuanttotheChineselaws;and(b)ByexecutingandperformingthisAgreement,PartyBdoesnotviolatetherelevantlawsandcontractsthathaveabindingforceonit,andhasobtainedtheproperauthorizationandallthenecessaryapprovalofexecutingandperformingthisAgreement.ARTICLE6LiabilityforBreachofAgreement6.1IfonepartytothisAgreement('theBreachingParty')failstoimplementitsobligationsunderthisAgreement(includingviolationoftheprovisionsinvolvingrepresentationandguarantee),andfailstoadopteffectivemeasurestocorrectsuchviolationwithin_________uponreceiptofawrittennoticebytheotherparty('theNon-BreachingParty')forsuchcorrectionwithinthestipulatedtime,thenon-breachingpartyhastherighttoterminatethisAgreementandclaimcompensationfromthebreachingpartyforthelossessustainedtherefrom.6.2IfPartyAviolatestheprovisionsofArticles2and5ofthisAgreement,PartyBhastherighttoseekreturnofallthepaymentandapenaltyequalto_________ofthetotalpricefromPartyA.ARTICLE7SettlementofDisputeAnydisputearisingoutoforinconnectionwiththisAgreementshallbesettledbythepartiesthroughconsultations.Ifitcannotbesettledthroughconsultations,anypartymaysubmitthesaiddisputetoChinaInternationalEconomicandTradeArbitrationCommissionforarbitrationinBeijingaccordingtoitsvalidrulesofarbitration.Thearbitrationawardisfinalandshallbebindingovertheparties.ARTICLE8ForceMajeureAforcemajeureeventreferstoanyeventthatcannotbeforeseenanditsoccurrenceandconsequencescannotbeavoidedorovercomeatthetimewhenthisAgreementisexecuted.AnypartytothisAgreementshallnotbeartheliabilitiesforbreachofthisAgreementifitispreventedfromimplementingalloranypartoftheresponsibilitiesassociatedwiththeprovisionsofthisAgreement.Thepartythatisaffectedwithsuchaforcemajeureeventshallnotifytheotherpartyoftheeffectsofsucheventwithin_________afteritsoccurrence,andpresentcertificationbythelocalnotarizationorgan.ARTICLE9TransferofAgreementNopartyshalltransferitsrightsandobligationsunderthisAgreementtoanythirdpartyunlessconsentedbytheotherpartyinwriting.ARTICLE10SeparabilityofAgreementIfanyarticleorsectionofthisAgreementbecomesinvalidorunenforceable,itwillnotaffectthevalidityandenforceabilityofotherarticlesorsections.ARTICLE11AmendmentandSupplementofAgreementThepartiesmayamendorsupplementthisAgreementinwriting.TheamendmentandsupplementtothisAgreementshallconstituteaninseparablepartofthisAgreementandbeequallyauthentictothisAgreement.ARTICLE12Miscellaneous12.1ThisAgreementshallcometoforceuponexecutionbytheauthorizedrepresentativesofthepartiesandfixationoftheirofficialsealsasofthedatefirstseeninthisAgreement.12.2ThisAgreementhastwooriginalcopies,ofwhicheachpartyholdsone,andtheyareequallyauthentic.PartyA:AAACo.,Ltd.(OfficialSeal)AuthorizedRepresentative:_________(Signature)_________PartyB:BBBCo.,Ltd.(OfficialSeal)AuthorizedRepresentative:_________(Signature)_________TranslationVerificationTheforegoingrepresentsafairandaccurateEnglishtranslati
