STANDARDSERVICESAGREEMENTTHISAGREEMENTismadeon[Month,day,year]BETWEEN1.[theBuyer]of(theBuyer);and2.[theServiceProvider]of(theServiceProvider),collectivelyreferredtoastheParties.TheBuyerwishestobeprovidedwiththeServices(definedbelow)bytheServiceProviderandtheServiceProvideragreestoprovidetheServicestotheBuyeronthetermsandconditionsofthisAgreement.1.KeyTerms1.1ServicesTheServiceProvidershallprovidethefollowingservices(Services)totheBuyerinaccordancewiththetermsandconditionsofthisAgreement:[在此输入所提供的服务详情]1.2DeliveryoftheServicesa.Startdate:TheServiceProvidershallcommencetheprovisionoftheServiceson[服务起始日期].1.3SiteTheServiceProvidershallprovidetheServicesatthefollowingsite(s):[在何处提供服务]1.4Priceb.AsconsiderationfortheprovisionoftheServicesbytheServiceProvider,thepricefortheprovisionoftheServicesis[服务价格](Price).1.5Paymentc.TheBuyeragreestopaythePricetotheServiceProvideruponreceiptofinvoices.d.TheServiceProvidershallinvoicetheBuyerfortheServicesthatithasprovidedtotheBuyerperiodically.e.TheBuyershallpaysuchinvoiceswithin21daysoftheirreceiptfromtheServiceProvider.f.ThemethodofpaymentofthePricebytheBuyertotheServiceProvidershallbeby:i.wiretransferthroughtothefollowingaccount:（账户详情）g.AnychargespayableunderthisAgreementareexclusiveofanyapplicabletaxes,tariffsurchargesorotherlikeamountsassessedbyanygovernmentalentityarisingasaresultoftheprovisionoftheServicesbytheServiceProvidertotheBuyerunderthisAgreementandsuchshallbepayablebytheBuyertotheServiceProviderinadditiontoallotherchargespayablehereunder.2.Generalterms2.1IntellectualPropertyRightsTheServiceProvideragreestogranttotheBuyeranon-exclusive,irrevocable,royaltyfreelicencetouse,copyandmodifyanyelementsoftheMaterialnotspecificallycreatedfortheBuyeraspartoftheServices.InrespectoftheMaterialspecificallycreatedfortheBuyeraspartoftheServices,theServiceProviderassignsthefulltitleguaranteetotheBuyerandanyallofthecopyright,otherintellectualpropertyrightsandanyotherdataormaterialusedorsubsistingintheMaterialwhetherfinishedorunfinished.IfanythirdpartyintellectualpropertyrightsareusedintheMaterialtheServiceProvidershallensurethatithassecuredallnecessaryconsentsandapprovalstousesuchthirdpartyintellectualpropertyrightsfortheServiceProviderandtheBuyer.ForthepurposesofthisClause2.1,Materialshallmeanthematerials,inwhateverform,usedbytheServiceProvidertoprovidetheServicesandtheproducts,systems,programsorprocesses,inwhateverform,producedbytheServiceProviderpursuanttothisAgreement.2.2Warrantya.TheServiceProviderrepresentsandwarrantsthat:i.itwillperformtheServiceswithreasonablecareandskill;andii.theServicesandtheMaterialsprovidedbytheServiceProvidertotheBuyerunderthisAgreementwillnotinfringeorviolateanyintellectualpropertyrightsorotherrightofanythirdparty.2.3Limitationofliabilityb.SubjecttotheBuyer’sobligationtopaythePricetotheServiceProvider,eitherparty’sliabilityincontract,tortorotherwise(includingnegligence)arisingdirectlyoutoforinconnectionwiththisAgreementortheperformanceorobservanceofitsobligationsunderthisAgreementandeveryapplicablepartofitshallbelimitedinaggregatetothePrice.c.TotheextentitislawfultoexcludethefollowingheadsoflossandsubjecttotheBuyer’sobligationtopaythePrice,innoeventshalleitherpartybeliableforanylossofprofits,goodwill,lossofbusiness,lossofdataoranyotherindirectorconsequentiallossordamagewhatsoever.d.NothinginthisClause2.3willservetolimitorexcludeeitherParty’sliabilityfordeathorpersonalinjuryarisingfromitsownnegligence.2.4TermandTerminatione.ThisAgreementshallbeeffectiveonthedatehereofandshallcontinue,unlessterminatedsoonerinaccordancewithClause2.4(b),untiltheCompletionDate.f.EitherPartymayterminatethisAgreementuponnoticeinwritingif:i.theotherisinbreachofanymaterialobligationcontainedinthisAgreement,whichisnotremedied(ifthesameiscapableofbeingremedied)within30daysofwrittennoticefromtheotherPartysotodo;orii.avoluntaryarrangementisapproved,abankruptcyoranadministrationorderismadeorareceiveroradministrativereceiverisappointedoveranyoftheotherParty'sassetsoranundertakingoraresolutionorpetitiontowinduptheotherPartyispassedorpresented(otherthanforthepurposesofamalgamationorreconstruction)oranyanalogousprocedureinthecountryofincorporationofeitherpartyorifanycircumstancesarisewhichentitletheCourtoracreditortoappointareceiver,administrativereceiveroradministratorortopresentawinding-uppetitionormakeawinding-uporderinrespectoftheotherParty.g.[ForEuropeanBuyersandServiceProvidersonly]IftheBuyerisaconsumerandtheDistanceSellingDirective(97/7/EC)(theDirective)appliestothisAgreement,theBuyermayterminatethisAgreementwithintherelevanttimescalesprescribedbytheregulationsorlawsintherelevantMemberStatewhichimplementtherequirementsoftheDirectiveinrespectofarightfortheBuyertowithdrawfromacontract.IntheeventofterminationinaccordancewiththisClause2.4(c),theliabilityoftheBuyertotheServiceProvidershallbeasprescribedintheDirectiveorinanyregulationsorlawsimplementingitsrequirementsintherelevantMemberStates.h.AnyterminationofthisAgreement(howsoeveroccasioned)shallnotaffectanyaccruedrightsorliabil
