AGREEMENTFORTHESALEOFSHARESINBYANDAMONGWUHUZHONGKEXINAVIATIONTECHNOLOGYDEVELOPMENTCO.,LTD.AND[SELLER]AND[TARGETCOMPANY]Dated__________,2016TABLEOFCONTENTSAGREEMENTFORTHESALEOFSHARES股权收购协议THISAGREEMENTFORTHESALEOFSHARES(this“Agreement”),datedasof_________,2016(the“EffectiveDate”),ismadebyandamong本股权收购协议（“本协议”），由以下各方于2016年[**]月[**]日（“生效日”）签订：(1)WuhuZhongKeXinAviationTechnologyDevelopmentCo.,Ltd.,alimitedliabilitycompanydulyorganizedunderthelawsofPRChina(“Buyer”);芜湖中科信航空技术开发有限公司（一家依据中国法律成立的有限责任公司，“买方”）；(2)[Seller’sName],alimitedliabilitycompanydulyorganizedunderthelawsof[***],(“Seller”);and[卖方名称]（一家依据[***]法律成立的有限责任公司，“卖方”）；以及(3)[TargetCompany’sName],alimitedliabilitycompanydulyorganizedunderthelawsof[***],(the“Company”).[目标公司名称]（一家依据[***]法律成立的有限责任公司，“公司”）。WHEREAS,鉴于：(1)[Seller]owns100%oftheequityinterestsof;andtheCompanyowns100%oftheownershipandallexistingintellectualpropertyrightsofDart-450,aprimarytrainingaircraftpoweredbyturbopropengine(the“Dart-450”),whichisdevelopedbyAustrianDiamondAircraftIndustriesGmbH,andanyandallpropertyandIntellectualPropertyRights(collectivelythe“SubjectAssets”)arelistedinAppendixA;卖方拥有[目标公司]（一家[***]公司，以下简称“公司”）的100%股东权益；公司拥有由奥地利的钻石工业有限公司研发的一款搭载涡轮螺旋桨发动机的DART-450初级教练机（以下简称“DART-450”）的所有权及其相关的全部现有知识产权，与Dart-450有关的任意及全部产及知识产权（统称为“标的资产”）列于附件一；(2)SellerownsbeneficiallyandofrecordallofthesharesintheCompany;卖方实质上和名义上拥有全部的公司股权；(3)SellerdesirestoselltoBuyer,andBuyerdesirestopurchasefromSeller,theSubjectShares(asdefinedbelow)forthePurchasePriceanduponthetermsandconditionshereinaftersetforth;卖方意图以本协议约定的收购价格和条件将标的股权(定义见下文)出售给买方、买方意图以本协议约定的收购价格和条件向卖方收购标的股权；NOW,THEREFORE,inconsiderationofthepremisesandthemutualcovenantsandagreementshereinaftercontained,thePartiesherebyagreeasfollows:兹此，基于本协议所包括的前提以及各方之间的承诺和契约，各方达成合意如下：1.DEFINITIONSANDINTERPREATION第一条定义和释义1.1.Definitions.InadditiontotermsdefinedelsewhereinthisAgreement,forpurposesofthisAgreement,thefollowingtermsshallhavethemeaningsspecifiedinthisArticle1.1:定义。除了本协议其他地方定义的词语外，基于本协议之目的，以下词语具有第1.1条规定之含义：“Affiliate”means,withrespecttoanyPerson,(a)anyotherPersonthat,directlyorindirectlythroughoneormoreintermediaries,controls,oriscontrolledby,orisundercommoncontrolwith,suchPerson,(b)eachPersonwhoisatsuchtimeanofficerordirectorof,ordirectorindirectbeneficialholderofmorethan50%ofanyclassoftheequityinterestsof,suchspecifiedPersonand(c)ifsuchspecifiedPersonisanindividual,themembersoftheimmediatefamilyofsuchPerson(andtheterm“control”(includingtheterms“controlledby”and“undercommoncontrolwith”)meansthepossession,directlyorindirectly,ofthepowertodirectorcausethedirectionofthemanagementandpoliciesofsuchPerson,whetherthroughownershipofvotingsecurities,bycontractorotherwise.“关联方”，对任何人士而言，是指：（a）通过一个或者多个中间人直接或者间接控制此人、或被此人控制或者与此人共同被控制的任何其他人士，（b）届时是此人士的管理人员或董事，或者直接或间接持有人士的任何类别的股权权益的50%以上的人，以及（c）如果此人士是一个自然人，此人士的直系亲属成员；“控制”一词（包括“被控制”和“被共同控制”）是指直接或间接拥有权力来指导或者导致此人士的管理和政策方向，不论是通过持有具有投票权的证券，还是通过合同或者其他方式。“BusinessDay”meansanydayoftheyearonwhichnationalbankinginstitutionsin[**]areopentothepublicforconductingbusinessandarenotrequiredorauthorizedtoclose.“工作日”，是指一年中[**]内的全国银行业金融机构向公众开放营业、并且未被要求或者授权关闭的任何一天。“CompanyBusiness”meansthebusinesswillbeconductedbytheCompanyaftertheEffectiveDateassetoutinArticle[**].“公司业务”，是指在生效日之后公司所从事的列于第[**]条的业务。“Contract”meansanyoralorwrittencontract,agreement,commitment,undertaking,indenture,note,bond,mortgage,loan,instrument,lease,orlicense.“合同”是指任何口头或书面的合同、协议、承诺、许诺、契约、票据、债券、抵押、贷款、文书、租赁或许可。“IntellectualProperty”meansanyandall:(i)trademarksandservicemarks,includingallapplicationsandregistrationsandgoodwillrelatedtotheforegoing;(ii)copyrights,includingallapplicationsandregistrationsrelatedtotheforegoing;(iii)tradesecretsandconfidentialknow-how;(iv)patentsandpatentapplications;and(v)internetdomainnameregistrations.“知识产权”，是指任何或者所有：（1）商标和服务商标，包括与商标和服务商标有关的所有申请、登记和商誉；（2）版权，包括与版权有关的所有申请和登记；（3）商业秘密和保密的非专利技术；（4）专利和专利申请；以及（5）网络域名注册。“Lien”meansanylien,encumbrance,pledge,mortgage,deedoftrust,securityinterest,claim,lease,charge,option,rightoffirstrefusal,easement,servitude,ortransferrestriction.“留置权”，是指任何留置、妨害、质押、抵押、信托契约、证券利益、索赔、租赁、收费、期权、优先购买权、地役权、地上权或者转让限制。“Order”meansanyorder,injunction,judgment,decree,ruling,writ,assessmentorarbitrationawardofagovernmentalbody.“命令”，是指政府部门的任何命令、禁令、判决、裁定、裁决、令状、评定或者仲裁结果。“OrganizationalDocument”means,foranyPerson:(a)thearticlesorcertificateofformationorincorporation(asapplicable)andthebylawsorsimilargoverningdocumentofsuchPerson;(b)anylimitedliabilitycompanyagreement,partnershipagreement,operatingagreement,shareholderagreement,votingagreement,votingtrustagreementorsimilardocumentoforregardingsuchPerson;(c)anyothercharterorsimilardocumentadoptedorfiledinconnectionwiththeformation,organizationorgovernanceofsuchPerson;or(d)anyamendmenttoanyoftheforegoing.“组织文件”，就任何人士而言，是指（a）此人士设立或成立的章程或者证书（依不同情况而定）、规章制度或者相似的治理文件；（b）此人士的、或者与此人士有关的任何有限责任公司协议、合伙协议、运营协议、股东间协议、投票协议、投票信托协议或者相似文件；（c）为此人士的形成、组织和治理而采取或提出的任何其他特许执照或者相似文件；或者（d）对上述任意文件的修订。“Person”meansanyindividual,corporation,partnership,limitedliabilitycompany,firm,jointventure,association,jo
