AGREEMENTOFNON-DISCLOSURE保密协议_____RECIPIENTINITIALSPage1of1ThisAgreementofNon-Disclosure(the“Agreement”),datedasof_________________ismadebyandbetweenBoston-Power,Inc.,aDelawarecorporationwithitsprincipalplaceofbusinessat2200WestParkDrive,Suite320,Westborough,MA01581-3961(the“Company”),andtheotherpartynamedonthelastpagehereof(the“Recipient”).本保密协议（“本协议”）系由根据美国特拉华州法律组建其主要营业地位于2200WestParkDrive,Suite320,Westborough,MA01581-3961的Boston-Power,Inc.（“公司”）与本协议最后一页所指名的另一方（“接收方”）于______年__月__日签署。TheCompanyandRecipientintendtoengageindiscussionsandnegotiationsconcerningthepossibleestablishmentofabusinessrelationshipbetweentheCompanyandtheRecipient(the“BusinessOpportunity”),and,inconnectiontherewith,agreeasfollows:公司和接收方计划就公司和接收方之间所可能建立的商业关系进行讨论和谈判（“商业机会”），并为此达成如下协议：1．1.NondisclosureObligations保密义务(a)ConfidentialInformation.ThisAgreementshallapplytoallinformationdisclosedbytheCompanyand/oritsaffiliatestoRecipientinanymanner,whetherorally,visuallyorintangibleform(including,withoutlimitation,documents,devicesandcomputerreadablemedia)andallcopiesthereof(“ConfidentialInformation”);provided,however,thatforpurposesofthisAgreementConfidentialInformationshallbedeemednottoincludeinformationwhichatthetimeofdisclosureorthereafter(a)isgenerallyavailabletothepublic(otherthanasaresultofadisclosurebyRecipientoritsRepresentatives(asdefinedbelow),(b)isavailabletoRecipientonanon-confidentialbasisfromasourceotherthantheCompany,providedsuchsourceisnotandwasnotboundbyaconfidentialityagreementwiththeCompanyorotherwiseprohibitedfromtransmittingsuchinformationtotheRecipientbyacontractual,legalorfiduciaryobligation,(c)hasbeenindependentlydevelopedbyRecipientindependentlyofandwithoutreferencetotheConfidentialInformation,asevidencedbyitswrittenrecords,or(d)whichatthetimeofdisclosure,andwithrespecttosuchdisclosureonly,isrequiredtobedisclosedpursuanttoarequirementoflaw.IfaparticularportionoraspectoftheConfidentialInformationbecomessubjecttoanyoftheforegoingexceptions,allotherportionsoraspectsofsuchinformationshallremainsubjecttoalloftheprovisionsofthisAgreement.(a)保密信息本协议应适用于由公司和/或其关联方通过口头、书面、视觉或有形方式（包括但不限于技术及商务文件、器械和计算机可读媒体）向接收方披露的所有信息及其复制件。但为了本协议的目的，保密信息不应包括在披露或其后（1）已向公众开放的信息（但不是接收方或其代表披露的结果）；（2）由公司之外的其它来源在非保密的基础上已向接收方开放的信息，但此种来源过去和现在都不曾受与公司所订保密协议的束缚或为某种契约、法律或信托义务所禁止向接收方传播；（3）由接收方在独立AGREEMENTOFNON-DISCLOSURE保密协议_____RECIPIENTINITIALSPage2of2的、未经参考保密信息的条件下独立开发的可由书面记录证明的信息；（4）在披露其时并且仅与此等披露有关的根据法律的要求所披露的信息。如保密信息的任一部分或方面从属于上述任何一种例外，则此等信息的所有其它部分或方面仍应从属于本协议所有条款。(b)Nondisclosure.Recipientagrees,inadditiontoalltheotherprotectionsprovidedinthisAgreement,tolimitdisclosureofConfidentialInformationtoitsRepresentativeswhoseevaluationorknowledgeofsuchConfidentialInformationisreasonablyrequiredinconnectionwiththeBusinessOpportunity.RecipientagreestoholdConfidentialInformationinstrictconfidence,touseitonlyforthepurposeoftheBusinessOpportunity,andnottodisclosesuchConfidentialInformationtoanythirdparty,exceptasprovidedherein,andtouseitsbesteffortstoprotectsuchConfidentialInformation.RecipientmaydiscloseConfidentialInformationtoitsrespectiveemployees,consultants,accountants,financialadvisors,outsidecounselandotherrepresentativeswithabonafideneedtoknow(collectively,“Representatives”),providedthatpriortodisclosingConfidentialInformation,RecipientshallinformsuchRepresentativesoftherequirementsofthisAgreementandobtainfromanysuchRepresentativehis,heroritsagreement,enforceablebytheCompany,tobeboundhereby.RecipientshallbeliabletotheCompanyforanybreachoftheprovisionsofthisAgreementarisingoutoforresultingfromanyactionorinactionbyanysuchRepresentative.(b)保密除本协议所规定的所有其它保护之外，接收方同意将保密信息的披露限制在由于商业机会的关系有必要了解此种保密信息或对其作出评估的代表人员。接收方同意对此等保密信息严格保密，将其使用仅限于商业机会的目的，除本协议另有规定外，不向任何第三方批露，并尽最大努力对其加以保护。接收方可向其有关雇员、咨询人员、会计、财务顾问、外部法律顾问和其他具有善意的了解需要的代表（合起来称为“代表”）披露保密信息，但在披露前，接收方应向此等代表通报本协议的要求，并从其获取接受本协议约束的、可由公司执行的同意。接收方应对由此等代表的作为或不作为所产生的对本协议条款的违反向公司负责。(c)RequiredDisclosures.IfRecipientoranyofitsRepresentativesisrequiredbylawtodiscloseanyoftheConfidentialInformation,RecipientshallpromptlynotifytheCompanyofsuchrequirementpriortomakingthedisclosure.TheCompanyandRecipientwillthenconferandusereasonable,goodfaitheffortstoagreeonaformandtermsofdisclosurereasonablyacceptabletoboththeCompanyandRecipientinlightofthecircumstancesunderwhichthedisclosureisrequiredtobemade,providedthatiffollowingsuchnoticeandconferringtheCompanyandRecipientareunabletoagreeonamutuallyacceptableformandtermsofdisclosure,thenRecipient(oranyofitsRepresentatives)shallhavenoliabilitytotheCompanytotheextentsuchdisclosureisrequiredbylawprovidedRecipient(oranyofitsRepresentatives)makesreasonableeffortstoobtainanappropriateprotectiveorderorotherreliableassurancethatconfidentialtreatmentwillbeaccordedtotheConfidentialInformationbythetribunalrequiringdisclosure.AGREEMENTOFNON-DISCLOSURE保密协议_____RECIPIENTINITIALSPage3of3(c)必要的披露如接收方或其代表被依法要求披露保密信息，接收方应在披露前向公司通报此等要求。公司和接收方即时应相互交换意见，并尽合理而善意的努力根据要求披露的情况在披露的形式和条件上取得为双方均能合理接受的一致意见，但如果在此等通报和意见交换之后，公司和接收方未能就披露的形式和条件上取的双方均可接受的一致意见，接收方（或其代表）在依法披露的范围内则不应对公司承担责任，其前提是接收方（或其代表）尽其合理努力取得一适当的保护令或其它可靠的保证，以使
