客戶協議CLIENT’SAGREEMENT香港皇后大道中183號中遠大廈45樓45thFloor,COSCOTower,183Queen’sRoadCentral,HongKong電話Tel:(852)2235-7888傳真Fax:(852)2235-7878網址Website:THISAGREEMENTismadethedayofbetweenI.CindaInternationalSecuritiesLimited,alicensedcorporation(CENo.AEL202)licensedbytheSecuritiesandFuturesCommissionunderthe“SecuritiesandFuturesOrdinance”(Cap.57)carryingouttheregulatedactivityofdealinginsecuritiesandanExchangeParticipantoftheStockExchangeofHongKongLimited(the“Exchange”),whoseregisteredofficeissituatedat45thFloor,COSCOTower,83Queen’sRoadCentral,HongKong(hereinafterreferredtoas“CISL”);andII.of(the“Client”).TERMSANDCONDITIONS1.TheAccount.I/WeconfirmthattheinformationprovidedintheAccountOpeningFormandtheClient’sInformationStatementistrue,complete,up-to-dateandaccurate..2I/Wewillinformyouimmediatelyofanychangestotheinformationsuppliedinopeningmy/ouraccount.Youareentitledtorelyontheinformationforallpurposesuntilyouhavereceivednoticeinwritingfromme/usofanychanges..3Youareauthorizedatanytime:(i)toobtainreferencesandaccountinformationfrommy/ourbankersandforthispurposeI/weherebywaivemy/ourbankers’dutyofconfidentiality;and(ii)tocontactanyotherpersonstoverifytheinformationprovidedbyme/us.Further,I/weherebyauthorizeyouatanytimetoconductcreditenquiriesonme/usforthepurposeofascertainingmy/ourfinancialsituation..4YouwillkeepinformationrelatingtotheAccountconfidential,butasrequiredbylaw,theconditionsofyourlicensedstatusoryourmembershipofanystockexchange,mayprovideinformationtoanyregulatoryauthority,stockexchangeorsimilarbodiesandwillnotbeliableinanywaytome/usforsodoing.22.LawsandRules2.Alltransactionsinrelationtosecuritieswhichyoueffectfororonmy/ourbehalfintheHongKongSpecialAdministrativeRegionofthePeople’sRepublicofChina(the“HKSAR”)orelsewhereshallbeeffectedinaccordancewithalllaws,rulesandregulatorydirectionsapplyingtoyou.Thisincludes,butnotlimitedto:-(i)inrelationtotransactionsundertakenbyyouintheHKSAR,theconstitution,by-laws,rules,regulations,customs,usages,rulingsandinterpretationsoftheStockExchangeofHongKongLimited(“theExchange”)andoftheHongKongExchangesandClearingLimitedandthelawsoftheHKSARasamendedfromtimetotime;and(ii)inrelationtotransactionsundertakenbyyououtsidetheHKSAR,theconstitution,by-laws,rules,regulations,customs,usages,rulingsandinterpretationsoftherelevantexchange,clearinghouseorothermarketinanycountrywherethetransactionsareexecutedandallapplicablelaws,rulesandregulationsintherelevantjurisdiction.2.2Allactionsundertakenbyyouinaccordancewithallapplicablelaws,rulesanddirectionsshallbebindingonme/usandyou.2.3I/Weagreethatallthosetransactionsinsecuritiesundertakenbyyoufororonmy/ourbehalfoutsidetheHKSARmaybeeffectedbyyoudirectlyonanyexchangeswhereyouareauthorizedtotransactstockbrokingbusinessor,atyouroption,onanyexchangesthroughanyotherbrokerwhichyoumay,atyourdiscretion,decidetoemployorengage.Providedyouhavechosensuchotherbrokeringoodfaith,youshallnotbeliabletome/usforanyactoromissionofsuchotherbroker.I/Weundertaketofamiliarisemyself/ourselveswiththeforeignmarketsinquestionbeforeI/wetradeinthosemarkets.2.4I/WefurtherundertakethatI/weshallnotengageinanytransactionswhicharedesignedto,orlikelyto,resultinthecreationofafalsemarketinsecuritiesandthatI/wewillnotengageinanyinsiderdealingoranyotherprohibitedorunlawfulactivities.33.OrdersandInstructions3.I/Weacknowledgethatbyreasonofphysicalrestraintsonstockexchanges(includingtheExchange),marketvolatilityinthepriceofsecuritiesandforotherreasonsbeyondyourowncontrol,theremayonoccasionsbeadelayindealingand/oryoumaynotbeabletotradeinsecuritiesatthepricesquotedatanyspecifictimeor“atbest”or“atmarket”value.I/Weconfirmthatyoushallnotbeliableforanylossarisingbyreasonofyourfailing,orbeingunabletocomplywithanytermsofanyorderorinstructions.Whereyouareunabletoperformanyorderorinstructionsinfull,unlessspecificallyinstructedotherwiseontheparticularoccasionconcerned,youareentitledtoeffectpartialperformanceoftheorderorinstructionswithoutpriorreferenceto,orconfirmationfromme/us.3.2I/Weconfirmthatyoumayacceptinstructionsgiventoyouinwritingorverbally,includingbytelephone,facsimileorotherelectronicmeans(includingunauthenticatedtelex).Youwillnotbeunderanydutytoverifythecapacityoftheperson(s)givingthoseinstructions.I/Weconfirmthatyoureservetherighttodeclinetoacceptinstructionsfromtimetotimeasyouseefit.I/WefullyunderstandthattherearerisksinoperatingtheAccountoninstructionsgivenverbally(includinggivenbytelephone),byfacsimileorotherelectronicmeans.I/Weacceptallrisksofsodoingandirrevocablyreleaseyoufromallliabilitiesarisingoutoforinconnectionwithsuchinstructions,whetherornotyoutake,ordeclinetotake,actioninaccordancewiththoseinstructions.3.3UnlessI/wegivespecificinstructionstothecontrary,allordersandinstructionsaregoodforthedayonlyandwilllapseattheendoftheofficialtradingdayoftheexchangeinrespectofwhichtheyaregiven.3.4Youwillrecordtelephoneconversationswithme/usandI/wewillacceptthecontentsofanysuchrecordingasfinalandconclusiveevidenceoftheconversationconcernedanditscontent.4.Susp
