梅特勒-托利多（常州）称重设备系统有限公司服务标准条款与条件METTLERTOLEDOAsusedherein,theCompanyisunderstoodtomeanMettler-Toledo（Changzhou)Scale&SystemCo.Ltd.本条款中所指“公司”指梅特勒—托利多（常州）称重设备系统有限公司。ThefollowingtermsandconditionsshallapplytoallserviceperformedforBuyer,includingCallServiceandContractService.CallServiceisallfieldservicenotperformedunderanexistingcontract.TheBuyerunderstandsthatthetermsandconditionssetforthbelowshallbecontrolling,andanyadditionaland/orinconsistenttermsandconditionssetforthinanyacknowledgment,purchaseorder,oracceptancedocumentsrequestedfromand/orprovidedbytheBuyershallbeofnoforceoreffect.下列条款和条件适用于为买方提供的所有服务，包括单次收费服务和服务合同。单次收费服务是指服务合同以外的所有现场服务。任何其他条款或声明、订单及买方要求提供的或自己提供的其他材料中与下述条款相矛盾的条件或条款均不发生法律效力。1.RATES/PRICES价格RatestobechargedforservicestobeperformedarethosesetforthintheCompany'spublishedandcurrentlyissuedpricelists.Rates/pricesforservicesnotcoveredundercontractshallbethoseineffectattimeofprovidingservices.PricesforbillablepartsshallbethoseineffectatthetimeofinstallationinBuyer’sequipment.“公司”提供的服务价格标明在“公司”公布或发行的价格单上。“公司”提供的服务合同以外的现场服务的价格应以提供服务时的“公司”的收费标准为准。“公司”的价格不包括任何有关的检定费、许可费等。2.PAYMENTTERMS付款条件Exceptasotherwisespecifiedherein,termsarenetcash.Inaddition,theCompanyshallbeundernoresponsibilitytosendaservicerepresentativetotheBuyer'sfacilityshouldthebalanceowedtotheCompanybemorethanthirty(30)dayspastdue.IntheeventthatCompanyinitiatesanylegalproceedingstocollectanyamountowedbyBuyer,theBuyeragreestopayallofCompany’sreasonablelegalfeesandexpenses.除非合同另有规定，否则付款条件一律为现款支付。另外，如果买方超过30天未能付清所欠“公司”的款项，“公司”无义务向买方工厂派出维修工程师。如“公司”采取法律措施收取款项，买方同意承担因此而发生的律师费及其他费用。3.WARRANTIES质量保证A.SERVIC服务TheCompanywarrantsthattheserviceshallbeperformedinaworkmanlikemannerinconformitywithstandardindustrypractice.Shouldanynonconformitybedetectedwithin30daysaftertheworkiscompletedandpromptnotificationthereofismadebytheBuyerinwritingtotheCompany,theCompanywillsupplythenecessaryservice,directionorconsultationtocorrectthenonconformity.Therearenootherwarranties,expressorimplied.“公司”承诺将以符合行业规范的专业水平为买方提供服务。如果在服务完成后30天内买方发现服务与承诺的质量不符，并且立即书面通知“公司”的话，“公司”应及时向买方提供必要的合格的服务、咨询或指导。（除此之外没有其他明示或暗示的承诺）。B.PARTS零部件ThewarrantyperiodfromtheCompanyis12monthsfromtheinstallationofthebrandnewequipment.Thewarrantyperiodforthoserepairedpartsis3months.TheabovewarrantyperiodstartsfromtheissuingoftherepairingreportbytheCompany.ShouldanydefectsbefoundbytheBuyerduringtheabovewarrantyperiod,theCompanyatitsoptionwillrefundthepurchasepriceormodify,repairorsupplyareplacementpart,includinglaborandtravel,freeofchargetotheBuyer.TheCompanyshallacceptnoresponsibilityifsuchparthasbeenimproperlyoperatedormaintainedoriftheBuyerhaspermittedanyunauthorizedmodifications,adjustmentsand/orrepairstothepart.“公司”自其提供的全新零部件安装之日起，提供一年的质量保证期；如提供给客户的零部件为返修件，则“公司”提供三个月的质量保证期。质保期的计算起始日以“公司”出具的维修服务报告为准。如在此保证期内买方发现质量问题，“公司”有权选择退还货款或修理、更换零配件，并自行承担由此发生的差旅费或人工费。如果该零配件损坏或发生故障是因操作不当或保养不当或买方自行对其进行了修改、调整或修理，则“公司”对这些零部件不承担任何责任。C.GENERAL原则THECOMPANYMAKESNOWARRANTYOFMERCHANTABILITYORFITNESSFORPARTICULARPURPOSEORANYOTHEREXPRESSORIMPLIEDWARRANTY.TheforegoingserviceandpartswarrantiesshallbetheCompany'ssoleandexclusiveobligationsandtheBuyer'ssoleandexclusiveremediesforanyaction.Companydoesn’twarrantthecalibrationofanyscale.“公司”对所售设备的适销性和是否满足特殊用途不作任何明确的或暗示的保证。“公司”对服务和零配件所作的上述质量保证构成“公司”所作的唯一的承诺，及对买方的唯一补偿。“公司”对其产品或设备的校准不作任何保证。4.ServiceConfirmation服务确认TheBuyershallconfirmtheservicebysigningonservicereportwithin24hoursaftertheCompanyofferstheservice.买方应在“公司”提供服务后24小时内签字确认。5.GATEPASSES出入许可证TheCompany'sfieldservicerepresentativesareneitherrequirednorauthorizedtosigngatepassesorsimilardocumentsofBuyershowsoevercharacterizedthatincludeconditionswhichinanywayimposeliabilitiesinconsistentwiththelimitationofliabilitystatedhereinorotherwisemodifytheundertakingsoftheCompanyunderthesetermsandconditions.“公司”既未要求亦未授权其现场维修工程师在买方出入证或买方其他的任何材料上签字。无论何种情况下，“公司”都不会因其现场维修工程师的签字而承担任何与本合同相矛盾或额外增加的责任和义务。6.LIENS留置权TheCompanydoesherebyrepresentandwarrantthatasofthisdatehereofnoliensofthirdpartiesareinexistencerelativetotheparts/servicestobeprovidedhereunder.Additionally,theCompanyrepresentsthatitwilluseitsbesteffortstodischargeandsatisfyanysuchliensshouldtheyarisesubsequenttothedatehereof.NothinghereinshallbeconstruedsoastolimittherightoftheCompanytofileanyliens,asappropriate,againsttheBuyer.“公司”保证在本合同签订之日不存在任何与其所售设备或提供的服务相关的第三方权益。另外，“公司”承诺在合同签订后如因“公司”过错发生任何留置，“公司”将尽最大努力来去除该留置权。但上述承诺不应被理解为“公司”放弃留置买方财产的权利。7.INDEMNITY补偿TheCompanyagreestoindemnifytheBuyerandholditharmlessfromandagainstanydirectlosssufferedandanyliabilitytothirdpartieswheneversuchlossorliabilityisdirectlyduetobodilyinjury(includingdeath)toanypersonordirectdamagetoanypropertyoccurringinthecourseofandcausedbythenegligentactoromissionoftheCompanyintheperformanceofanyworkonthepremisesofBuyer.ThisindemnityshallincludelegalfeesandsettlementsofclaimorsuitdeemedreasonableunderthecircumstancesbyCompany.“公司”承诺不会因自己在买方工厂工作时的失误或疏忽而造成对第三人的人身伤害（包括死亡）或造成财产损失而使买方遭受任何直接损失。“公司”将对买方因此而遭受的直接损失予以补偿。该补偿应包括合理的律师费、诉讼费或解决索赔事项的必要费用。8.REGULATORYLAWSAND/ORSTANDARDS适用法律、法规Theperformanceofthepartiesheretoissubjec
