FIDIC金皮书中英文(设计施工和营运合同条件)第2部分(2012-11-1818:13:02)转载▼标签:fidic金皮书杂谈分类:工程设计施工采购监理招标1.12Contractor’sUseofEmployer’sDocuments承包商使用业主文件AsbetweentheParties,theEmployershallretainthecopyrightandotherintellectualpropertyrightsintheEmployer’srequirementsadotherdocumentsmadeby(oronbehalfof)theEmployer.TheContractormay,atiscost,copy,useandobtaincommunicationofthesedocumentsforthepurposesoftheContract.在合同当事人之间,业主应对业主要求和其它由业主(或业主授权的人员)编制的设计文件保留版权和其它知识产权。承包商可为合同之目的,自费复制、使用、及传输上述文件。除非因履行合同而必需,否则未经业主同意,承包商不得为第三方复制、使用、或传输上述文件。1.13ConfidentialDetails保密事项TheContractorshalldiscloseallsuchconfidentialandotherinformationastheEmployer’sRepresentativemayreasonablyrequireinordertoverifytheContractor’scompliancewiththeContract.TheContractorshalltreatthedetailsoftheContractasprivateandconfidential,excepttotheextentnecessarytocarryouthisobligationsundertheContract.TheContractorshallnotpublish,permittobepublished,ordiscloseanyparticularsoftheContractinanytradeortechnicalpaperorelsewherewithoutthepreviousconsentinwritingoftheEmployer.Thesaidconsentshallnotbeunreasonablywithheld.TheEmployershalltreatallinformationdesignatedbytheContractorasconfidential,asconfidential,andshallnotdiscloseittothirdparties,exceptasmaybenecessarywhenexercisinghisrightsunderSub-Clause15.2[TerminationforContractor’sDefault].对业主代表为了证实承包商遵守合同的情况,合理要求的所有秘密和其他信息,承包商应当透漏。除了根据合同履行其义务的需要外,承包商应将合同细节视为私密的。在没有业主的事先同意下,承包商不应在任何商业或技术文章中发表、允许发表或透漏合同的任何细节。该同意不应被无故扣压。除了根据FIDIC金皮书15.2(因承包商违约的终止)业主履行其必要的权利外,业主应将承包商提交为本工程的所有信息视为秘密的,不应透漏给第三人。1.14CompliancewithLaws遵守法律TheContractorshall,inperformingtheContract,complywithapplicableLaws.UnlessotherwisestatedintheEmployer’sRequirements:履行合同的过程中,承包商应遵守合同的适用法律。除非“业主要求”中另有规定,否则:(a)TheEmployershallhaveobtained(orshallobtain)theplanning,zoning,buildingpermit,orsimilarpermissionforthePermanentWorksandfortheOperationService,andanyotherpermissionsdescribedintheEmployer’sRequirementsashavingbeen(orbeing)obtainedbytheEmployer;andtheEmployershallindemnifyandholdtheContractorharmlessagainstandfromtheconsequencesofanyfailuretodoso;业主应事先取得(或应该取得)永久工程或运营服务的规划许可、分区规划许可、建筑许可等类似的许可,及业主要求中规定的业主已取得或正在办理的许可证。业主应保护承包商免受因未能完成上述工作带来的伤害;(b)TheContractorshallgiveallnotices,payalltaxes,dutiesandfees,andobtainallfurtherpermits,licencesandapprovals,asrequiredbytheLaws,inrelationtothedesign,executionandcompletionoftheWorksandOperationServiceandtheremedyingofanydefects;andtheContractorshallindemnifyandholdtheEmployerharmlessagainstandfromtheconsequencesofanyfailuretodoso;and承包商应发出所有通知,缴纳各项税费,按照法律关于工程设计、实施和竣工、运营服务以及修补任何缺陷等方面的要求,办理并领取所需要的全部许可、执照或批准;承包商应保障并保持使业主免受因未能完成上述工作带来的伤害;(c)TheContractorshallatalltimesandinallrespectscomplywith,giveallnoticesunder,andpayallfeesrequiredbyanylicenceobtainedbytheEmployerinrespectoftheSiteortheWorksorOperationService,whetherrelatingtotheWorksorOperationServiceonorofftheSite.SpecialProvisionsAttheendofSub-clause1.14,insertthefollowing:无论是与工程或运营服务还是现场外那个相关,承包商都应始终遵守业主基于现场、工程或运营服务所获得许可,并支付该许可所要求的所有费。(d)However,theContractorshallsubmitdetailsofGoodstotheEmployer,whoshallthenpromptlyobtainallimportpermitsorlicencesrequiredfortheGoods.TheContractorshallsubmittheproposedsubmissionscheduleforapprovalbytheEmployerafterthecompletionofthedetaileddesign.但承包商应将货物具体要求提交业主,业主应立即取得该货物的进口许可。(e)TheEmployershallalsoobtainorgrantallconsentsincludingpermitstowork,rightsofwayandapprovalsrequiredfortheWorks.业主也应取得或授予所有许可包括工作许可、通行权和工程批准。1.15JointandSeveralLiability连带责任IftheContractorconstitutes(underapplicablelaws)ajointventure,consortiumorotherunincoporatedgroupingoftwoormorepersons:如果承包商是由两个或两个以上当事人组成的联营体、联合体或其它联合团体时:(a)ThesepersonsshallbedeemedtobejointlyandseverallyliabletotheEmployerfortheperformanceoftheContract;应认为上述当事人应对合同的履行向业主负连带责任;(b)ThesepersonsshallnotifytheEmployeroftheirleaderwhoshallhaveauthoritytobidtheContractorandeachofthesepersons;and上述当事人应向业主通知他们的牵头负责人,此牵头负责人有权代表承包商及其中每位成员;且(c)TheContractorshallnotalterhiscompositionorlegalstatuswithoutthepriorconsentoftheEmployer.(c)没有业主的事先同意,承包商不得改变其组成或法律地位。2TheEmployer业主2.1RightofAccesstotheSite现场进入权TheEmployershallgivetheContractorrightofaccessto,andpossessionof,allorpartoftheSitewithinthetime(ortimes)statedintheContractData.TherightandpossessionmaynotbeexclusivetotheContractor.If,undertheContract,theEmployerisrequiredtogivetheContractorpossessionofanyfoundation,structure,plantormeansofaccess,theEmployershalldosointhetimeandmannerstatedintheEmployer’sRequirements.However,theEmployermaywithholdanysuchrightorpossessionuntilthePerformanceSecurityhasbeenreceived.业主应在合同信息中注明的时间(或各时间段)内给予承包商进入和占用现场所有部分的权利。此类进入和占用权不为承包商所独享。如果合同要求业主赋予承包商对基础、结构、生产设备或通行手段的占用权,则业主应在业主要求中注明的时间内根据业主要求中规定的方式履行该职责。但在收到履约担保之前,业主可不给予任何此类权利或占用权。IfnosuchtimeisstatedintheContractData,theEmployershallgivetheContractorrightofaccessto,andpossessionof,theSitewithinsuchtimesasmayberequiredtoenabletheContractortoproceedinaccordancewiththeprogrammesubmittedunderSub-Clause8.3[Programme].如果合同信息中未注明时间,则业主应在一合理的时间内给予承包商进入现场和占用现场的权利,此时间应能使承包商可以根据FIDIC金皮书8.3(进度计划)提交的进度计划顺利开始施工。IftheContractorsuffersdelayand/orincurscostsasaresultofafailurebytheEmp
