Page1of5CONTRACT合同ContractNo:合同号GS-2007-01-02-01Date:日期2007-01-02TheBuyer:PRECISATECHNOTRADE买方Address:82LAKEDRIVEROAD,SECTOR-7，UTTARA,DHAKA-1230,地址BANGLADESHTel:[phone]Fax:[phone]TheSeller:JiangsuGusuPurifyingTechnologyCo.,Ltd.卖方:江苏姑苏净化科技有限公司Address:262JinxianRoad,Jinjiaba,Wujiang,Suzhou,Jiangsu,P.R.China中国江苏苏州吴江金家坝金贤路262号Tel电话:[phone]Fax传真:[phone]ThisCONTRACTismadebyandbetweentheBuyerandSeller,wherebytheBuyeragreestobuyandSelleragreestoselltheunder-mentionedcommodityaccordingtothetermsandconditionsstipulatedbelow:兹经双方同意，由买方购进，卖方出售下列货物，并按以下条款签订本合同1.COMMODITY,SPECIFICATION,QUANTITYANDUNITPRICE:货名、规格、数量及单价Onecompletesetofcleanroomsystem一整套净化空调系统DetailsasperAppendixI详见附件一TOTALVALUE:1,808,712USD总价︰1,808,712美元2.COUNTRYOFORIGINANDMANUFACTURERS:原产地和制造商P.R.China/JiangsuGusuPurifyingTechnologyCo.,Ltd.中国/江苏姑苏净化科技有限公司3.PACKING:包装Page2of5Sandwichpanelandcleanroomdoorsarepackedinpallets,bundledbysteelbelt.ALandsteelbarsarebundledbysteelbelt,AHUarepackagedbysteelpallets,bundledbysteelbelt.GIsteelsheetsarepackedinpallets,bundledbysteelbelt,Insulationboardarebundledbyplasticbelt.Othermetalaccessoriesarepackedintosteelbox,whichissuitableforlongdistancetransportation.彩钢板及净化门采用托架包装、钢带捆扎，铝型材、角钢采用钢带捆扎，AHU采用钢托架、钢带捆扎，镀锌板采用钢托架、钢带捆扎包装，保温板采用塑料打包带打包捆扎，其它五金配件采用铁箱包装，适应远距离运输。4.SHIPPINGMARK:运输标记Onthesurfaceofeachpackage,thepackagenumbermeasurementGrossWeight,NetWeightandthewordingsHANDLEWITHCARE,RIGHTSIDEUP,KEEPDRY,thehoistingpositionandthefollowingshippingmarkshallbestenciledwithfadelesspaint.在每一包装表面，用不褪色涂料，标明包装编号、尺码、毛重、净重及小心轻放、请勿倒置、防潮、重心位置和下列唛头。Tobeinformedbeforedelivery装运前通知5.TIMEOFSHIPMENT:发货期Deliveredbefore01-07-20072007年07月01日前发运6.PORTOFSHIPMENT:发运港Shanghaiseaport上海港7.DESTINATION:目的港Chittagong吉大港8.INSURANCE:保险InsuranceoftransporttoShanghaiseaportwillbebornebytheSeller.到上海的运输保险由卖方投保.9.PAYMENT:付款条件100%irrevocableLCatsight.100%不可取消的即期信用证。10.DOCUMENTS:单据Afterdelivery,theSellershallpresentthefollowingdocumentstothepayingbankfornegotiation发货后，卖方应以下列单据a)FullsetoriginalcleanBillLading,blankTitle,blankendorsedandnotifyingtheBuyer.洁净无疵，空白抬头、空白背书、通知在目的口岸买方的海运提单正本一套。b)FivecopiesofSignedPackinglist五份签字的装箱单c)CertificateforCorrectnessofSpecification,newnessandserviceabilityasperSeller’sdraftcopy按照卖方提供的格式制作的设备规格、全新和适用的证书d)CountryofOriginCertificate原产地证书e)Manufacturer’sguaranteecertificateasforqualityofthestoresPage3of5制造商的质保书11.INSPECTION:检验a)Themanufacturesshallbeforemakingdelivery,makeapreciseandcomprehensiveinspectionofthegoodsasregardsthequality,specifications,performanceandquantity/weightandissuecertificatescertifying（GUSUcertification）thatthegoodsareinconformitywiththestipulationsofthiscontract.Thecertificateshallformanintegralpartofthedocumentsforpaymentbutshallnotbeconsideredasfinalinrespectofquality,specifications,performanceandquantity/weight.ParticularsandresultsofthetestcarriedoutbythemanufacturersmustbeshowninastatementwhichhastobeattachedtotheQualityCertificate.制造厂商在交货前须将货物作明细和全面的关于品质、规格、性能及数量/重量的合格证（姑苏合格证）说明货物符合合同规定。该证书为提交议付单据的组成部份。制造厂商的试验细节及结果必须记载作为附件附于品质证明书内。b)Within30daysafterarrivalofthegoodsatthedestination,theBuyersshallperformapreliminaryinspectioninrespectofthequality,specificationsandquantity/weightofthegoods.AnyqualityIssueshastobeinformedtothesellerwithin7days.(37daysafterarrivalofthegoodsatthedestination)货到目的地口岸后30天内，买方可进行有关品质、规格、性能及数量的检验，如有质量问题应在验收后7日（货到目的地口岸后37天内）通知卖方。c)Ifanydiscrepanciesarefoundregardingspecificationsorthequantityorboth,exceptwheretheresponsibilitiesliewithinsurancecompanyorshippingcompanyand/orthequalityandspecificationsofthegoodsarenotinconformitywiththeguaranteeperiodstipulatedinClause13ofthisContract,includinglatentdefectortheuseifunsuitablematerials,theBuyersshallhaverighttoclaimagainsttheSellersasstipulatedinClause14ofthisContract.如该局发现规格、数量有不符除属保险公司或船公司责任外，及/或货物品质、规格与合同规定不符在本合同第12条规定的品质异议期限内证明货物有缺陷，包括潜在缺陷或用料不当，买方有权按本合同第13条的规定向卖方提出索赔。12.GUARANTEEOFQUALITY︰品质保证TheSellershallguaranteethatthecommodityismadeofthebestmaterials,withfirstclassworkmanship,brandnew,unusedandcompliesinallrespectswiththequality,specificationsandperformanceasstipulatedinthisContract.TheSellershallguaranteethatthegoods,whencorrectlymountedandproperlyoperatedandmaintained,shallgivesatisfactoryperformanceforaperiodof12monthsafterinstallationrespectivelyhandovercertificatehasbeensigned.卖方保证货物用上等的材料、一流的工艺制造而成，全新未经使用，完全符合合同中约定的品质、规格及运行能力。同时保证，货物在正确安装操作保养的前提下，给于验收合格后12个月的品质保证。13.CLAIMS索赔Incasethesellersareliableforthediscrepanciesandaclaimismadebythebuyerswithintheperiodofclaimorqualityguaranteeperiodasstipulatedinthiscontract.AfterTheChineseInspectionBodysupplythesurveyreport,thesellersshallsettletheclaimupontheagreementofthebuyersinthefollowingways:a)AccordingtotheQualityIssues,Buyercanreturnthematerialafterreceivedtheseller’swrittenagreement,incasethematerialhavebasicqualitydefection.Sellerwillreducesomeessentialcostsandreturnthebalancemoneytobuyerafterreceivingtherejectedmaterials.b)Devaluatethegoodsaccordingtothedegreeofinferiority,extentofdamageandamountoflossessufferedbythebuyers.Page4of5c)Repl
