DocumentmadeavailableonEvelexaBioResources(),courtesyofPeterB.Finn,ESQ,SeniorPartner,RubinandRudmanLLP(),foreducationalpurposesonly.E-1APPENDIXECONSULTINGAGREEMENTTHISCONSULTINGAGREEMENT(theAgreement)ismadeandenteredintothisdayof,200_(theEffectiveDate)byandbetweenXYZCorporation,a______________corporationdulyorganizedunderlawandhavinganusualplaceofbusinessat_______________________(hereinafterreferredtoasthe“Company)and___________________of(hereinafterreferredtoastheConsultant).WHEREAS,theCompanywishestoengagetheConsultanttoprovidetheservicesdescribedhereinandConsultantagreestoprovidetheservicesforthecompensationandotherwiseinaccordancewiththetermsandconditionscontainedinthisAgreement,NOWTHEREFORE,inconsiderationoftheforegoing,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,acceptedandagreedto,theCompanyandtheConsultant,intendingtobelegallybound,agreetothetermssetforthbelow.1.TERM.CommencingasoftheEffectiveDate,andcontinuingforaperiodof____(__)years(the“Term”),unlessearlierterminatedpursuanttoArticle4hereof,theConsultantagreesthathe/shewillserveasaconsultanttotheCompany.ThisAgreementmayberenewedorextendedforanyperiodasmaybeagreedbytheparties.2.DUTIESANDSERVICES.(a)Consultant'sdutiesandresponsibilitiesshallbe(collectively,the“Duties”or“Services”).(b)ConsultantagreesthatduringtheTermhe/shewilldevoteupto____(__)dayspermonthtohis/herDuties.TheCompanywillperiodicallyprovidetheConsultantwithascheduleoftherequestedhours,responsibilitiesanddeliverablesfortheapplicableperiodoftime.TheDutieswillbescheduledonanas-neededbasis.(c)TheConsultantrepresentsandwarrantstotheCompanythathe/sheisundernocontractualorotherrestrictionsorobligationswhichareinconsistentwiththeexecutionofthisAgreement,orwhichwillinterferewiththeperformanceofhis/herDuties.ConsultantrepresentsDocumentmadeavailableonEvelexaBioResources(),courtesyofPeterB.Finn,ESQ,SeniorPartner,RubinandRudmanLLP(),foreducationalpurposesonly.E-2andwarrantsthattheexecutionandperformanceofthisAgreementwillnotviolateanypoliciesorproceduresofanyotherpersonorentityforwhichhe/sheperformsServicesconcurrentlywiththoseperformedherein.(d)InperformingtheServices,Consultantshallcomply,tothebestofhis/herknowledge,withallbusinessconduct,regulatoryandhealthandsafetyguidelinesestablishedbytheCompanyforanygovernmentalauthoritywithrespecttotheCompany’sbusiness.3.CONSULTINGFEE.(a)Subjecttotheprovisionshereof,theCompanyshallpayConsultantaconsultingfeeof($______)DollarsforeachhourofServicesprovidedtotheCompany(theConsultingFee).TheConsultantshallsubmitmonthly,ontheCompany’sstandardreportingform,alistingofhis/herhours,theDutiesperformedandasummaryofhis/heractivities.TheConsultingFeeshallbepaidwithinfifteen(15)daysoftheCompany’sreceiptofthereportandinvoice.(b)Consultantshallbeentitledtopromptreimbursementforallpre-approvedexpensesincurredintheperformanceofhis/herDuties,uponsubmissionandapprovalofwrittenstatementsandreceiptsinaccordancewiththethenregularproceduresoftheCompany.(c)TheConsultantagreesthatallServiceswillberenderedbyhim/herasanindependentcontractorandthatthisAgreementdoesnotcreateanemployer-employeerelationshipbetweentheConsultantandtheCompany.TheConsultantshallhavenorighttoreceiveanyemployeebenefitsincluding,butnotlimitedto,healthandaccidentinsurance,lifeinsurance,sickleaveand/orvacation.Consultantagreestopayalltaxesincluding,self-employmenttaxesdueinrespectoftheConsultingFeeandtoindemnifytheCompanyintheeventtheCompanyisrequiredtopayanysuchtaxesonbehalfoftheConsultant.4.EARLYTERMINATIONOFTHETERM.(a)IftheConsultantvoluntarilyceasesperforminghis/herDuties,becomesphysicallyormentallyunabletoperformhis/herDuties,oristerminatedforcause,then,ineachinstance,theConsultingFeeshallceaseandterminateasofsuchdate.Anytermination“ForCause”shallbemadeingoodfaithbytheCompany’sBoardofDirectors.(b)ThisAgreementmaybeterminatedwithoutcausebyeitherpartyuponnotlessthanthirty(30)dayspriorwrittennoticebyeitherpartytotheother.(c)UponterminationunderSections4(a)or4(b),neitherpartyshallhaveanyfurtherobligationsunderthisAgreement,exceptfortheobligationswhichbytheirtermssurvivethisterminationasnotedinSection16hereof.Uponterminationand,inanycase,upontheDocumentmadeavailableonEvelexaBioResources(),courtesyofPeterB.Finn,ESQ,SeniorPartner,RubinandRudmanLLP(),foreducationalpurposesonly.E-3Company’srequest,theConsultantshallreturnimmediatelytotheCompanyallConfidentialInformation,ashereinafterdefined,andcopiesthereof.5.RESTRICTEDACTIVITIES.DuringtheTermandforaperiodofone(1)yearthereafter,Consultantwillnot,directlyorindirectly:(i)solicitorrequestanyemployeeoforconsultanttotheCompanytoleavetheemployoforceaseconsultingfortheCompany;(ii)solicitorrequestanyemployeeoforconsultanttotheCompanytojointheemployof,orbeginconsultingfor,anyindividualorentitythatresearches,develops,marketsorsellsproductsthatcompetewiththoseoftheCompany;(iii)solicitorrequestanyindividualorentitythatresearches,
