蒃合同号：NO.蕿日期：DATE:肇合同莆CONTRACT袂买方:青岛荣通信和国际贸易有限公司艿QINGDAOGLORYUNITTRADECO.,LTD聿卖方：圣欧国际有限公司蒄TheSellers:SENSOINTERNATIONALLIMITED莂Add:MBJ2424RM100710/F.,HoKingCommercialenterNo.2-16FaYuenStreetMongkokKinHongKong羀TelNo.:+袆袆双方同意按下列条款由卖方出售，买方购进下列货物：螁TheSellersagreetosellandtheBuyersagreetobuytheunder-mentionedgoodsonthetermsandconditionsstatedbelow:1.2.螀货物名称、规格、产地、数量、单价和金额：羇Commodity羅Specification蒅Quantity蒀UnitPrice罿Amount肃PCR仪（基因扩增仪）袄LabCyclerBasicPlus芁3sets螆蒆芃COUNTRYOFORIGINANDMANUFACTURERS:Germany/SENSOquest羁TOTALAMOUNT：CIPZHENGZHOU袇薄2.包装:货物应装在适宜长途运输并且能适应气候变化、防湿、防震、防锈的纸箱（木箱）中。由于包装不良所引起的任何损失,或由于采用不充分或不妥善的防护措施而造成的任何锈损,卖方都应承担一切损失和相关费用。包装箱内应放置一整套操作指南。螃Packing:Tobepackedincarton(s)orwoodencase,Suitableforlongdistancetransportationandtochangeofclimate,wellprotectedagainstmoistureandshocks.TheSellersshallbeliableforanydamageofthecommodityandexpensesincurredonaccountofimproperpackingandforanyrustattributabletoinadequateorimproperprotectivemeasurestakenbytheSellersinregardtothepacking.Onefullsetofoperationinstructionsconcernedshallbeenclosedinthecase(s).螂3.装箱标志:卖方应在每件商品包装上用不褪色油墨标明件号、毛重、净重、尺码和如下字样:“切勿受潮”、“小心轻放”、“此端向上”等:罿ShippingMark：TheSellersshallmarkoneachpackagewithfadelesspaintthepackagenumber,grossweight,netweight,measurementandthewordings:“KEEPAWAYFROMMOISTURE”,“HANDLEWITHCARE”,“THISSIDEUP”,etc.,羆ZHENGZHOU,CHINA膂4.装运期限：收到货款60天内发货。蒂TimeOfShipment：within60daysafterreceiptofT/T.螆5.装运口岸：郑州保税库。肅PortOfLoading:ZhengzhouBondedWarehouse薁6.目的口岸：郑州羈PortOfDestination：zhengzhou螈7保险：由卖方承担。膃Insurance:ToBeCoveredBytheSeller.肁8.付款条件：100%T/T虿TermsOfPayment:100%T/T衿9.单据Document:薅1)、发票两份,注明合同号及合同中其它细节.。蚄CommercialInvoicein2copiesindicatingcontractnumberandmakingoutindetailsasperrelativecontract.葿2)、两份由卖方出具的装箱单,注明毛、净重、尺码和所装货物的品名数量。蚆Packinglistin2copiesissuedbytheSellers.Duplicatewithindicationofbothgrossandnetweights,蚄Measurementsandquantityofeachitempacked膄3)、由制造厂(卖方)签发的质量、数量证明书各两份。腿CertificateofQualityandQuantity,eachinduplicate,issuedbythemanufacturers(sellers).蚈10.包装证明:熏蒸证明并在外包装上加施IPPC标识（如为木箱包装）或非木质包装证明。肆PackingCertificate:Beneficiary'scertificatecertifyingthatthewoodpackagingmaterialsinthisshipmenthavebeentreatedandofficiallymarkedIPPCorbeneficiary'scertificateofNO-WOODpackingmaterials.薃11.装运通知:卖方在货物装运后,应在两天内将合同编号、商品名称、数量、毛重、发票金额、和起运日期用传真通知买方。羀ShippingAdvice:TheSellersshallwithin2daysuponthecompletionoftheloadingofthegoods,advisebyfaxtotheBuyersofthecontractNo.,commodity,quantity,grossweight,invoicedvalue,anddateofdispatch.蝿12.品质保证GuaranteeofQuality:膅保证货物系全新，未曾用过，并完全符合本合同规定的质量、规格和性能。羂TheSellersshallguaranteethatthegoodsarebrandnew,unusedandcorrespondinallrespectswiththequality,specificationsandperformanceasstipulatedinthisContract.蚀13.检验和索赔InspectionAndClaims:薆在交货以前，制造厂应就订货的质量、规格、性能、数量/重量做出准确和全面的检验，并出具货物和本合同规定相符的证明书。薇Themanufacturesshallbeforemakingdelivery,makeapreciseandcomprehensiveinspectionofgoodsasregardstheirquality,specifications,performanceandquantity/weight,andissuecertificatescertifyingthatthegoodsareinconformitywiththestipulationsofthisContract.Thecertificatesshallformanintegralpartofthedocumentstobepresentedtothepayingbankfornegotiation/collectionofpaymentbutshallnotbeconsideredasfinalinrespectofquality,specifications,performanceandquantity/weight.ParticularsandresultsofthetestcarriedoutbythemanufacturersmustbeshowninastatementtobeattachedtothesaidQualityCertificate.蒂14.不可抗力:无论在商品制造或装运或转运期间,如有不可抗力事件发生,卖方将不对由此而导致的逾期或不能交货负责。但此时,卖方应立即将不可抗力事件通知买方,并于通知后十四天内以传真方式向买方提供一份由不可抗力事件发生地权威机构出具的不可抗力事件证明。卖方不能取得出口许可证不得作为不可抗力。在这种情况下,卖方仍有义务竭尽全力尽快交货。如不可抗力事件持续超过十周,买方有权撤销合同,买方在银行所支付的费用由卖方承担.莁ForceMajeure:TheSellersshallnotbeholdresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorthecourseofloadingortransit.TheSellersshalladviceBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,theSellersshouldsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.Seller’sinabilityinobtainingexportlicenseshallnotbeconsideredasForceMajeure.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan10weeks,theBuyersshallhaverighttocanceltheContract,thesellersbeartheexpenseswhichpaidtothebankbythebuyers.薈15.迟交和罚款:如延迟交货除人力不可抗事故者外，卖方应付给买方每一星期按迟交货总值的0.5%的迟交罚款，不足一星期的迟交日作为一星期计算，此项罚款总额不超过全部迟交货物总值的5%，在议付货款时由银行代为扣除，或由买方在付款时进行扣除。如果卖方交货延期超过合同规定的10个星期时,买方有权取消合同.尽管取消了合同,但卖方仍须立即向买方交付上述规定罚款.蚅LateDeliveryAndPenalty:Incaseofdelayeddelivery,exceptforforcemajeurecases,TheSellersshallpaytotheBuyersforeveryweekofdelayapenaltyamountingto0.5%ofthetotalvalueofthegoodswhosedeliveryhasbeendelayed.Anyfractionalpartofaweekistobeconsideredafullweek.Thetotalamountofpenaltyshallnot,however,exceed5%ofthetotalvalueofthegoodsinvolvedinlatedeliveryandistobedeductedfromtheamountduetotheSellersbythepayingbankatthetimeofnegotiation,orbytheBuyersdirectatthetimeofpayment.Thebuyerscancancelthecontractifthesellers’deli
