PLANTCONSTRUCTIONCONTRACTArticle1-Definitions'TheOwner'shallmean.'TheContractor'shallmean.'ThePlant'shallmeanalloranypartofthemachinery,equipmentandmaterialsformingthepermanentinstallationasspecifiedinAppendix.'TheSite'shallmeanallthelandwheretheplantistobeconstructedinaccordancewiththisContract.'TheWorks'shallmeantheworkstobedonebytheContractorunderthisContract.'TheContractPrice'shallmeanthetotalsumpayabletotheContractorbytheOwnerfortheWorks.Article2-Contractor''sResponsibilities1.TheContractorshalldesign,engineer,andconstructthePlantattheSite.2.TheContractorshallprovideallequipment,materials,tools,facilities,labourandservicesnecessaryforthesuccessfulconstructionofthePlantexceptthoseitemsandfacilitiestobesuppliedbytheOwnerunderArticle.3.TheContractorshallperformtheWorksinaccordancewiththeScheduleinAppendix.4.TheContractorshallprovidetheOwner''spersonnelwithtrainingofperationandmaintenanceofthePlantinaccordancewithAppendix.5.TheContractorshallsupplytheOwnerwiththesparepartsspecifiedinAppendix.6.TheContractorshallsupplytheOwnerwiththemaintenanceequipmentspecifiedinAppendix.Article3-Owner''sResponsibilities1.TheOwnershallmakeavailabletheSiteandgranttheContractorfreeanduninterruptedaccesstheretothroughoutthedurationofthisContract.2.TheOwnershallprovidethoseitemsandfacilitiesspecifiedinAppendixatthetimethereinestablished.3.TheOwnerwillobtainfromtherelevantAuthoritiesthoselicensesandpermitsnecessarytoconstructandoperatethePlantontheSiteincludingworkpermitfortheContractor''semployees.4.TheOwnershallpaythecontractorfortheWorksperformedtheContractPricesetoutinArticle.Article4-ContractPrice1.WithindaysaftertheeffectivedateofthisContract,theOwnershallpaytheContractorasfullandcompletecompensationforaccomplishingtheWorksandassumingallobligationsunderthisContracttheContractPriceintheamountof.2.TheContractPriceisnotsubjecttoescalation,andthecostofexecutingheWorksshallbetheriskoftheContractorwhoshallbedeemedtohavebtainedallinformationandtakenintoaccountallcircumstanceswhichmayaffectthecostinagreeingtheContractPrice.Article5-Drawings1.TheContractorshallsubmittotheOwnerforapprovalandreviewwithinhetimespecifiedinAppendix_____suchdrawingsasmayberequiredforConstructionofthePlantunderthisContract.WithinonemonthafterreceivingsuchdrawingstheOwnershallreviewandapproveordisapprovethedrawing.2.TheContractorshallberesponsibleforanydefects,errorsoromissionsintheabovedrawingsunlesssuchdefects,errorsoromissionsarecausedbyinaccurateinformationfurnishedinwritingtotheContractorbytheOwner.3.AlldrawingsandtechnicaldocumentationdeliveredbytheOwnerortheContractortotheotherpartyshallbetreatedasconfidentialbythereceivingpartyunlessagreedotherwise,andshallnotbeusedbythatpartyforpurposesotherthanthoseconnectedwiththisContractArticle6-Inspection1.TheContractorshallperformallinspectionandtestingofthePlantrequiredbylawandnormalengineeringpractice.2.TheOwnershallbeentitledatallreasonabletimesandatitsowncosttoinspect,examineandtestthematerialsandworkmanshipofthePlantunderconstruction.Suchinspection,examinationortestingifmadeshallnotreleasetheContractorfromanyobligationundertheContract.3.ThecompletedPlantshallbeinspected,examinedandtestedbytheOwner,andtheContractorshallgivetheOwnerreasonablenoticeinwritingofthedateonwhichthePlantwillbereadyfortesting.4.TheContractorshallprovidesuchassistance,labour,materials,electricity,fuels,apparatus,storesandinstrumentsasmayberequiredandasmaybereasonablydemandedtocarryoutsuchtestsbytheOwnerproperlyandefficiently.5.WhenthePlantshallhavepassedtheabovetests,theOwnershallfurnishtheContractorwithacertificateinwritingtothateffect.NoPlantshallbedelivereduntilanyfaultsdiscoveredduringinspectionaresatisfactorilyrectified.Article7-Inspection1.TheContractorshallprovideattheSitetothereasonablesatisfactionoftheOwnerallmaterials,labour,equipment,servicesandfacilitiesthatmaybenecessaryfortheproperexecutionandcompletionoftheWorks.2.Withoutprejudicetothegeneralityoftheabove,theContractorshallprovide,asmaybenecessary,thefollowing:a.Constructionequipment.b.MeansoftransportwithintheSiteincludingtemporaryroadways.c.Fencing,lightingandguardingandallothermaterialsandservicesnecessaryforthesafetyandsecurityofpersonsandproperty.d.Temporarystores,officesandotherbuildingsorstructuresformaterialsandpersonsengagedintheWords,includingpersonsemployedbytheOwner.e.Telephones,fire-fightingequipmentandfirst-aidequipmentuntilthewholeWorkshavebeentakenover.f.SanitaryandcanteenfacilitiesfortheuseofpersonsengagedintheWorks.3.TheContractorshallobserveallsafetyandotherregulationsimposedontheSitebylocallaws.4.TheContractorshallatalltimeskeeptheOwner''spropertyandtheadjoiningpremises,drivewaysandstreetsfreeofconstructionmaterialsandrubbishcausedbytheWorks,andatthecompletionoftheWorksshallremoveallremainingmaterialsfromandaboutthepremisesandshallleavetheSiteandPlantsafe,cleanandreadyforuse.Article8-Inspection1.TheContractorwillsupplyathisowncostfood,transprotandallnecessaryfacilitiesforallhisownpersonnel.2.OnsigningtheContract,theContractorshallappointaproject
