1CONTRACTFortheSupplyofLicense,Engineering&TechnicalServicesFor100,000metrictonsperyearofEthylene-vinylacetate/LowDensityPolyethylenePlantbetweenJiangSuSailboatPetrochemicalCo.Ltd.andEquistarChemicals,LPandTecnimontS.p.A[•],China[•],20122TABLEOFCONTENTS[TOBEADDED]3ThisContractismadein[•],on[•]byandamong:JiangSuSailboatPetrochemicalCo.Ltd.,acompanyorganizedandexistingunderthelawsofthePeople’sRepublicofChinaandhavingitsregisteredofficeatroom309,ComprehensiveHall,XuweiNewDistrict,LianyungangCity(JSPCL);andEquistarChemicals,LP,acompanyorganizedandexistingunderthelawsofGermanyandhavingitsregisteredofficeat11530,NorthlakeDrive,Cincinnati,OH45249,Ohio,TheUnitedStatesofAmerica(BASELL);andTecnimontS.p.A.,acompanyorganizedandexistingunderthelawsofItalyandhavingitsregisteredaddressatViaGaetanoDeCastillia6/A,20124Milan,Italy(TCM).WHEREASA.BasellcontrolstechnicalinformationandintellectualpropertyrightsrelatingtotheLupotechAprocessfortheproductionofhomopolymersandhastherighttograntrightsandpatentimmunitieswithrespectthereto.B.JSPCLwishestoreceiveinformationrelatingtotheLupotechAprocessaswellastothehomopolymersmanufacturedtherebyandwishestoacquirefromBASELLtheright,includinganimmunityundertherelevantpatentrightsandotherintellectualpropertyrightofBASELL,tousesuchinformationfordesigning,erectingandoperatingaplantin[Lianyungang],China,manufacturingethylenepolymersthereinandusingorsellingsaidethylenepolymers.C.BASELLiswillingtodisclosetoJSPCLthesaidinformationandgrantJSPCLtherights,includinganimmunityundertherelevantrightsofBASELL,tousethesaidinformationfordesigning,erectingandoperatingthesaidplantin[Lianyungang],China,manufacturingPRODUCTSthereinandusingorsellingsaidPRODUCTSsubjecttothetermsofthisCONTRACT.D.JSPCLhasrequestedTCM–whichiswilling-toperformcertainengineeringstudiesandactivitiesincoordinationwithBASELLforthe(extended)processdesign,underthetermsandconditionssetforthinthisContract.4DEFINITIONSThetermsdefinedhereinbelowshallforallpurposesofthisContracthavethemeaningsasspecified.I.ACCEPTANCEshallmeanthedateonwhichoneoftheoccurrencelistedinArticle6.14takesplace.II.“BASELL’sAFFILIATE”shallmeanLyondellBasellIndustriesN.V.,acompanyincorporatedunderthelawsoftheNetherlandsandhavingitsofficesatStationsplein45,3013AKRotterdam,theNetherlands,andanycompany,otherthanBASELL,whichisatthetimeinquestiondirectlyorindirectlyaffiliatedwithLyondellBasellIndustriesN.V.Forthepurposesofthisdefinition,acompanyisaffiliatedwithLyondellBasellIndustriesN.V.ifthelatterholds,directlyorindirectly,votingsharescarryingmorethan50%(fiftypercent)ofthevotesexercisableatageneralmeeting(oritsequivalent)ofthecompanyinquestion.III.BASICDESIGNDOCUMENTS(BDD)shallmeanthedocumentsdescribedinAppendix6andAttachment6-1ofAppendix6.IV.CONTRACTshallmeanthepresentContractbetweenJSPCL,BASELLandTCM,includingalltheAppendices(andtheirsattachments)listedbelow.ForthepurposesoftheCONTRACT,intheAppendices(andrelevantattachments)theterm“Buyer”shallrefertoJSPCL,theterm“Licensor”shallrefertoBASELLandtheterm“Seller”shallrefertoTCMand/orBASELLasthecasemaybe.Appendix1ProcessDescriptionAppendix2DesignBasisAppendix3DesignPrinciples,CodesandStandardsAppendix4SupplyScopeoftheSELLERAppendix5SupplyScopeoftheLICENSEEAppendix6ProjectSchedule,Meetings,DesignDivisionandTechnicalDeliverables5Appendix7ControlSystemAppendix8PerformanceGuaranteeAppendix9ExtentofServicesandTreatmentConditionoftheSeller’sTechnicalPersonnelAppendix10ExtentofTrainingandTreatmentConditionfortheLICENSEE’sTechnicalPersonnelV.Appendix11DraftoftheLetterofCreditCONTRACTPLANTshallmeantheindustrialplantof100kt/yforthemanufactureofPRODUCTS,basedon8,000operatinghoursperyearasperAppendix2tobeimplementedbyJSPCLin[Lianyungang],People’sRepublicofChina.VI.“CONTRACTPRICE”meansthetotalpricepayabletoTCMandBASELL,respectively,particularsofwhicharespecifiedinArticle2ofthisCONTRACT.VII.“CONTRACTPRODUCT”meansPRODUCTSofthegradeslistedinAppendix2andproducedwiththePROCESS.VIII.COMPLETIONOFERECTIONshallmeanthedatewhenallmajoritemsofequipmentfortheCONTRACTPLANThavebeeninstalledandwhentheinstalledpipingandequipmenthasbeenpressuretestedandtestedforcorrectmechanicalfunctioningandtheCONTRACTPLANTisconsideredbyJSPCL,TCMandBASELLtobeingoodorder.IX.“DETAILEDDESIGN(DD)”shallmeanthedocumentsdescribedinAppendix6,Attachment6-1andTable6.1.4.5ofAppendix6.X.“DIRECTCOST”shallmeanthecostofprocuringandfurnishingtoJOBSITEreplacementmaterials(otherthanfeedstock),equipment,sparepartsprocuredbyJSPCLand/ortechnicalservicesprovidedbyTCMnecessarytoimprovetheCONTRACTPLANTperformanceasrequiredtomeettheperformanceguaranteesofAppendix8andinaccordancewithArticle6.8.XI.EFFECTIVEDATEshallhavethemeaningascribedtoitunderArticle15.1.6XII.“EXPANSION”meansanyincreaseinthecapacityoftheCONTRACTPLANT:a.obtainedbyadditionofoneormorereactorelementsforpolymerizationtotheCONTRACTPLANT;and/orb.obtainedbyreplacementormodificationofoneormorereactorelements,ethylenecompressors,relevantfeedingpumpsorcoolingsystemsoftheCONTRACTPLANT;and/orc.whichwouldcausethetotalcapacityoftheCONTRACTPLA
