ExclusiveLicenseSupply&CollaborationAgreementByandBetweenAndCompanyNov.26,2015License-SupplyandCollaborationAgreementThisLicense,SupplyandCollaborationAgreementismadeandenteredintothisJuly14,2015,by***,acompanyincorporatedandexistingpursuanttothelawsofPeople’sRepublicofChinahavingregisteredofficeat,WestPartofYitianmenStreet,Hi-TechZone,Taian,ShandongProvince,China”(hereinafterreferredtoas“***”,whichexpressionshallmeanandinclude,wherethecontextsorequireoradmits,itssuccessors-in-interestandpermittedassigns);***Company,acompanyincorporatedandexistingpursuanttothelawsofEgypthavingitsregisteredofficeat“***“(hereinafterreferredtoas“***”,whichexpressionshallmeanandinclude,wherethecontextsorequireoradmits,itssuccessors-in-interestandpermittedassigns);Both***and***hereinaftermaycollectivelybereferredtoasthe“PARTIES”,andeachmaysinglybereferredtoasa“PARTY”.WHEREAS***,hasdevelopedseveralmouldsforPolymerproducts(hereinafterdefinedas“Products”)andfurthermoreinterestedinsellingtheirProductsintheterritorythrough***(beingtheirsoleagentforthepurposeintheterritory).WHEREAS***,isinterestedinobtainmentofthemarketing,sellinganddistributionrightsfortheProductsintheterritory”NOWTHEREFORE,inconsiderationofthemutualpromisesandcovenantssetforthhereinafterandforgoodandvaluableconsideration,theadequacyandsufficiencyofwhichisherebyacknowledged,thePARTIESherebyagreeasfollows:ARTICLE1:DEFINITIONS1.“AGREEMENT”meansthisagreement,togetherwithallattachedschedulesandexhibits,astheymaybeamendedorotherwisemodifiedfromtimetotime;2.“EFFECTIVEDATE”meansthedateonwhichthepresentAgreementissignedbythePARTIESandwhichappearsherein;3.“PRODUCTS”shallmeantheproduct(s)manufacturedby***oritsaffiliatedcompaniesandaredefinedinAppendixA,,andsuchotherproductsasmayfromtimetotimebeagreeduponinwritingbythePARTIESandincludedintheAppendix“A”.4.“REGISTRATIONDOCUMENTATION”shallmeananyandallinformation,processes,techniques,anddatain***’spossessionrelatingtoeachparticularProductonthelistofProductsasmentionedinAppendix“A”,whicharerequiredtoobtainRegistrationforsuchparticularProductintheterritory.5.“REGISTRATION”shallmeantheapprovalbytheappropriateauthoritiesoftheterritory,ofanapplicationtomarket,sellanddistributetheProductsinTheterritory,ifsorequired.1.“TERRITORY”shallmeantheterritoriesofEgypt.2.“MARKETINGYEAR”shallstartbytheproductlaunchdateintherespectiveterritories.ARTICLE2:RIGHTS&REFRAINMENTS***herebygrantsto***therightstomarket,sellanddistributetheProductsunder***’SownBrandnameandTrademarkintheterritory,subjecttothetermsandconditionsofthisAgreement.TotheextentthatandaslongasthisAgreementisinforce***shallnothavetherightstomarket,sellanddistributetheProductsoutsidetheterritory.***isnotallowedtosellanyoftherightsagreed,orpartshereof,toanythirdpartywithoutthepriorwrittenconsentof***.***shallbeentitledtomarket,sellanddistributetheProductsintheterritorythroughitsaffiliatedcompanies,distributors,localwholesalers,doctorsandanyappropriatedistributionchannel.***hastheexclusivityforlicensing,registering,marketing,sellinganddistributionoftheproduct(s)offeredby***,mentionedinAppendix-A,intheterritory.ARTICLE3:MANUFACTURE,QUALITYASSURANCE&TECHNICALVISITS1.***warrantsthattheProductswillbeproducedaccordingtointernationalrulesandregulationsandinaccordancewithallotherapplicablelaws.2.Anycomplaintregardingdefectsinqualityapparentuponinspectionand/orshortfallsinquantitiesoftheProductsdeliveredby***shallbemadeinwritingby***withinthirty(30)daysafterreceiptofconsignmentby***and***shallsimultaneouslysendsamplesofsuchdefectiveproductsto***.If***failstonotify***withinsuchaperiod,***shallbedeemedtohaveacceptedtheconsignment.3.Intheeventofreceiptofintimationofrejectionofproductsand/orshortshipment,***shallreplacethefaultyconsignmentand/ormakeupshortshipmentassoonaspracticablebutnotlaterthan15daysofreceiptofintimationfreeofcharge.ShortfallsinquantitiesdeliveredshallalsobemadeupfreeofchargeIncaseofreplacementofrejectedmaterial,***shallalsoreimbursethelocalimportclearingduesandcosts.Furtherifthereplacement/makeuparenotmadewithin15days,***shallberesponsibletoappropriatelycompensate***forthelossofrevenue.Itisherebyagreedthatintheeventthat***doesnotacknowledgethedefectofsuchProducts,which***hasfoundtobedefective,thePARTIESshallendeavortosettlesuchdisagreementamicablyandconstructivelybetweenthemselves.Intheeventthattheyfailtoagreewithin15daysafterreceiptofthenoticeofdefects,thePARTIESagreetonominateanindependent,reputedlaboratoryoftheterritory,acceptabletobothPARTIES,whichshallexaminerepresentativesamplestakenfromsuchconsignment,usingthemethodsofanalysisagreeduponbybothPARTIES,andtheresultshallbebindingonbothPARTIES.ThechargesforsuchexaminationshallbebornebythePARTYfoundtobeatfault.ARTICLE4:PURCHASEANDDELIVERY1.DuringthetermofthisAgreement,***shallpurchaseallitsneedsforthe“Products”for“theterritory”exclusivelyfrom***inaccordancewiththetermsofthisAgreement.2.***shallsubmitpurchaseordersto***inwriting.1.Nopurchaseordershallbebindingon***untilacceptedinwritingwithconfirmationoftheshipmentdate.2.***s
