INTERNATIONALCHAMBEROFCOMMERCE(ICC)NONCIRCUMVENTIONANDNONDISCLOSUREWORKINGAGREEMENT不迂回保密合约CONTRACTNO(合约编号)：__________________________A.Initial(Seller)-B.Initial(Buyer)-C.Initial-D.Initial-E.Initial-F.Initial-Page1of5NCND2008NON-CIRCUMVENTION,NON-DISCLOSUREAGREEMENT不迂迴保密合約Buyer买方代表：Address地址：Tel电话:Seller卖方代表：Address地址：Tel电话:CONTRACTNO合约编号：______________________WHEREAS,theUndersignedwishtoenterintothisAgreementtodefinecertainparametersoftheirfutureobligations,areboundbyadutyofconfidentialitywithrespecttotheirsourcesandcontracts.ThisdutyisinaccordancewiththeguidelinessetforthbytheInternationalChamberofCommerceConvention.有鉴于下面之签名者，希望能藉由此份协议，来规范一些彼此未来的责任，并且对彼此的来源及合约负有保密的义务。此义务是根据国际商会惯例所订定之大纲。WHEREAS,theUndersigneddesiretoenteraworkingbusinessrelationshiptothemutual,andcommonbenefitofthepartieshereto,includingtheiraffiliates,subsidiaries,stockholders,partners,coventures,tradingpartners,andotherassociatedorganizations(hereinafterreferredtoasAffiliates).有鉴于下面之签名者，希望能形成一个合作的商业关系，以逹到相互间共同的利益，包括他们的成员，子公司或辅助者，股东，合伙人，共同投资人，交易伙伴，和其他相关组织（于此及下面统称为「成员」）。NOWTHEREFOREinconsiderationofthemutualpromises,assertionsandcovenantshereinandothergoodandvaluableconsiderations,therecipientsofwhichisacknowledgedherebyagreesasfollows:因此，考虑到共同的承诺、主张、及本文所述之保证，和其他良善及有用的考量，签署者兹此同意接受下列内容：l.TERMSANDCONDITIONS条款及条件：INTERNATIONALCHAMBEROFCOMMERCE(ICC)NONCIRCUMVENTIONANDNONDISCLOSUREWORKINGAGREEMENT不迂回保密合约CONTRACTNO(合约编号)：__________________________A.Initial(Seller)-B.Initial(Buyer)-C.Initial-D.Initial-E.Initial-F.Initial-Page2of5NCND2008A.Thepartieswillnotinanymannersolicitnoracceptanybusinessinanymannerfromsourcesnottheiraffiliates,whichsourcesweremadeavailablethroughoutthisagreement,withouttheexpresspermissionofthepartywhomadeavailablethesources;and,非经提供可用来源之当事人的书面同意，其他签约方均不得以任何方式，劝诱或接受任何非来自成员之商业活动，暨B.Thepartieswillmaintaincompleteconfidentialityregardingeachothersbusinesssourcesand/ortheiraffiliatesandwilldisclosesuchbusinesssourcesonlytonamedpartiespursuanttotheexpresswrittenpermissionofthispartywhomadeavailablethesource;and,所有签约当事人应对彼此、和/或其他成员的商业来源完全保密，且只能在提供来源的签约方之书面同意下，才能提供给有列名于本文之另一签约方，暨C.Thattheywillinanyofthetransactionsthepartiesaredesirousofenteringintoanddo,tothebestoftheirabilitiesassuretheotherthatthetransactioncodesestablishedwillnotbeaffected;and,任一签约方，若想加入其他的任何交易，必须尽他们的能力，向他方保证本交易，将不受影响，暨D.Thattheywillnotdisclosenames,addresses,emailaddresses,telephone,telefaxortelexnumbers,etc.toanycontactsbyeitherpartytothirdpartiesandtheyeachrecognisesuchcontactsastheexclusivePropertyoftherespectivepartiesandtheywillnotenterintodirectnegotiationsortransactionswithsuchcontractsrevealedbytheotherparty;and,所有签约之当事人，均不得向第三者透露任一方的名字、地址、电子信箱、电话、传真、及电传机号码等等，他们都认知这些门路为签约人个别的独家资产，且他们不会藉由这些由他方所泄露的门路，来直接协商或交易，暨E.Thattheyfurtherundertakenottoenterintobusinesstransactionswithbanks,investors,sourcesoffundsorotherbodies,thenamesofwhichhavebeenprovidedbyoneofthepartiestothisagreement,unlesswrittenpermissionhasbeenobtainedfromtheotherparty(ies)todoso.Forthesakeofthisagreement,itdoesnotmatterwhetherinformationisobtainedfromanaturalorlegalperson.Thepartiesalsoundertakenottomakeuseofathirdpartytocircumventthisclause.所有签约人进一步保证，绝不与他方依此合约所提供之银行，投资者，或其他资金来源或组织，从事商业交易，除非已得到其他当事人之书面同意。基于本协议，所有资讯之取得，不论是来自于自然人或法人并不要紧。所有签约之当事人，并同意不会利用第三者来逾越此条款。F.Thatintheeventofcircumventionofthisagreementbyeitherparty,directlyorindirectly,thecircumventedpartyshallbeentitledtoalegalmonetarypenaltyequaltothemaximumserviceitshouldINTERNATIONALCHAMBEROFCOMMERCE(ICC)NONCIRCUMVENTIONANDNONDISCLOSUREWORKINGAGREEMENT不迂回保密合约CONTRACTNO(合约编号)：__________________________A.Initial(Seller)-B.Initial(Buyer)-C.Initial-D.Initial-E.Initial-F.Initial-Page3of5NCND2008realisefromsuchtransactionplusanyandallexpenses,includingbutnotlimitedtoalllegalcostsexpensesincurredtorecoverthelostrevenue.如果有任一签约人，想直接或间接地逾越此协议，逾越的那一方，应受到法律之财政处罚，此罚金将等同于此交易所应实现的最高收益，并加上所有的开支，此开支包括且不只是所有的法律费用，以弥补未能收到的利益损失。G.Allconsideration,benefits,bonuses,participationfeesand/orcommissions,etcreceivedasaresultofthecontributionsofthepartiesinthisagreement,relatingtoanyandalltransactionswillbeallocatedasmutuallyagreed.依此合约，所有签约当事人，对于任一及所有交易所做之贡献，而收到之所有报酬、利益、红利、参与费用、或佣金，将依互相同意的原则下分配。H.ThisagreementisvalidforanytransactionbetweenthepartieshereinandshallbegovernedbytheenforceablelawinPeople’sRepublicofChina(PRC)Courts,and/orRepublicofChina(ROC)Courts,orCourtofProperJurisdiction,andintheeventofdispute,theRulesofConciliationandArbitrationoftheInternationalChamberofCommercebyoneormorearbitratorsdesignedinaccordancetosaidruleswillapply.此合约对所有签约当事人间的交易，均为有效，且受下列各地之法律的管辖：中华人民共和国法院、及/或中华民国法院、或其他适用的司法法庭，若有争议，将由一位或多位仲裁者依照国际商业总会的调解及仲裁委员会的法规处理。I.Thesigningpartiesherebyacceptsuchselectedjurisdictionastheexclusivevenue.Thedurationoftheagreementshallperpetuateforfive(5)yearsfromthedatehereof.签约之当事人，兹此接受，上述所选定的司法管辖地，为唯一审判地。本协议之有效期间，从本签约日期，起算五年。2.AGREEMENTTOTERMS协议条款A.Thesignaturesonthisagreementreceivedbythewaysoffacsimile,mailand/oremailshallbedeemedtobeanexecutedcontract.AgreementenforceableandadmissibleforallpurposesasmaybenecessaryunderthetermsoftheAgreeme
