AGREEMENTFORPURCHASEOFSHARESINSAMPLECOMPANYBYANDAMONG[SELLERNAME](“SELLER”)ANDSAMPLECOMPANY(“COMPANY”)AND[BUYERNAME](“BUYER”)[Date]AGREEMENTFORTRNASFEROFEQUITYINTERESTTHISAGREEMENTFORPURCHASEOFSHARES(“Agreement”)ismadeonthe[Date]byandamong.[SellerName],aChineselimitedliabilitycompany,withofficesat[address](“Seller”);SampleCompany,aChineselimitedliabilitycompany,withofficesat[address](“Company”)[BuyerName],acorporationincorporatedinthestateofDelaware,theUnitedStates,withofficesat[address](“Buyer”);andWHEREAS,CompanywasestablishedpursuanttotheCompanyLawofthePeople’sRepublicofChina;andWHEREAS,SellerdesirestotransfertoBuyer,andBuyerdesirestopurchasefromSeller,allofSeller’sequityinterestinCompany(“TransferredShares”)onthetermsandsubjecttotheconditionsofthisAgreement.NOW,THEREFORE,thePartiesherebyagreeasfollows:1.DEFINITIONS1.1TermsusedbutnototherwisedefinedhereinshallhavethemeaningssetoutforsuchtermsinScheduleA.1.2Otherdefinitionalprovisionsinclude:(a)Areferencetoanyapplicablelawsortoanylegislation,ortoanyprovisionofApplicableLawsorofanylegislationincludesareferencetosuchApplicableLawsorlegislationasamendedormodifiedfromtimetotime.(b)Areferencetoa“person”includesanyindividualorentity(includinganycompany,businessorotherenterpriseorentity,jointventure,institution,stateorgovernmentdepartment),asthecontextpermits.(c)ReferencesinthisAgreementtocontracts,agreementsorotherdocuments,shallmeanthesameasamendedfromtimetotime.(d)AreferencetoanyPRCgovernmentauthorityordepartmentincludessuchauthorityordepartmentatState,provincial,municipalandotherlevels.(e)ReferencesinthisAgreementtogovernmentministries,bureaux,departments,commissions,agencies,etc.shallincludeallsuccessorentitiesthereto.(f)InthisAgreement,themasculineformincludesthefeminineformandthesingularformincludesthepluralform,andviceversa.(g)HeadingsareforconvenienceofreferenceonlyandshallnotaffecttheconstructionorinterpretationofthisAgreement.(h)AreferencetoanyPartytothisAgreementortoanyotherpartytoanycontract,agreementordocumentincludesareferencetothatparty’ssuccessorsandpermittedassigns.(i)Thewords“includes”or“including”mean“includeswithoutlimitation”and“includingwithoutlimitation”respectively.2.AGREEMENTTOPURCHASEANDSELL;CLOSING2.1AgreementtoPurchaseandSell.OnthetermsandconditionsofthisAgreement:(a)SelleragreestoselltoBuyerandBuyeragreestopurchasefromSelleralloftheTransferredSharesinconsiderationforthePurchasePrice.2.2PurchasePrice(a)Amount.The“PurchasePrice”shallbe[·]UnitedStatesDollars(US$[·]).(b)PaymentofPurchasePrice.BuyershallpaythePurchasePrice,inimmediatelyavailablefundsbywiretransfer,asfollows:(i)AttheClosing,[seventypercent(70%)]ofthePurchasePriceamountingto[·]Dollars($[·])(the“ClosingDatePayment”)shallbepaidtoabankaccountdesignatedbySeller.(ii)AttheClosing,[thirtypercent(30%)]ofthePurchasePrice,amountingto[·]Dollars($[·])(“SetOffAmount”)shallbepaidtoEscrowAgent,pursuanttoanescrowagreementintheformattachedasAnnexBhereto(“SetOffEscrowAgreement”),tobedisbursed,inaccordancewiththetermsofsuchagreement,attheendof36monthsfollowingtheClosingDate.(c)SellershallnotifyBuyer,inwritingofthedetailsofitsbankaccount.PaymentofthePurchasePriceshallbedeemedtohavebeenmadewhentherecipientbankhasreceivedtheapplicableportionofthePurchasePrice.2.3ContemporaneousActionsoftheParties.ContemporaneouslywiththeexecutionofthisAgreement:(a)SellershallcauseCompanytoexecuteanddeliverthefollowingdocuments:(i)unanimousresolutionsoftheBoardofDirectorsofCompany(“CurrentBoard”),conditioneduponandtobeeffectiveasoftheClosing,(A)approvingthetransactionscontemplatedbythisAgreement,(C)approvingtheenteringintoofanyoftheAncillaryAgreementstowhichCompanyispartyand(D)revokingeachexistingmandategivenbyCompanyfortheoperationofitsbankaccounts,EnglishandChinesecopiesofwhichareattachedasAnnexesD-1andD-2,respectively(“TransferResolutions”);and(ii)thewrittenresignation,conditioneduponandtobeeffectiveasoftheClosing,ofeachmemberofCompany’sCurrentBoard,copiesofwhichareattachedasAnnexesE-1throughE-5(“CurrentBoardResignationLetters”);(b)BuyershalldeliverafullyexecutedundatedWhollyForeign-OwnedEnterpriseArticlesofAssociationofCompany,EnglishandChinesecopiesofwhichareattachedasAnnexesF-1andF-2,respectively(“NewArticlesofAssociation“);(c)BuyershalldelivertotheCompanyanundatedlistinEnglishandChineseofthenewboardofdirectorsoftheCompany(“NewBoard”)tobeappointedandregisteredwiththePublicAuthorityfollowingtheClosingintheformsattachedasAnnexesG-1andG-2;and(d)BuyershalldeliverfullyexecutedundatedunanimousresolutionsoftheNewBoard,conditioneduponandtobeeffectiveasoftheClosing,(A)ratifyingtheCurrentBoard’sactionsintheTransferResolutions,includingtheenteringintoofanyoftheAncillaryAgreementstowhichCompanyisparty,(B)acceptingtheresignationsoftheCurrentBoard,and(C)establishinganewmandategivenbyCompanyfortheoperationofitsbankaccounts,EnglishandChinesecopiesofwhichareattachedasAnnexesG-3andG-4,respectively(“NewBoardRestructuringResolutions”).(e)[ListofSigningStageAncillaryAgreements(ifany)];ForpurposesofthisSection2.3,deliverofanydo
