中德双边投资促进与保护协定及议定书

AgreementbetweentheFederalRepublicofGermanyandthePeople'sRepublicofChinaontheEncouragementandReciprocalProtectionofInvestmentsTheFederalRepublicofGermanyandthePeople'sRepublicofChina(hereinafterreferredtoastheContractingParties),IntendingtocreatefavourableconditionsforinvestmentbyinvestorsofoneContractingPartyintheterritoryoftheotherContractingParty,Recognizingthattheencouragement,promotionandprotectionofsuchinvestmentwillbeconducivetostimulatingbusinessinitiativeoftheinvestorsandwillincreaseprosperityinbothStates,DesiringtointensifytheeconomiccooperationofbothStates,Haveagreedasfollows:Article1DefinitionsForthepurposeofthisAgreement1.theterminvestmentmeanseverykindofassetinvesteddirectlyorindirectlybyinvestorsofoneContractingPartyintheterritoryoftheotherContractingParty,andinparticular,thoughnotexclusively,includes:(a)movableandimmovablepropertyandotherpropertyrightssuchasmortgagesandpledges;(b)shares,debentures,stockandanyotherkindofinterestincompanies;(c)claimstomoneyortoanyotherperformancehavinganeconomicvalueassociatedwithaninvestment;(d)intellectualpropertyrights,inparticularcopyrights,patentsandindustrialdesigns,trade-marks,trade-names,technicalprocesses,tradeandbusinesssecrets,know-howandgood-will;(e)businessconcessionsconferredbylaworundercontractpermittedbylaw,includingconcessionstosearchfor,cultivate,extractorexploitnaturalresources;anychangeintheforminwhichassetsareinvesteddoesnotaffecttheircharacterasinvestments;2.theterminvestormeans(a)inrespectoftheFederalRepublicofGermany:–GermanswithinthemeaningoftheBasicLawfortheFederalRepublicofGermany,–anyjuridicalpersonaswellasanycommercialorothercompanyorassociationwithorwithoutlegalpersonalityhavingitsseatintheterritoryoftheFederalRepublicofGermany,irrespectiveofwhetherornotitsactivitiesaredirectedatprofit;(b)inrespectofthePeople'sRepublicofChina:–naturalpersonswhohavenationalityofthePeople'sRepublicofChinainaccordancewithitslaws,–economicentities,includingcompanies,corporations,associations,partnershipsandotherorganizations,incorporatedandconstitutedunderthelawsandregulationsofandwiththeirseatsinthePeople'sRepublicofChina,irrespectiveofwhetherornotforprofitandwhethertheirliabilitiesarelimitedornot;3.thetermreturnmeanstheamountsyieldedfrominvestments,includingprofits,dividends,interests,capitalgains,royalties,feesandotherlegitimateincome.Article2PromotionandProtectionofInvestment(1)EachContractingPartyshallencourageinvestorsoftheotherContractingPartytomakeinvestmentsinitsterritoryandadmitsuchinvestmentsinaccordancewithitslawsandregulations.(2)InvestmentsoftheinvestorsofeitherContractingPartyshallenjoyconstantprotectionandsecurityintheterritoryoftheotherContractingParty.(3)NeitherContractingPartyshalltakeanyarbitraryordiscriminatorymeasuresagainstthemanagement,maintenance,use,enjoymentanddisposaloftheinvestmentsbytheinvestorsoftheotherContractingParty.(4)Subjecttoitslawsandregulations,eitherContractingPartyshallgivesympatheticconsiderationtoapplicationsforobtainingvisasandworkingpermitstonationalsoftheotherContractingPartyengaginginactivitiesassociatedwithinvestmentsmadeintheterritoryofthatContractingParty.Article3TreatmentofInvestment(1)InvestmentsofinvestorsofeachContractingPartyshallatalltimesbeaccordedfairandequitabletreatmentintheterritoryoftheotherContractingParty.(2)EachContractingPartyshallaccordtoinvestmentsandactivitiesassociatedwithsuchinvestmentsbytheinvestorsoftheotherContractingPartytreatmentnotlessfavourablethanthataccordedtotheinvestmentsandassociatedactivitiesbyitsowninvestors.(3)NeitherContractingPartyshallsubjectinvestmentsandactivitiesassociatedwithsuchinvestmentsbytheinvestorsoftheotherContractingPartytotreatmentlessfavourablethanthataccordedtotheinvestmentsandassociatedactivitiesbytheinvestorsofanythirdState.(4)TheprovisionsofParagraphs1to3ofthisArticleshallnotbeconstruedsoastoobligeoneContractingPartytoextendtotheinvestorsoftheotherContractingPartythebenefitofanytreatment,preferenceorprivilegebyvirtueof(a)anymembershiporassociationwithanyexistingorfuturecustomsunion,freetradezone,economicunion,commonmarket;(b)anydoubletaxationagreementorotheragreementregardingmattersoftaxation.Article4ExpropriationandCompensation(1)InvestmentsbyinvestorsofeitherContractingPartyshallenjoyfullprotectionandsecurityintheterritoryoftheotherContractingParty.(2)InvestmentsbyinvestorsofeitherContractingPartyshallnotdirectlyorindirectlybeexpropriated,nationalizedorsubjectedtoanyothermeasuretheeffectsofwhichwouldbetantamounttoexpropriationornationalizationintheterritoryoftheotherContractingParty(hereinafterreferredtoasexpropriation)exceptforthepublicbenefitandagainstcompensation.Suchcompensationshallbeequivalenttothevalueoftheinvestmentimmediatelybeforetheexpropriationistakenorthethreateningexpropriationhasbecomepubliclyknown,whicheverisearlier.Thecompensationshallbepaidwithoutdelayandshallcarryinterestattheprevailingcommercialrateuntilthetimeofpayment;itshallbeeffectivelyrealizableandfreelytransferable.Precautionsshallhavebeenmadeinanappropriatemannerator
